NVIDIA completed its $5.0 billion purchase of Intel shares on December 26, 2025, but the custom chips announced alongside the investment remain a development plan rather than confirmed retail products. The September 2025 agreement covers 214,776,632 Intel common shares at $23.28 each. Separately, the companies said they would develop multiple generations of data-center and PC products linked by NVIDIA NVLink.
What NVIDIA actually bought
Under a securities purchase agreement dated September 15, 2025, NVIDIA agreed to buy 214,776,632 newly issued Intel common shares for $23.28 per share, producing aggregate cash proceeds of $5.0 billion for Intel. Intel’s Form 8-K filed December 29, 2025, says the shares were issued and sold on December 26, 2025. The transaction therefore is a completed equity purchase, not merely a proposed investment.
The agreement relied on the private-placement exemption in Securities Act Section 4(a)(2) and was subject to customary closing conditions, including applicable Hart-Scott-Rodino waiting periods and approvals. It did not give NVIDIA special governance or information rights beyond those available to Intel shareholders generally, according to the transaction filing.
Why NVIDIA invested in Intel
The investment aligns the companies financially while supporting a broader product collaboration. NVIDIA’s AI systems rely on CPUs alongside its accelerators, and Intel remains a major supplier of x86 processors and manufacturing and packaging capabilities. The announced arrangement is intended to combine NVIDIA’s AI and accelerated-computing platform with Intel’s x86 ecosystem rather than turn NVIDIA into Intel’s controlling owner.

Jensen Huang, NVIDIA’s founder and CEO, described the goal this way in the September 18, 2025 announcement: “This historic collaboration tightly couples NVIDIA’s AI and accelerated computing stack with Intel’s CPUs and the vast x86 ecosystem—a fusion of two world-class platforms.”
What chips are planned
The announcement described two distinct commercial directions. Both were presented as products under development, with no launch date, price or retail-availability commitment.

Data-center CPUs
Intel said it would build custom x86 CPUs for NVIDIA to use in AI infrastructure platforms. The concept would pair Intel general-purpose processing with NVIDIA’s accelerated-computing stack, with NVLink named as the interconnect between the companies’ architectures.
PC system-on-chips
For PCs, Intel said it would build and market x86 SoCs incorporating NVIDIA RTX GPU chiplets. That is a different design from the data-center CPU plan: the PC product would combine CPU and graphics functions in one package, while the data-center direction centers on a custom CPU integrated into NVIDIA systems.

Did the investment close?
Yes. Intel’s December 29, 2025 Form 8-K records completion of the share issuance and sale on December 26, 2025. The completed purchase should not be confused with the separate chip-development commitments, which remain forward-looking product plans.
What changed by Intel’s first quarter of 2026
Intel’s Q1 2026 earnings release described continuing collaboration with NVIDIA on custom ASIC infrastructure processing units. It also said Intel Xeon 6 was selected as the host CPU for NVIDIA DGX Rubin NVL8 systems.

Those disclosures show ongoing partnership activity, but they do not establish that the specific NVIDIA-custom x86 CPUs or the RTX-chiplet PC SoCs announced in September 2025 have entered commercial production or retail sale. The reviewed company materials still do not provide a delivery timetable for those products.

No availability date has been announced for either product direction. The September 18 announcement supplied no launch schedule, pricing or retail listing, and the later Q1 2026 update did not confirm commercial shipment of the originally described custom x86 CPUs or PC SoCs. Treat any earlier date estimate as speculation unless the companies issue a new product announcement.

How the market reacted
The Associated Press reported that Intel shares rose 22.8% on September 18, 2025, the company’s best one-day percentage gain since 1987. NVIDIA shares rose 3.5% that session. Those are historical moves on the announcement date, not a current return, a measure of long-term deal success or evidence that either stock is attractive.
What investors should separate
- Completed transaction: NVIDIA bought the specified Intel shares for $5.0 billion on December 26, 2025.
- Product roadmap: The companies announced planned data-center CPUs and PC SoCs, but did not promise a launch date or retail availability.
- Later collaboration: Intel’s Q1 2026 release added details about custom ASIC infrastructure work and Xeon 6 in DGX Rubin NVL8 systems, without confirming shipment of the original products.
- Shareholder position: The deal document provided ordinary shareholder rights, not special NVIDIA governance or information rights.
What the deal does—and does not—prove
The share purchase gives NVIDIA a substantial financial interest in Intel and signals that the companies see strategic value in combining their platforms. It does not by itself guarantee successful chip development, customer adoption, manufacturing capacity, a particular launch date or a positive long-term stock return. Those outcomes depend on future engineering, qualification, supply and market decisions that were not established in the announcements.
Lip-Bu Tan, Intel’s CEO, said in the September 18 announcement: “Intel’s x86 architecture has been foundational to modern computing for decades – and we are innovating across our portfolio to enable the workloads of the future.” That statement describes the strategic direction; it is not a product-delivery commitment.
