Nothing acquired Essential mainly for its name, not its phones, patents or engineering operation. Carl Pei says “Essential” was briefly being considered as the name of his new consumer-technology company; after seeing the risk that customers would mistake Nothing for an Andy Rubin-era Essential revival, he chose “Nothing” instead.
The 2021 acquisition looked like a phone-company comeback
In early 2021, Nothing Technologies Limited acquired Essential-related assets after Essential Products had already shut down. Essential was the smartphone company founded by Android creator Andy Rubin, best known for the Essential Phone PH-1. Its follow-up “Gem” device never reached commercial release.
Nothing soon launched products under its own name, leaving a basic question: why acquire a defunct smartphone brand and then appear to do nothing with it?
What Nothing actually bought
Pei’s later explanation identifies the transaction as a brand-asset purchase. Nothing acquired Essential’s trademarks, the essential.com domain and the company’s official social-media handles, according to 9to5Google.

UK intellectual-property filings reported in February 2021 showed the ownership transfer had been completed on January 6, 2021, after an application filed on November 11, 2020. At that time, reporting could not establish whether patents or former employees were included. Pei’s 2025 comments narrowed the explanation to brand assets. Nothing was seriously considering the Essential name
The acquisition was not simply a speculative purchase of a dormant trademark. Pei said “Essential” was one of the names considered for Nothing during its formation because it sounded simple, elegant and broad enough for consumer technology. The word also fitted the company’s intended emphasis on focusing products on what matters.
The idea progressed beyond a brainstorming list. Early product renders reportedly carried the name “Essential R1” on both a smartphone and a pair of earbuds. “Stone” was another alternative under consideration. The name remained in use internally for several weeks before Pei made the final call to abandon it. Details and the renders were reported by 9to5Google.

Why Pei changed course
The problem was not that “Essential” failed to sound attractive. It was that the name already had a strong, category-specific history.

- Essential was already associated with another smartphone company.
- Nothing was entering the same broad consumer-electronics market.
- A launch under Essential could make shoppers think Andy Rubin’s company was returning.
- That expectation would make it harder for Nothing to establish its own identity and reputation.
Pei’s stated concern was brand confusion and inherited legacy. Nothing wanted to create its own history rather than appear to continue Essential Products. In practical terms, changing the name before launch was far less disruptive than changing it after packaging, software, retail distribution and customer expectations had been built around it.
It was not a plan to revive the Essential Phone
Pei said in a July 2021 TechCrunch interview that Essential had been an internal name candidate, but Nothing had no plans to do anything with the brand. Nothing’s first product, the Ear (1) wireless earbuds, launched under the Nothing name rather than Essential, as reported by 9to5Google.

That also means the acquisition should not be read as a purchase of the Essential Phone’s technology or manufacturing arrangements. Pei said reviving the unreleased Gem design would be unlikely because reproducing its unusual form would be prohibitively expensive. That comment does not indicate that Nothing ran a serious Essential Phone reboot program.
The basic explanation was public in 2021
The 2025 account supplied more detail about the abandoned name and the “Essential R1” renders, but the core explanation was not entirely new. Pei had already said in 2021 that Essential was considered as a possible company name and that Nothing did not intend to use the Essential brand.
What changed was the level of detail available: the later explanation clarified the specific assets involved and explicitly rejected the idea that Nothing had bought Essential’s patents.

“Never used” needs one qualification
Nothing never launched a hardware company, phone or earbuds under the Essential name, and it did not revive Essential Products. But the word eventually returned in Nothing software branding.
Nothing introduced Essential Space, a feature that captures screenshots and voice notes and uses AI to organize them into items such as reminders and lists. In June 2025, Nothing said the current version would remain free while leaving open the possibility of a future premium tier; see 9to5Google. By July 2025, Nothing had taken control of the old @Essential social account and used it in connection with Essential Space, according to 9to5Google.
That is a later reuse of a word in Nothing’s software ecosystem, not evidence that Essential Products came back.

What the acquisition tells us about startup naming
A dormant brand can still have practical value: its trademark may be available, the matching domain and social handles may be controlled, and the name may fit a company’s intended positioning. Buying those assets can be part of a fast naming process even when the buyer ultimately chooses another identity.
Nothing’s experience also shows why legal availability is only one naming test. “Essential” may have worked on an internal mood board, yet its existing smartphone history created a market expectation that conflicted with Nothing’s plans. The company changed direction while the cost of doing so was still manageable.
For the acquisition price, no figure has been disclosed. Pei said a nondisclosure agreement prevented him from discussing it, as reported by 9to5Google.
