What happened
NextDecade said it received Oddo’s resignation letter on September 29, 2026, and that his resignation took effect immediately. The company disclosed the departure in a Form 8-K dated October 1, 2026. Read the SEC filing.
The filing says Oddo indicated his resignation was not due to disagreements with the company about its operations, policies, or practices. It does not provide another reason, so it does not establish a personal motive or broader explanation.
Who will replace Oddo?
The filing does not identify a successor. It states that NIC has the right under the Purchaser Rights Agreement to designate a replacement for Oddo on the board, but it does not say that NIC has made a designation or that NextDecade has appointed anyone.

NIC is an affiliate of Mubadala Investment Company. Any successor’s identity and appointment details would need to be confirmed in a later company announcement or SEC filing.
How Oddo joined the board
Oddo joined NextDecade’s board in May 2022 as a Class B director. The board appointed him to fill the vacancy left by Khalifa Abdullah Al Romaithi, after NIC notified the company of its intent to replace Al Romaithi under the same agreement. The 2022 filing documents that earlier transition; it does not establish that every procedural detail will apply to the current vacancy. See the May 2022 SEC filing.

What shareholders should watch for
A later disclosure can clarify who NIC designates and when the board appointment becomes effective. It may also state the appointee’s board class, term, or committee assignment. NextDecade’s 2026 proxy statement describes the board before Oddo’s resignation and should not be treated as a current post-resignation roster.
