Microsoft and the Cloud Infrastructure Services Providers in Europe (CISPE) reached a private settlement on July 11, 2024, ending CISPE’s competition complaint rather than producing an EU antitrust ruling. Microsoft promised licensing and product changes for qualifying European providers; CISPE agreed to withdraw its complaint. The deal did not cover AWS, Google Cloud, or Alibaba Cloud, and its first product remedy was later replaced by a commercially equivalent licensing approach.

CISPE’s official announcement describes an undisclosed lump-sum contribution toward its litigation and campaign costs. Several outlets reported a figure of approximately €20 million, but that amount was not specified in the public settlement announcement. (CISPE settlement announcement; TechCrunch.)
What CISPE alleged
The dispute concerned software licensing, not whether rival providers could technically operate cloud infrastructure. Microsoft’s Windows, SQL Server and other enterprise software can run on infrastructure supplied by another cloud company. CISPE alleged that Microsoft’s licensing rules made that option more expensive, less capable or harder to manage than running comparable workloads on Azure.
In a practical example, a company might want to keep its Microsoft applications while moving the underlying servers to a European provider for sovereignty, price or multi-cloud reasons. CISPE said Microsoft’s terms could make that move economically unattractive, increasing switching costs and favoring Azure.

Its complaint characterized the alleged conduct as:
- discriminatory licensing;
- bundling or tying Microsoft software to Azure;
- self-preferencing Azure;
- technical and economic lock-in; and
- restrictions affecting portability and switching.
Those were CISPE’s allegations, not findings that Microsoft had violated EU competition law. CISPE’s legal theory is summarized in its executive summary of the complaint.
What Microsoft agreed to in 2024
A proposed hoster product
The initial remedy centered on an enhanced version of Azure Stack HCI for European cloud providers. Later CISPE publications refer to the relevant offering as Azure Local. The proposed capabilities included Windows 11 multi-session virtual desktop infrastructure, free Extended Security Updates and pay-as-you-go SQL Server licensing.
The stated goal was to let eligible European providers offer Microsoft applications on their own infrastructure, including deployments connected with sovereign-cloud requirements. Microsoft had nine months to deliver the product-based remedy or address the licensing issues through another approach.

CISPE’s commitments
Under the memorandum of understanding, CISPE agreed to withdraw its European Commission complaint and not initiate or support related complaints on the same issues in Europe or elsewhere. It retained the ability to respond to regulators’ requests for information and said it would continue advocating fair software licensing.
Monitoring through ECCO
The agreement created the European Cloud Competition Observatory (ECCO), managed by CISPE but described as independently governed, with Microsoft participating. ECCO was intended to monitor implementation and broader cloud-licensing practices. Its assessments are not equivalent to the European Commission’s statutory enforcement powers. (ECCO overview.)
Why the settlement was controversial
It was narrower than a sector-wide remedy
The agreement applied to qualifying providers within its scope, not every rival cloud. CISPE explicitly said AWS would be excluded from the negotiations and would not benefit from or be bound by the terms. Google Cloud and Alibaba Cloud were also outside the deal.
AWS and Google criticized the arrangement as insufficient and preferential, arguing that it did not establish equal access for all competitors. The exclusion also raised a governance question: CISPE represented AWS as a member while negotiating a remedy from which AWS was excluded. (TechCrunch’s coverage.)

There was no legal finding
Microsoft did not admit wrongdoing in the settlement. The arrangement resolved CISPE’s complaint through commitments and withdrawal; it did not determine that Microsoft infringed Article 102 of the Treaty on the Functioning of the European Union, and it was not an EU-imposed fine.
A reported payment was not an official fine
The approximately €20 million figure reported by technology publications should be treated as a reported reimbursement of CISPE’s litigation and campaigning costs, not a penalty paid to the European Union. CISPE’s public announcement gives no exact amount.
What happened to the nine-month product plan?
CISPE’s monitoring updates changed the picture in 2025. Its May update said Microsoft and CISPE had agreed that the first, product-based phase was over because Azure Local would not deliver the full feature set described in the agreement. The parties therefore shifted toward a “commercially equivalent” solution using existing Microsoft programs rather than further product development.
CISPE said Microsoft was expected to submit formal proposals by July 10, 2025, the first anniversary of the memorandum. The initial ECCO report had rated progress Amber, reflecting incomplete implementation. (CISPE’s May 2025 update; ECCO second report.)

What the July 2025 follow-up added
In July 2025, CISPE announced a second agreement. Its description said qualified CISPE members could offer Microsoft software through a CSP-Hoster pay-as-you-go model, including Windows Server and SQL Server. It also identified Microsoft 365 Local as a possible sovereign-cloud option if generally available through Microsoft’s Cloud Solution Provider program.
CISPE said European providers could host Microsoft workloads without sharing customer details with Microsoft, subject to the program’s terms. The arrangement remained closed to hyperscale providers designated by Microsoft as “Listed Providers.” Microsoft committed to review effectiveness during the first year, with possible expansion.
These are CISPE’s descriptions of the agreement; eligibility, pricing and implementation depend on the applicable Microsoft program and provider. (CISPE’s July 2025 announcement.)

Licensing can determine portability
A workload may be technically portable while remaining commercially immobile. A customer should model license fees, virtualization rights, support, data-transfer charges, identity dependencies, backup and migration work—not just server performance.

Eligibility matters
Membership in CISPE does not automatically prove eligibility for every Microsoft licensing arrangement. Buyers should ask the provider which program applies, whether it is a CSP-Hoster participant, whether it is excluded as a Listed Provider and which Microsoft products and regions are covered.
Sovereignty is not one feature
“Sovereign cloud” can refer to data residency, local infrastructure, operational control, legal jurisdiction or several of these together. A locally operated service may still depend on Microsoft-controlled identity, management or support systems. Procurement documents should specify the exact sovereignty requirement.
Pay-as-you-go is not automatically cheaper
Pay-as-you-go changes the billing model; it does not establish price parity with Azure. Total cost depends on edition, core count, virtualization design, region, support and the provider’s margin.
How to assess whether the remedy is meaningful
- Scope: Confirm which providers and workloads are covered.
- Economic equivalence: Compare the complete cost with an Azure deployment, including licenses and data movement.
- Technical parity: Check multi-tenancy, virtualization, management and support capabilities.
- Portability: Test whether the customer can move workloads without repurchasing licenses or redesigning applications.
- Enforcement: Determine what recourse exists if a provider cannot obtain the promised terms.
For current commercial options, buyers can review Azure Local, Microsoft’s Cloud Solution Provider program, and the licensing pages for Windows Server and SQL Server. A European provider directory is available from CISPE, but directory membership alone does not guarantee settlement-related eligibility.
What the settlement did not resolve
- It did not produce an EU infringement finding or fine.
- It did not create a universal remedy for AWS, Google Cloud, Alibaba Cloud or every other rival.
- It did not prove that all Microsoft licensing concerns disappeared.
- It did not guarantee Azure-level pricing or functionality for every workload outside Azure.
- It did not give every cloud provider an automatic right to participate.
- It did not make ECCO equivalent to a regulator with statutory powers.
The bottom line for the cloud market
The settlement was a meaningful negotiated concession for eligible European providers, especially customers seeking locally operated infrastructure and more flexible Windows or SQL Server purchasing. It was not a definitive answer to the wider antitrust question. Its practical value turns on provider eligibility, total cost, technical parity, customer-privacy terms and whether an enterprise can actually change infrastructure without losing economic or functional benefits.
CISPE’s October 2025 ECCO update rated Microsoft’s progress Green. That is the observatory’s assessment, not an EU regulatory determination. The broader dispute over cloud switching costs, software licensing and hyperscaler power therefore remains larger than this one settlement.
