K&S Sold Wedge-Bonder Technology to Orthodyne in 2005—Then Acquired Its Business in 2008

K&S’s 2005 sale of wedge-bonder technology to Orthodyne was followed by a separate 2008 acquisition of substantially all of Orthodyne’s wedge-bonding business.

Kulicke & Soffa Industries (K&S) sold wedge-bonder designs and licensed related intellectual property to Orthodyne Electronics in 2005. On October 3, 2008, K&S completed a separate deal to acquire substantially all of Orthodyne’s wedge-bonding business. The later acquisition was not simply a documented buyback of every asset from the earlier transaction: the two deals had different reported scopes, and the available records do not establish that all the same assets changed hands twice.

What K&S sold in 2005

EDN reported the technology sale on March 11, 2005. Its account describes K&S transferring wedge-bonder machine designs and licensing associated intellectual property to Orthodyne Electronics, based in Irvine, California. It does not establish that K&S sold its entire wedge-bonder operation, every machine, or all customer and service obligations. EDN’s report of the 2005 transaction is the source for the deal description and the companies’ stated rationales.

K&S said it would continue selling refurbished machines, providing spare parts and service for its installed base, and selling existing wedge-bonder models for about two years after the transaction. That continuing support is consistent with a technology transfer accompanied by a transition period, rather than proof that every aspect of the product line moved to Orthodyne at once.

Why K&S sold the technology

K&S executive Jack Belani said wedge bonders accounted for less than 1% of K&S sales in the preceding year. In the company’s stated rationale, dedicating research and development resources to larger product lines—particularly ball bonders and test products—made more economic sense. The sales figure and the resource-allocation explanation were reported as K&S’s account, not as an independent assessment of the product line’s profitability.

EDN also placed the move in the context of K&S shedding businesses it regarded as non-core. That broader interpretation should be distinguished from management’s specific explanation: focusing resources on larger lines.

Why Orthodyne wanted the designs

Wedge-bonding equipment was Orthodyne’s primary focus, according to its president, Gregg Kelly. He said K&S’s technology and designs would expand Orthodyne’s offerings. The company expected to use the acquired technology as a foundation for developing and improving machines alongside its own designs.

The strategic fit was straightforward: a relatively small product line for a diversified equipment maker could be a meaningful addition to a specialist’s portfolio. Orthodyne could build on the designs while serving customers for whom wedge bonding was central to their production needs.

What wedge bonding does

Wedge bonding connects semiconductor dies and other structures—such as lead frames or module components—using wire or ribbon. The technique is used in applications where package design, materials, or reliability requirements favor a wedge bond over a ball bond. It can accommodate aluminum wire and ribbon, including larger conductors suited to high-current applications.

K&S’s 2008 filing discusses wedge bonding in connection with power semiconductors and hybrid modules, including automotive power modules and sensors. It also identifies related consumables and tooling, such as wedges, clamp tooling, cutter blades, and wire guides. These details help explain why the business was more than a machine-design portfolio: tools and expendables complemented the equipment. K&S’s 2008 Form 10-K describes the acquired business and its market context.

What changed by 2008

Orthodyne continued as a wedge-bonder supplier after the technology transfer. By 2008, it was described as a leading supplier of wedge bonders and wedges for power-management and hybrid-module markets. That is a market characterization in company and trade coverage, not a market-share measurement established by those sources.

In July 2008, K&S announced an agreement to acquire substantially all of Orthodyne’s assets used to design, manufacture, and sell wedge bonders and heavy-wire wedges, along with related assets and certain liabilities. The acquisition closed on October 3, 2008; K&S announced the completion on October 6. K&S’s completion announcement gives the closing date and announced consideration, while its 2008 Form 10-K sets out the acquired business scope.

The 2008 announcement put consideration at approximately 7.1 million K&S common shares and $80 million in cash, plus potential earn-out payments of up to $40 million in cash tied to specified gross-profit objectives over the following three years. The amounts reported in later accounting descriptions differ because they use different measures and include adjustments: K&S’s 2008 filing reported approximately $82.5 million in cash including working capital, and shares valued at approximately $46.2 million. These figures should not be read as competing versions of one identical headline amount; announced deal terms, cash including working capital, and accounting values are distinct descriptions. K&S’s 2009 annual report provides a later accounting description.

How the acquisition fit K&S’s wider portfolio changes

K&S presented the Orthodyne acquisition as a way to strengthen its semiconductor assembly-equipment position and extend its reach in discrete semiconductors, power management, hybrid modules, automotive power modules, and sensors. The purchase also brought related wedge tools and consumables into the equipment business.

In September 2008, K&S also sold its wire business to W.C. Heraeus. EE Times reported gross proceeds of about $155 million; K&S later reported net proceeds of about $149.9 million. The trade coverage described the wire-business sale and Orthodyne acquisition together as part of a portfolio reshaping that gave K&S resources and a sharper focus on other growth areas. The proceeds figures use different bases, so gross and net amounts are not interchangeable. EE Times’ coverage of the Orthodyne acquisition and wire-business sale describes the paired transactions.

Why selling and later acquiring the business are not contradictory

The 2005 decision concerned technology, designs, and intellectual-property licensing in a product line K&S said represented less than 1% of its prior-year sales. The 2008 deal brought K&S substantially all of an operating specialist’s relevant wedge-bonding assets, including products and related tools, into a broader equipment and applications strategy. The value to K&S could therefore have changed with the scope of the business and its place in the company’s portfolio.

The chronology does not prove that the 2005 sale caused the 2008 acquisition, nor that K&S reacquired every asset or license transferred earlier. The available records also do not provide a full account of Orthodyne’s commercial performance during the intervening years. In 2008 trade coverage said Orthodyne’s executive team, led by Kelly, and its 280 employees would be retained; that report describes plans at the time, not long-term employment outcomes.
