ITG reported sharply higher second-quarter 2026 revenue and free cash flow, but lower GAAP net income and a narrower adjusted EBITDA margin. A Seeking Alpha article says the shares fell by about two-thirds after the IPO; that decline and its endpoint have not been independently verified here. The available company filings show the mixed operating results and IPO details, but do not establish why the stock fell.
What is ITG, and what does its stock represent?
ITG, Inc. (Nasdaq: ITG) provides planning, design, construction, operation, maintenance, and expansion services for broadband, wireless, data-center, utility, and civil infrastructure. It describes two operating service lines: Engineering & Maintenance and Infrastructure Deployment. The company says it operates in 49 states and combines recurring maintenance and fulfillment work with larger deployment projects.
ITG’s IPO closed on July 2, 2026. The company sold 22,439,025 Class A shares, including the exercised overallotment, at $16 per share. Its Form 10-Q reports $338.4 million in proceeds after underwriting discounts and commissions. The listed company used the proceeds to purchase interests in ITG Parent LLC; the parent primarily used the resulting funds to repay revolving-credit and term-loan borrowings. ITG, Inc. indirectly owned 39.02% of ITG Parent’s economic interests after the transaction. That structure means the IPO proceeds should not be described simply as cash retained by the listed corporation.
How strong were ITG’s second-quarter results?
For the quarter ended June 30, 2026, revenue rose 38.4% year over year to $404.6 million. But the growth headline does not describe the whole earnings picture: GAAP net income fell, and adjusted EBITDA margin contracted.

The contrast is important: revenue and adjusted EBITDA increased, but adjusted EBITDA grew more slowly than revenue and its margin fell. The large decline in GAAP net income also shows why adjusted measures should not stand in for reported earnings. Adjusted EBITDA, adjusted net income, and free cash flow are non-GAAP measures; the company’s SEC filing provides reconciliations.
Growth across the first half, with weaker GAAP earnings
For the six months through June 30, 2026, revenue was $738.6 million, up 42.6% from $517.8 million a year earlier. Adjusted EBITDA was $88.4 million, up 25.4% from $70.8 million, and free cash flow was $72.4 million, up 73.1% from $42.1 million. GAAP net income, however, was a loss of $11.4 million, compared with income of $13.2 million in the first half of 2025. The year-to-date GAAP result cautions against treating the second quarter’s adjusted growth figures as a complete summary of performance.

What does ITG say drove revenue growth?
Management attributed the second-quarter revenue increase to acquisitions, expansion of existing and new customer programs, increased activity under recently awarded contracts, and broadly favorable demand trends. These are management’s explanations, not an independently measured breakdown of how much each factor contributed. The company’s release names Ziply Fiber and Intrepid Fiber Networks among customers associated with significant broadband fiber deployment awards.
In its August 12, 2026 release, CEO Andy Parrott said: “Our second quarter results reflect continued momentum across the business and strong execution of our growth strategy.” This is management’s characterization of the results, not an independent assessment.

How much confidence should investors place in ITG’s backlog?
ITG reported next-twelve-month (NTM) backlog of $1.517 billion as of June 30, 2026, compared with $1.259 billion a year earlier and $1.430 billion on March 31, 2026. The company defines NTM backlog as estimated revenue it expects from services over the coming twelve months under master service agreements and other contractual arrangements.
Backlog is an indicator of potential work, not guaranteed revenue. ITG’s calculation may draw on executed contracts, historical activity, customer guidance, and management estimates. The company cautions that project timing can change and actual results may differ materially. A larger backlog therefore offers visibility, but does not remove the risk that work or revenue arrives later than estimated or fails to convert as expected.

Why did ITG shares plunge?
The available evidence does not establish a definitive reason. A Seeking Alpha article titled “ITG, Inc.: Puzzled As Shares Plunge While The Performance Looks Sound” says the shares fell by about two-thirds after the IPO and argues that the decline was an overreaction. Its accessible summary also describes the valuation as below 7x EBITDA. The author disclosed a beneficial long position.
ITG’s SEC filings document its results and IPO, but do not say why investors repriced the shares. The decline claim cannot be pinned to a precise start date, end date, or market-price series on the evidence available, and possible explanations such as margin pressure, leverage, dilution, acquisition effects, valuation expectations, or broader market conditions should not be presented as established causes without direct evidence.

The grounded conclusion is narrower: strong year-over-year revenue and cash-flow growth coexisted with lower GAAP net income and a lower adjusted EBITDA margin. That mix can help frame questions about the business, but it does not prove what caused the share-price move or whether the price is justified.
