It has also described a plan to make Foundry an independent subsidiary within Intel. As of August 18, 2026, however, Intel’s official materials reviewed do not confirm a completed legal spin-off, a Foundry IPO, or a distribution of Foundry shares to Intel shareholders.
What Intel is actually separating
Intel now describes two economically different activities. Intel Products designs and sells processors and other chips. Intel Foundry develops process technology and provides wafer fabrication, advanced packaging, chiplet integration and design-enablement services.
“Chipmaking business” therefore means more than factories. It can include fabrication plants and equipment, process-technology research, packaging operations, chiplet capabilities, foundry employees, customer-support systems and contracts to manufacture chips for Intel’s own product groups or outside customers. Intel’s 2025 annual filing describes this broader offering at SEC.gov.
Three different meanings of “spin-off”

A sale, joint venture or IPO would also be different transactions. An IPO could leave Intel with majority control; a sale would transfer ownership to a buyer. None should be inferred from the phrase “independent subsidiary.”

What Intel has announced and done
- Intel separated Foundry financial reporting from its product businesses and described an operational separation. Its 2025 filing says the company was taking steps to establish Intel Foundry as an independent subsidiary.
- Intel created separate leadership and accountability for Foundry and Products.
- It is trying to build Foundry as an external manufacturing service, rather than using factories only for Intel-designed chips. Intel’s updates are published in its foundry progress plan and financial-reporting explanation.
Those are significant organizational changes, but they are not evidence that Intel shareholders will receive shares in a new public company.
Why greater separation helps Intel
Clearer financial performance
A separate Foundry profit-and-loss statement can show whether manufacturing, process development and customer services are improving independently of chip sales. Intel says its internal Foundry model is intended to make those economics more visible.
Accountability for outside customers
External customers expect predictable yields, delivery schedules, process documentation, design kits, intellectual-property support, confidentiality and commercial terms. Intel’s annual filing says its foundry ecosystem includes electronic-design-automation tools, process-design kits and foundation IP, not just factory capacity.

Potential access to partners and capital
A more independent subsidiary could make strategic investment, joint ventures or government-backed financing easier to structure. It does not, by itself, mean Intel has decided to surrender control or list Foundry.

Customer confidence and capital discipline
Some chip designers may prefer a supplier with clearer organizational boundaries from Intel’s competing product businesses. Intel also says its “Smart Capital” approach is meant to direct spending toward projects with attractive expected returns.
Why a complete spin-off would be difficult
Intel still needs its factories
Intel Products remains a major customer of Foundry. Intel’s first-quarter 2026 filing said substantially all Foundry activity still supported Intel’s own products at that time. A legal separation would require detailed supply, pricing, capacity-reservation and technology agreements between the former parent and the new company.

External business is still small
Intel’s 2025 filing said it had few external foundry customers and was still building Foundry into a significant outside business. That makes a standalone valuation difficult because profitability, customer concentration and future capital needs remain uncertain.
Manufacturing is capital-intensive
A separated Foundry would need funding for fabs, equipment, process research, packaging and software support. It would also need agreements covering debt, pensions, taxes, government incentives and ownership of intellectual property.

Intel presents U.S.-based leading-edge research and manufacturing as part of a more resilient semiconductor supply chain. Its annual filing links the strategy to domestic capability, which may favor retaining strong coordination even if ownership is later reorganized.

What the numbers say about the challenge
Intel reported $4.5 billion of total Foundry revenue in the fourth quarter of 2025, but only $222 million of external-Foundry revenue. It also reported a $2.5 billion Foundry operating loss for that quarter. These figures come from Intel’s Q4 2025 earnings-call document.
Total Foundry revenue includes activity associated with Intel’s own products and therefore is not the same as commercial revenue from independent customers. The operating loss is a segment accounting figure, not necessarily the cash loss a hypothetical standalone company would report after new cost allocations.

Corporate structure cannot compensate for weak manufacturing execution. Intel reported that its 18A process entered high-volume production in 2025 and is seeking government, enterprise and other foundry customers. The practical tests are yield, performance, delivery and customer volume, along with advanced packaging and chiplet integration.

Intel’s 2025 reporting said it expected customers to make 14A process decisions in the second half of 2026 and the first half of 2027. That is a forward-looking company expectation, not a guaranteed schedule; the statement appears in the proxy and annual-report material.
How this fits Intel’s wider turnaround
Foundry separation is one tool in a broader plan that also includes restoring engineering execution, rebuilding the x86 product franchise, improving artificial-intelligence and data-center offerings, reducing operating costs, improving capital efficiency and expanding outside manufacturing revenue. Intel’s annual filing presents these priorities as connected rather than as a single transaction.
What would prove a real spin-off is underway
Investors should look for transaction-specific evidence rather than organizational language alone:
- A board-approved separation announcement.
- An SEC Form 10 registration statement or equivalent filing.
- A named legal entity with assets and liabilities transferred to it.
- An ownership structure and distribution ratio for Intel shareholders.
- A proposed stock exchange, ticker or IPO timetable.
- Debt, tax, pension, supply and intellectual-property agreements.
- A separate board and management team.
As of August 18, 2026, the official materials reviewed emphasize separate reporting, operational separation and an independent-subsidiary model—not those legal mechanics.

- 18A or later nodes miss expected yield, performance or schedule targets.
- External customers delay production decisions or remain dependent on TSMC and Samsung.
- Intel’s internal products do not provide enough volume to support the fabs.
- Foundry losses grow faster than outside revenue.
- A separation raises manufacturing costs or weakens coordination for Intel Products.
- Customers remain concerned about confidentiality while Foundry is controlled by a competing chip designer.
- Capital needs exceed Intel’s balance-sheet capacity or require dilutive outside funding.
Bottom line for shareholders and employees
Intel is making Foundry more financially and operationally independent and is pursuing a business that can manufacture chips for other companies. That is a core part of the turnaround. But “independent subsidiary” is not “spun-off public company.” Until Intel files transaction documents or announces a board-approved sale, distribution or listing, the accurate description is an internal separation and commercialization effort, with a full legal spin-off still unconfirmed.
