Intel Acquires Lantiq: Deal Timeline, Price and What Happened Next

Intel bought Munich-based broadband chip supplier Lantiq in 2015 to expand beyond cable gateways. The announcement disclosed no terms; later filings reported different cash-consideration figures.

Intel announced its agreement to acquire Munich-based chip supplier Lantiq on February 2, 2015, and completed the purchase on April 16, 2015. The deal expanded Intel’s broadband-access portfolio beyond cable gateways into DSL, fiber, LTE and connected-home markets. Intel did not disclose a price when it announced the agreement; later filings reported two different cash-consideration figures, reflecting different accounting disclosures.

When did Intel acquire Lantiq?

Intel announced a definitive agreement to acquire Lantiq on February 2, 2015. The deal was subject to customary closing conditions and regulatory approvals, and Intel expected it to close in about 90 days. Intel announced completion on April 16, 2015.

How much did Intel pay for Lantiq?

Intel did not disclose the transaction terms in its February 2015 announcement. Its later filings reported different accounting measures: Intel’s 2015 annual report, filed in 2016, recorded $345 million in net cash consideration, while a filing covering the first nine months of 2015 reported $383 million in acquisition-date cash consideration. Those figures should not be treated as interchangeable or reduced to one definitive purchase-price figure.

Intel said the acquisition’s purchase price was allocated substantially to goodwill and intangible assets. It did not provide a separate Lantiq revenue figure in the cited disclosures.

Why did Intel buy Lantiq?

Intel’s stated aim was to broaden its residential-gateway business, which was focused on cable, into DSL and fiber access, while also extending its reach into LTE, retail and Internet of Things (IoT) smart-router markets. A wider set of access technologies could give device makers and service providers more options for building home gateways that connect multiple devices and services.

At the time of the announcement, Intel senior vice president Kirk Skaugen said the company expected more than 800 million broadband-connected households worldwide by 2018. That was a forecast made in 2015, not a current household estimate. Lantiq CEO Dan Artusi described the opportunity as developing customer-premises equipment into a “smart gateway” for a wider range of home devices and services.

What technology did Lantiq make?

Lantiq was a fabless semiconductor supplier: it designed chips and related technology rather than operating its own chip factories. Its portfolio covered broadband access and home networking, including:

  • DSL: xDSL products, including vectoring technology intended to improve DSL performance, and G.fast.
  • Fiber access: Gigabit Passive Optical Network (GPON) technology and Fiber to the Distribution Point (FTTdp) solutions.
  • Home gateways: gateway and DSLTE systems for broadband customer-premises equipment.
  • Networking components: network processors, Ethernet and voice solutions.

Intel said at announcement that more than 100 operators worldwide deployed Lantiq DSL solutions and that Lantiq held more than 2,000 patents related to broadband communications. These are figures Intel reported in 2015.

What happened to Lantiq after the acquisition?

Intel included Lantiq’s operating results in its Client Computing Group. A later SEC exhibit filed in connection with MaxLinear’s acquisition of Intel’s home-internet-access business says that business was primarily formed from Intel’s 2015 acquisition of Lantiq Semiconductor. This establishes a later ownership transition for the home-access business, but does not by itself describe every Lantiq product or asset after the Intel deal.

The cited primary disclosures do not provide a standalone post-acquisition revenue series, a quantified synergy measure or a complete product-roadmap history for Lantiq. Those outcomes cannot be reliably inferred from the purchase announcement or the accounting figures alone.
