Infinite Reality (iR) and Stakes announced on April 16, 2024, that they had completed a share-for-share acquisition. The companies said the transaction valued Stakes at $8 million and Infinite Reality at $3 billion. It was an all-stock deal aimed chiefly at adding mobile-product, gaming, social-engagement and blockchain/Web3 capabilities to iR’s immersive-media portfolio—not an $8 million cash purchase of a mature virtual-worlds company.
Infinite Reality’s announcement described Stakes as a social sports platform, while GamesBeat reported that it also had Web3-based sports-wagering capabilities.
What Infinite Reality bought
Stakes was presented as a social sports product where fans could compete, demonstrate sports knowledge and interact with communities. The public description supports a sports-gamification and fan-engagement business. It does not establish that Stakes was a conventional sportsbook, that it held gambling licenses, or that it generated a particular level of wagering revenue.
The acquisition also brought a team with mobile-development, gaming and audience-engagement experience. Infinite Reality said team members had backgrounds at Zynga, Electronic Arts and Wagr, which Yahoo acquired in 2023. The announcement also identified IAC, Sterling Select Group and FBG Capital among Stakes’ investors, but did not disclose any continuing investor role in iR.

Why iR wanted Stakes
Mobile product development
Infinite Reality’s public identity emphasized immersive media, spatial computing and digital environments. Stakes added experience building consumer-facing mobile products, a channel suited to frequent, lightweight interaction rather than occasional visits to a virtual experience.
Social competition and retention
Sports predictions, contests and community features can give fans reasons to return around live events. That engagement model could complement iR’s sports, entertainment and immersive properties. This is a strategic rationale, not evidence that the combined company achieved particular user-retention or revenue results.
Gaming and Web3 capability
iR said the team would help future-proof the company for blockchain and Web3 integrations. GamesBeat used the more specific description “Web3-based sports wagering.” Those descriptions should not be conflated: the official release centered on social competition and community, and the reviewed sources do not establish the jurisdictions, licenses or legal status of any wagering functionality.

What “$8 million in stock” means
“$8 million in stock” describes the stated value of the consideration, not a disclosed cash payment. In a share-for-share transaction, Stakes owners exchange their interests for equity in Infinite Reality. The negotiated value of that equity was reported as $8 million at closing.

The announcement does not state the number of iR shares issued, the exchange ratio, the share price used, the percentage of iR owned by Stakes holders, lockups, earn-outs, liquidation preferences, employee-equity treatment or whether the valuation used a fully diluted capitalization.
| Item | What was publicly stated |
|---|---|
| Completion date | April 16, 2024 |
| Structure | Completed share-for-share, all-stock acquisition |
| Stakes valuation | $8 million |
| Infinite Reality valuation | $3 billion |
| Cash consideration | Not described in the announcement |
| Share count and exchange ratio | Not disclosed |
For perspective, if a buyer valued at $3 billion acquires a target valued at $8 million entirely with its own shares, the target’s owners receive a small equity interest whose value is tied to the negotiated private-company valuation. They do not necessarily receive $8 million in cash or immediately tradable securities.

How reliable are the $3 billion and $8 million figures?
The figures were transaction valuations reported by the companies and repeated in contemporary coverage, including GamesBeat. They were not public-market prices or an independently audited market capitalization. A private-company valuation can reflect negotiated exchange terms, financing expectations and capitalization assumptions that are not visible in a short announcement.
That is why the deal should be described as valuing Infinite Reality at $3 billion, rather than asserting that iR “was worth” $3 billion in the same sense as a listed company with a continuously quoted share price.
Stakes in Infinite Reality’s acquisition strategy
Stakes was one component of a rapid portfolio-building strategy. In a July 2024 announcement, iR listed several 2024 transactions: Ethereal Engine at $75 million, Action Face at $10 million, the Drone Racing League at $250 million and Landvault at $450 million, alongside Stakes at $8 million. The company said those transactions, combined with its later Landvault deal, represented $800 million in year-to-date transaction value.

The assets served different roles:
- Ethereal Engine: immersive and spatial-web infrastructure.
- Drone Racing League: a sports and entertainment property.
- Action Face: facial and computer-vision technology.
- Landvault: immersive enterprise and digital-environment capabilities.
- Stakes: social sports participation, mobile engagement and potential Web3 functionality.
The strategic logic is that Stakes could provide the participation and community layer connecting content, sports properties, gaming mechanics and immersive environments. That is an inference from the portfolio and stated rationale, not a reported post-acquisition result.
What the public record does not show
- Stakes’ user count, revenue, profitability or retention before the acquisition.
- How many Stakes employees joined iR or under what employment terms.
- A disclosed product launch, integration milestone or financial contribution from Stakes after closing.
- The precise dilution experienced by existing iR holders.
- Whether any wagering feature operated in regulated markets or under specific licenses.
Without those data, the strongest supported interpretation is a capability-and-talent acquisition. The public record does not support calling the transaction a proven operating success.

January 2025: another company-reported valuation
On January 8, 2025, iR announced a $3 billion funding round and a $12.25 billion valuation, again listing Stakes among its acquisitions. That later figure should not be substituted for the $3 billion valuation stated in the April 2024 Stakes transaction. The announcement is available at Infinite Reality’s site.
May 2025: rebrand as Napster Corporation
In May 2025, Infinite Reality announced a rebrand as Napster Corporation. The change does not alter the historical structure or valuation terms of the Stakes acquisition. See Napster’s announcement.
Investor takeaways
- It was stock-funded: the headline $8 million was a valuation of equity consideration, not a disclosed cash outlay.
- The strategic asset was capability: mobile development, social sports engagement, gaming talent and potential Web3 integration were more clearly documented than financial traction.
- Valuation is private and negotiated: $3 billion and $8 million are transaction benchmarks, not exchange-traded market prices.
- Execution remains the open question: public sources do not quantify Stakes’ post-deal users, revenue or integration results.
Frequently Asked Questions
Did Infinite Reality pay Stakes $8 million in cash?
No. The acquisition was announced as a completed share-for-share transaction. The $8 million was the stated valuation of the stock consideration; the public announcement does not describe an $8 million cash payment.
Was Stakes a sports-betting company?
The official release called it a social sports platform for competition, sports knowledge and community engagement. GamesBeat described Web3-based sports wagering, but the reviewed sources do not establish licensing, jurisdictions or regulated gambling operations.

No independent public-market valuation was provided. It was a private-company transaction valuation stated by Infinite Reality and Stakes and reported by contemporary coverage.
The Bottom Line
Infinite Reality’s April 2024 purchase of Stakes is best understood as an all-stock acquisition of a social-sports product and an experienced mobile and gaming team. The $8 million figure measured negotiated equity value, while the $3 billion iR figure was a private transaction benchmark. The strategic case—adding consumer participation to an immersive-technology portfolio—is clear; public evidence of Stakes’ financial performance or post-deal success is not.
