HPE CEO Antonio Neri said on December 5, 2024, that he was confident Hewlett Packard Enterprise would close its proposed Juniper Networks acquisition in early calendar 2025 and called networking HPE’s “biggest upside” for 2025 and 2026. That timing proved too optimistic: the U.S. Department of Justice sued to block the transaction in January 2025, HPE and Juniper announced a settlement on June 28, and HPE completed the purchase on July 2, 2025.
The completed transaction involved approximately $13.4 billion in cash consideration. HPE’s accounting disclosure put total purchase consideration at approximately $13.6 billion after other transaction components. The outcome preserved Neri’s broader networking strategy while showing how regulatory review can overturn an executive’s expected timetable.
What Antonio Neri said in December 2024
During HPE’s December 5, 2024 discussion with analysts, Neri said the company was working collaboratively with the DOJ and that nothing gave him pause about completing the Juniper transaction. He expected the deal to close in the early part of 2025. In that context, “early next year” meant early calendar year 2025, viewed from December 2024—not 2026.
Neri also described networking as HPE’s “biggest upside” for 2025 and 2026. He argued that a combined business could provide modern, secure networking for AI workloads and make networking more central to HPE’s identity. Those were management’s expectations, not guarantees about future revenue, margins or customer adoption. CRN reported Neri’s comments and outlook.

CRN also reported Neri’s estimate that the combined networking operation could reach about $11 billion, equal to roughly one-third of HPE revenue and more than half of its profits. That estimate should be treated as Neri’s or CRN’s attributed projection rather than a reconciled HPE financial statement.
Why networking was HPE’s strategic priority
HPE was attempting to shift its mix toward infrastructure categories it viewed as higher-growth and higher-margin, including AI data-center networking, hybrid-cloud connectivity, network management and as-a-service offerings. Networking could also give HPE more opportunities to sell servers, storage, software and services together in an edge-to-cloud portfolio.
AI turns interconnects into a critical infrastructure layer
AI clusters generate heavy east-west traffic among servers and accelerators. As compute capacity expands, switches, routers, fabrics and optics can become constraints if they cannot deliver sufficient bandwidth, latency, resilience and telemetry. Customers also want automation, observability and predictive operations rather than isolated hardware.

That makes AI networking a market opportunity HPE was targeting. It does not mean every AI deployment requires HPE or Juniper equipment, or that AI demand alone proves the acquisition price was justified.
The portfolio logic
HPE’s Aruba Networking business gave it established strengths in enterprise campus, wireless, edge and management environments. HPE also had Slingshot interconnect technology associated with AI and supercomputing. Juniper added complementary routing, switching, data-center and service-provider capabilities, along with an AI-oriented networking position. HPE presented the combination as a broader alternative to Cisco; that is a strategic claim, not evidence that the merged company has already displaced Cisco.

The rationale was therefore not simply HPE buying another enterprise-networking vendor. HPE described Juniper as filling important data-center and AI-infrastructure gaps while Aruba supplied enterprise and edge strengths. The practical value depended on how successfully the companies combined roadmaps, support and management systems after closing.

Why the DOJ challenged the acquisition
The DOJ argued that the transaction could substantially reduce competition and weaken innovation in parts of enterprise and wireless networking. HPE and Juniper disputed that analysis, saying the government defined the relevant market too narrowly and that the combined company would create a stronger competitor to Cisco. Neri publicly said he remained confident HPE would prevail.
The settlement resolved the litigation and allowed the transaction to close; it did not establish that every HPE argument was legally correct or prove that competition would increase. The regulatory case is the direct reason Neri’s early-2025 timetable slipped to July.

HPE said the acquisition doubled the size of its networking business and created a portfolio spanning Aruba Networking, Juniper technologies, hybrid cloud and AI infrastructure. These are HPE’s descriptions of the strategic effect. HPE outlined that portfolio rationale after closing.

HPE reported $2.096 billion of Juniper revenue from July 2 through October 31, 2025 in its fiscal-2025 filing. Its networking revenue rose by $2.318 billion, or 51.1%, for fiscal 2025, primarily because of revenue attributable to Juniper. Those figures cover the post-close reporting period and should not be read as a full-year organic growth rate for the combined business. HPE’s filing provides the period and accounting context.

Product and support continuity
Existing Juniper customers are likely to prioritize uninterrupted support, contract treatment and roadmap clarity. Existing Aruba customers may not need Juniper’s data-center or service-provider products. HPE’s acquisition announcement alone does not establish that products were immediately integrated, that all Juniper products will remain unchanged, or that customers will face mandatory migrations.

Portfolio overlap and procurement
Aruba and Juniper overlap in some networking categories, so HPE must decide how to position products, management platforms and future roadmaps. Customers with multivendor networks may value open standards and interoperability more than buying from one supplier. Public-sector and regulated organizations may also face procurement, certification or support requirements that slow any transition.
Channel opportunities and risks
Partners can gain a larger networking portfolio to sell alongside HPE servers, storage, hybrid-cloud services and AI systems. Channel commentary described the combination as a stronger Cisco alternative, but partner expectations are not guaranteed outcomes. Integration can also create certification changes, distribution complications, incentive conflicts and uncertainty about which products receive investment. Competitive choices
Service providers and specialized data-center operators will still compare HPE-Juniper with Cisco, Arista, Nokia and other vendors. The combined company may offer broader coverage, but customers should evaluate interoperability, lifecycle support, operational tooling and deployment fit rather than assume that a larger portfolio is automatically the best technical or financial choice.
The bottom line on Neri’s prediction
Neri correctly identified networking as a major strategic opportunity for HPE, particularly as AI increases demand for high-performance interconnects and managed operations. His closing forecast did not hold: DOJ litigation delayed the transaction until the June settlement and July 2, 2025 completion. The acquisition ultimately delivered the broader networking platform HPE wanted, but its commercial success will depend on integration, customer retention, partner execution and competition—not on the original timetable.
