A useful record lets someone who missed the meeting identify the purpose, participants, decisions, unresolved issues, action owners, and deadlines without listening to a recording.
The right level of detail depends on risk. A routine team meeting may need a page of decisions and actions; a board or committee may require motions, vote results, quorum, approvals, and retention controls under its bylaws or applicable law.
What meeting minutes are—and are not
“Minutes” describes the written record of a meeting, not its duration. In an ordinary workplace, minutes may be an internal operational record. For a board, association, nonprofit, committee, or other deliberative body, they may be an official record that must follow bylaws, statute, public-meeting rules, or parliamentary procedure.
Minutes differ from personal notes. Notes can contain rough ideas, reminders, and private observations; minutes should contain verified, shareable information. They also differ from a transcript. Use this test: Could a person who was absent understand what was decided, what remains open, what they must do, and by when? If not, the minutes need either more substance or less distracting detail.
What to include in meeting minutes
Use the meeting’s agenda as the outline. Common workplace templates from Asana and Atlassian include the meeting details, attendees, discussion topics, decisions, actions, and next meeting information (Asana’s meeting-minutes template; Atlassian’s meeting-notes template).
Meeting details
- Meeting title and organization, team, or committee
- Date, start time, end time, and location or video platform
- Chair or facilitator
- Minute-taker
- Meeting type, when relevant (regular, special, closed, annual, or emergency)
Attendance
- People present
- People absent
- Guests or observers
- Late arrivals or early departures when they affect a decision
- Quorum status for a formal body, if applicable
Agenda and discussion
Keep the agenda order. Under each item, summarize only context needed to understand the outcome, such as a cost estimate, risk, dependency, or report considered. Link to the source document instead of reproducing a long presentation.
Decisions and unresolved items
State the result precisely: approved, rejected, deferred, referred for review, withdrawn, or no decision made. Record enough rationale to make the decision intelligible, but do not recreate the debate. If an item is postponed, state what information is needed and when it returns.

Each action needs one accountable owner, a concrete deliverable, and a due date when one was agreed. Add a dependency or status if it affects execution.

“Discuss budget” and “follow up with client” are topics, not usable assignments. If nobody accepted ownership, write “Owner not assigned” or “Owner to be confirmed by [date]”; never infer an owner from who happened to mention the task.

- Adjournment time for formal meetings
- Whether these minutes are Draft, For review, Approved, or Approved as corrected
- Approval date, version date, and editor where a digital record is maintained
How to prepare before the meeting
- Obtain or create the agenda and copy its items into the minutes document. Using the agenda as the structure is also recommended in Atlassian’s meeting-notes guidance: https://www.atlassian.com/blog/teamwork/meeting-notes.
- Pre-fill the date, time, location, chair, minute-taker, and expected attendees.
- Add links to proposals, reports, budgets, or other supporting material.
- Create separate fields for Discussion, Decision, Action, Owner, Due date, Open question, and Dependency.
- Review the previous minutes and unresolved actions.
- Confirm who can approve or amend the record.
- Decide whether recording or transcription is permitted and what consent or retention policy applies.
- Test the shared document, recording, or transcription tool. Arrange a backup note-taker for a formal or high-stakes meeting.

How to take minutes during the meeting
Use the agenda as a live outline and capture information that changes what people know, decide, or do. For each item, look for eight elements:
- Topic: What was considered?
- Context: What background is necessary?
- Decision: What was agreed, if anything?
- Action: What happens next?
- Owner: Who is accountable?
- Deadline: What exact date applies?
- Unresolved issue: What remains open?
- Reference: Where is the supporting material?
Shorthand keeps live capture fast: D: decision, A: action, O: owner, Due: deadline, Q: open question, P: parking-lot item, R: risk or dependency, and TBC: needs confirmation.
Clarify ambiguity immediately rather than silently guessing:
- “To make sure I record this correctly, is the decision to proceed with option B?”
- “Who owns that action?”
- “What date should I record?”
- “Is this approved now, or still under discussion?”
- “Should this be recorded as deferred?”
How to draft and verify minutes afterward
- Review shorthand while the discussion is fresh.
- Reconcile the notes with the agenda and any permitted recording or transcript.
- Separate discussion summaries from decisions.
- Turn vague follow-up language into explicit actions, without inventing an owner or deadline.
- Verify names, dates, numbers, document links, and any motion wording.
- Remove repetition, side conversations, gossip, and irrelevant debate.
- Mark uncertainty as “TBC,” “No decision made,” or “Owner not assigned” instead of filling gaps.
- Send a draft to the chair or designated reviewer.
- Distribute the approved record—or clearly labeled draft—to the relevant audience.
- Move actions into the team’s task tracker and store the final minutes in the canonical location.
Use exact dates rather than “next Friday.” Distinguish “agreed,” “proposed,” “noted,” “deferred,” and “requested.” For example:

What to leave out
- Verbatim conversation and every speaker’s name
- Personal opinions or editorial judgments
- Unverified interpretations and unapproved conclusions
- Private side conversations, gossip, and irrelevant detail
- Sensitive personal information that is not necessary for the record
- An owner, date, approval, or vote that was never agreed
- A motion described as passed when it was only discussed
Attribute a comment only when attribution matters to the decision, dissent, accountability, or a formal requirement. Otherwise, describe the material issue neutrally.

How to record disagreement, motions, and votes
Ordinary team disagreement
Record the decision and briefly note a material objection if it changes implementation, risk, or follow-up. Do not attribute every comment or pretend consensus existed when it did not. Link to detailed analysis separately when appropriate.
Formal motions and votes
For a board or deliberative body, follow the organization’s bylaws and adopted procedure. Depending on those rules, minutes may need:
- Final motion or resolution wording
- Mover and, where required, seconder information
- Amendments and their disposition
- Whether the motion passed, failed, was withdrawn, or postponed
- Vote method and tally; roll-call names when required
- Recusals, abstentions, or conflicts of interest
- Quorum and approval information
Robert’s Rules states that the seconder’s name generally need not appear, while counted or ballot votes should include totals and roll-call votes may list names by side: https://robertsrules.org/rror-10.htm. Robert’s Rules is not universal law; bylaws, statute, public-meeting requirements, or another adopted procedure may control.
Do not write “the board decided not to approve” when a motion actually failed, was postponed, or was withdrawn. Record the procedural result accurately. Formal minutes may require approval or correction at a later meeting, but ordinary workplace minutes do not automatically require a formal approval vote. For formal board minutes, add motion number, motion wording, mover, amendment history, vote method and result, recusals or abstentions, and required signature fields.
Remote and hybrid meetings
- Distinguish invited participants from people actually present.
- Note late arrivals, departures, and technical interruptions when they affect a decision.
- Confirm identity and remote-voting procedures where required.
- Use shared documents only when permissions and confidentiality are appropriate.
- Do not treat a platform transcript as an approved record.

Minutes, action logs, decision logs, and transcripts
These records serve different purposes:

Storage, access, and retention
- Keep one canonical location with predictable permissions.
- Use names such as

- Keep confidential meetings restricted to the appropriate audience.
- Use searchable text and links that remain valid when folders or staff change.
- Retain records according to organizational policy and applicable requirements.
There is no universal retention period. Corporate policy, nonprofit rules, public-records obligations, litigation holds, tax requirements, contracts, and jurisdiction can all change what must be retained.

Start with the process, not the software. A clear agenda, explicit decisions, named owners, exact dates, human review, and disciplined storage matter more than a particular platform.

Common mistakes and fixes
- Writing a transcript: summarize material context, decisions, and actions.
- Listing discussion without an outcome: add a decision or explicitly write “No decision made.”
- Using vague actions: specify one owner, one deliverable, and one date.
- Writing from memory days later: prepare the structure in advance and draft promptly.
- Mixing private notes with official minutes: keep working notes separate.
- Letting AI invent commitments: compare every generated item with the source and have the chair confirm uncertain points.
- Treating a template as a compliance standard: check bylaws, policy, statute, and governing procedure.
- Failing to distinguish draft from approved: put the status in the title and header.
- Burying actions in paragraphs: use a visible action table.
- Recording unnecessary opinions: attribute only when materially relevant or required.
Special cases and safeguards
No decision was made
Say so directly: “No decision was made,” “Discussion deferred pending legal review,” “The group requested additional cost estimates,” or “Item moved to the September 2, 2026 agenda.” Do not turn discussion into an implied decision.
The meeting went off agenda
Use “Other business,” “Parking lot,” “Deferred items,” or “Added agenda item.” Record the outcome and follow-up rather than the entire detour.
Reviewers disagree about the wording
- Circulate the draft and request factual corrections to names, dates, decisions, and assignments.
- Do not let review add decisions that were never made.
- Escalate an unresolved factual dispute to the chair or approving authority.
- Preserve the approved version and any required amendment record.
Confidential or privileged meetings
Seek guidance from counsel or organizational policy for attorney-client discussions, employee discipline, health information, mergers and acquisitions, securities-sensitive information, closed sessions, investigations, security incidents, and meetings subject to public-records laws. Recording consent and retention requirements vary by jurisdiction and context.
Formal bodies may also have organization-specific requirements.
