How to Evaluate Western Digital Stock After the SanDisk Spin-Off

Western Digital is now an HDD-focused company. Evaluate WDC stock by separating recurring drive economics from the SanDisk-related gain and weighing cloud concentration, cash flow, debt and execution risks.

Western Digital (WDC) is no longer a combined hard-drive and flash-memory company. It completed the separation of its Flash business into SanDisk on February 21, 2025, and its FY2026 Form 10-K says it held no SanDisk shares as of July 3, 2026. To evaluate WDC today, focus on its HDD business, the quality and durability of its earnings and cash flow, its customer concentration, and a valuation that excludes one-time separation-related gains.

Start with the company WDC is today

The title’s two-business framing describes Western Digital before its Flash separation, not its current reporting structure. After the February 21, 2025 separation, SanDisk is a separate company; WDC’s current operating results are centered on hard disk drives (HDDs). WDC’s FY2026 filing reports no operating Flash segment and says it no longer held SanDisk shares as of July 3, 2026. Western Digital’s FY2026 Form 10-K is the appropriate starting point for current results and risks.

Historical comparisons need care. Before the separation, SanDisk results are presented as discontinued operations for periods covered by the filing; after the separation, they are not consolidated into WDC’s results. A comparison that uses pre-separation combined-company figures against today’s HDD-focused WDC can confuse changes in business perimeter with changes in performance.

Understand what generates WDC’s revenue

In FY2026, WDC reported $12.919 billion of revenue, with Cloud contributing $11.490 billion, Client $726 million, and Consumer $703 million. Cloud therefore represented about 89% of total revenue. The mix makes WDC’s exposure to data-center and cloud customers much more important than its smaller Client and Consumer businesses.

Shares are rounded calculations from WDC’s FY2026 revenue figures. The company attributes demand to rising long-term storage needs and AI-related workloads, and says customers are seeking higher-capacity drives with greater manufacturing complexity and longer lead times. It also reports some customers engaging earlier and extending commercial arrangements. These are company disclosures and management’s demand framing, not independent evidence that demand or pricing will continue at the same pace.

Separate volume, pricing and margins

WDC reported FY2026 revenue growth of 36%, exabytes sold growth of 25%, and an 8% increase in average selling prices per exabyte. Those figures point to a combination of more capacity shipped and a better realized price per unit of capacity. WDC attributed cloud growth to stronger volume of high-capacity enterprise products and an improved pricing environment. It also said gross-margin expansion reflected shipment levels, newer-generation cost structure, and a mix shift toward higher-capacity drives. These explanations identify drivers to monitor; they do not establish that the same combination will recur.

For the latest quarter in the FY2026 release, Q4 revenue was $3.747 billion, GAAP gross margin was 54.1%, GAAP operating income was $1.563 billion, GAAP diluted EPS was $8.21, operating cash flow was $1.39 billion, and free cash flow was $1.28 billion. Use the GAAP labels when comparing these figures with other companies, and keep quarterly results distinct from full-year results.

Management guided to Q1 FY2027 year-over-year revenue growth of 42% to 49%; this is forward-looking guidance, not a reported outcome. In the August 5, 2026 earnings release, CEO Irving Tan said, “WD concluded fiscal year 2026 with strong performance. In our fiscal fourth quarter, revenue increased 44% year over year, gross and operating margins expanded, and earnings per share more than doubled. These results reflect our ability to scale innovation and operational excellence across our global organization, supporting our customers’ growing storage demand.” Treat this as management’s characterization of company performance, not an independent forecast. The FY2026 Q4 and full-year earnings release provides the reported figures and guidance.

Normalize earnings before using a P/E ratio

WDC reported FY2026 continuing-operations net income of $9.424 billion, but that figure included a $6.498 billion mark-to-market gain on its retained SanDisk interest. Because WDC says it had no SanDisk shares remaining at year-end, the gain is not recurring HDD operating profit. A P/E ratio based on unadjusted GAAP earnings can therefore make the stock look cheaper than an earnings base tied to ongoing operations would imply.

For valuation, examine operating income, operating cash flow and free cash flow alongside net income. Also review interest expense and debt, and consider how transaction-related items affect earnings and share count. WDC’s filing discusses debt-for-equity exchanges, convertible-note transactions, and equity-for-equity exchanges; investors should assess their effects rather than assume that all reported earnings or per-share growth comes from the HDD business. Any normalized earnings estimate should state its adjustments and should not simply subtract a single unusual item without considering tax, share-count, and other effects.

Assess concentration, capital allocation and balance-sheet risk

WDC’s ten largest customers represented 73% of FY2026 revenue; three individual customers accounted for 16%, 15%, and 13%. Such concentration can expose results to order timing, customer bargaining power, and changes in cloud or enterprise spending. Do not infer the identities of customers from these percentages.

The FY2026 filing reported $3.26 billion remaining under WDC’s share-repurchase authorization as of July 3, 2026, after $2.59 billion of repurchases during that fiscal year. WDC reported FY2026 dividends of $0.50 per share. In August 2026, its board declared a $0.15-per-share dividend payable September 17, 2026 to shareholders of record September 8, 2026. These are dated facts, not promises of future buybacks or dividends. Check the latest company announcement before relying on a current payout or authorization.

Include leverage, interest obligations, and the company’s ability to sustain investment in manufacturing and product development in any assessment of shareholder returns. Repurchases and dividends can support returns, but their value depends on cash generation, balance-sheet needs, and the price paid for shares.

Use a risk checklist, not only a growth narrative

WDC’s FY2026 filing identifies risks that can undermine favorable demand and pricing conditions. Consider how each applies to the investment case:

  • Storage demand and pricing: demand can fluctuate, and product pricing can change, affecting revenue and margins.
  • Customer dependence: a concentrated revenue base magnifies the impact of major customer decisions and spending cycles.
  • Competition: competing products and pricing pressure can affect market position and profitability.
  • Suppliers and manufacturing: dependence on a limited supplier base and potential supply-chain or manufacturing disruptions can constrain output or raise costs.
  • Technology execution: product development and delivery of new technologies must keep pace with customer requirements, including demand for higher-capacity drives.
  • Financial obligations: debt and other obligations can limit flexibility, particularly if cash generation weakens.
  • Customer relationships: retaining key commercial relationships matters in a business with large, concentrated buyers.
  • Separation effects: the company must execute as a standalone HDD-focused business, and the separation can affect operations, costs, and comparisons with historical results.

These risks are described in WDC’s FY2026 Form 10-K. The filing identifies exposures; it does not establish that any particular adverse outcome will occur.

Compare WDC with peers on a like-for-like basis

Before comparing WDC with another storage company, align the business perimeter and reporting periods. WDC’s post-separation HDD-focused results should not be compared as though they were the old combined HDD-and-Flash company. Then compare the factors that determine both earnings quality and risk:

Market prices and valuation multiples change, and no current share price, target, or expected return is established here. Use current market data and the companies’ latest filings to calculate comparable multiples, stating the date and whether the earnings denominator is GAAP, adjusted, or normalized.

Build a conditional investment case

WDC may merit further consideration if you believe long-term storage demand will translate into sustained HDD shipments and pricing, that the company can deliver higher-capacity products efficiently, and that cash generation will remain adequate after debt service and investment needs. The case is weaker if your assumptions depend on FY2026’s unusually large reported net income recurring, if cloud customers reduce or delay orders, or if pricing, technology execution, or supply constraints erode margins.

Before deciding whether WDC fits your portfolio, write down your assumptions for volume, price, margins, normalized earnings, free cash flow, capital allocation, and valuation. Test what happens if cloud demand or pricing is lower than management expects, and compare the resulting valuation with peers on the same post-separation basis.
