There is no universal “yes” or “no” answer to a merger consent solicitation. Evaluate the actual solicitation, merger agreement, governing documents and applicable law: first establish what action is requested and when, then assess the deal’s consideration, process, closing risks, voting mechanics and any separate appraisal route.
Start with the action, deadline and governing documents
Read the solicitation and its attachments rather than relying on a summary or the title of the transaction. Identify the issuer and the exact class of shares you hold, the record date, the response deadline, the action requested, and the approval threshold. Then check the merger agreement and the company’s charter, bylaws and other relevant governing documents. The transaction documents and applicable law determine the details; another company’s proxy cannot establish your rights.
Find out whether shareholders will vote at a meeting or act by written consent. A written-consent process can proceed without a meeting under Delaware General Corporation Law Section 228, but the corporation’s charter also matters. Treat that as an example of why both the statute and the company’s governing documents must be checked, not as a rule for every issuer or jurisdiction.

Assess what you would receive for each share
Determine whether the consideration is cash, stock, a mix, or includes contingent value, and check for adjustment terms. If the offer includes shares in another company, understand what determines the exchange ratio and whether the value can change before closing. Also look for separate terms covering options, restricted stock, warrants, debt or other securities you may hold; the treatment of those instruments may differ from the treatment of common shares.

Compare the offered value with relevant trading prices and the transaction context explained in the proxy. For example, a 2026 SEC-filed DSG preliminary merger proxy reported $35.00 per share as an approximately 27.4% premium to the unaffected July 15, 2026 closing price and an approximately 81.3% premium to the March 13, 2026 closing price. Those are comparisons reported for that particular deal, using those specific dates. A premium is not, by itself, proof of fair value or a prediction of the return you would earn.
Examine how the board reached its recommendation
Locate the board’s recommendation and the reasons the company gives for it. Read the transaction chronology, including how negotiations developed, what alternatives were considered and why the board selected this proposal. Review disclosed conflicts of interest and the role of any financial adviser.

If the proxy includes a fairness opinion or financial analysis, read its assumptions, methods and limitations rather than treating its conclusion as a guarantee of value or closing. The opinion is one disclosed input into the board’s process; it does not replace your assessment of the offer and the company’s circumstances.
Check the conditions, timing and consequences if the deal fails
Use the merger agreement and the proxy’s risk disclosures to identify conditions that must be met before closing. These may include shareholder, regulatory or financing conditions; confirm which ones actually apply to this transaction. Check the expected timing, the parties’ termination rights, any termination fee, and what happens if the merger does not close. These terms can affect both the likelihood of receiving the stated consideration and how long your investment remains exposed to the company’s standalone prospects.

Confirm exactly how your response will count
For each voting class, verify the approval threshold and how quorum is calculated. Then check the filing’s treatment of abstentions, broker non-votes, blank or unreturned forms, and any procedure for revoking or changing a proxy or consent. Do not assume that failing to respond has the same effect in every solicitation: its consequence depends on the applicable voting rules and transaction documents.
Consider appraisal separately from the vote
First determine whether appraisal is available under the law governing the transaction and whether your type of shares and manner of ownership qualify. If it may be available, read the transaction’s specific notice and follow its requirements and deadlines precisely. A vote against the merger or an abstention may not preserve appraisal rights.

The Delaware statutory language reproduced in an SEC-filed proxy states that “A proxy or vote against the merger or consolidation shall not constitute such a demand.” The distinction matters: an appraisal demand is a separate formal step, not simply the expression of opposition in a vote. A transaction can also impose requirements concerning continuous ownership or additional documentation for a beneficial owner. Check the current law and the specific deal documents; do not apply Delaware procedures automatically to another jurisdiction or transaction.

Weigh the form and amount of consideration against the company’s disclosed circumstances, the board’s process and alternatives, the conditions and timing for closing, and the consequences if the transaction fails. If appraisal appears available, consider its formal requirements and how that route differs from accepting the transaction consideration; do not assume an appraisal outcome or timeline. Your objectives, tax situation, need for liquidity and ability to bear deal or standalone-company risk may change how you weigh these factors. This framework can help organize your review, but it cannot determine the right response for every shareholder.
