KEMET agreed to pay €17.5 million for all of Arcotronics Italia S.p.A. in 2007—about $23.8 million at the contemporary exchange rate—then assumed substantial debt and other liabilities. The acquisition closed on October 12, 2007, and brought capacitor products and manufacturing equipment into KEMET’s business.
What did KEMET pay for Arcotronics?
On August 10, 2007, KEMET announced an agreement to buy 100% of Arcotronics’ outstanding share capital from Blue Skye (Lux) S.à r.l. for €17.5 million. Contemporary coverage converted the equity price to approximately $23.8 million, commonly rounded to $23 million. The euro amount is the purchase price for the shares, not the full economic burden of the transaction.
At closing, KEMET also assumed Arcotronics’ net financial debt. KEMET described it as approximately €100 million in its closing announcement; its fiscal-2009 filing gave the amount as €98.0 million, equivalent there to $138.9 million. That filing also reported €35.1 million in other long-term liabilities assumed, equivalent to $49.8 million. These liabilities are separate from the €17.5 million equity price and should not be conflated with it. KEMET’s acquisition announcement, closing announcement, and fiscal-2009 filing provide the transaction figures.
What did Arcotronics make?
Arcotronics manufactured plastic film, metallized plastic film, and wet tantalum capacitors. It also operated a machinery division producing equipment for battery and capacitor manufacturing. The product business and the machinery operation therefore represented distinct parts of what KEMET acquired. Arcotronics reported approximately €150 million in consolidated sales for 2006, the year ended December 31; KEMET’s announcement rendered that as about $207 million at then-current exchange rates.

When did the acquisition close?
KEMET completed the purchase on October 12, 2007, after Germany’s Federal Cartel Office approved it without restrictions on October 1. The closing added seven facilities across five countries:

- ▪️ High Capacitance Density: Rubycon’s aluminum electrolytic capacitors offer high capacitance per unit volume, making them ideal for compact designs. This allows for efficient energy storage in power supplies and smoothing circuits
- ▪️ Excellent Reliability: With over 70 years of manufacturing expertise, Rubycon capacitors are known for long operational life and stable performance. They undergo rigorous quality control and meet strict reliability standards for industrial and consumer electronics
- ▪️ Strong Temperature Characteristics: These capacitors maintain stable performance across a wide temperature range. Their temperature resilience ensures consistent operation in demanding environments like industrial systems
- ▪️ Low ESR and Impedance: Rubycon’s advanced designs result in low equivalent series resistance (ESR) and impedance, which improves efficiency and reduces heat generation. This is especially beneficial in high-frequency applications

Before completion, KEMET said it expected the transaction to close by October 15. Its October 12 closing announcement confirmed that it had done so.
Why did KEMET buy Arcotronics?
KEMET presented the deal as a strategic complement to its earlier 2007 acquisition of the Evox Rifa Group. CEO Per-Olof Loof said Arcotronics would expand KEMET’s product offerings and technology base. KEMET also described the acquisition as strengthening its European position in film and paper capacitors and advancing its ambition to become “The Capacitance Company.”

In practical terms, Arcotronics added capacitor lines and manufacturing expertise alongside a multi-country European footprint, with an additional facility in China. The transaction was not simply a purchase of a factory network: its equity price sat alongside significant assumed financial debt and other liabilities.

In 2014, KEMET agreed to sell the machinery division it had acquired with Arcotronics to Manz AG. The division made production machines for lithium-ion batteries, film capacitors, and electrolytic capacitors. The agreement provided for all 83 employees to transfer to Manz, which also agreed to supply capacitor equipment to KEMET for four years. The sale concerned the production-equipment operation; it does not by itself mean KEMET sold the acquired capacitor businesses. KEMET’s 2014 announcement describes the agreement.
