How Bitcoin ETFs Work and What Risks Investors Should Understand

“Bitcoin ETF” can mean a spot bitcoin trust or a futures product. Learn what each holds, why shares can diverge from bitcoin, and the risks to review before investing.

“Bitcoin ETF” is a common shorthand, but it can describe products that hold different things. A spot bitcoin exchange-traded product (ETP) holds bitcoin; a bitcoin futures ETP holds futures contracts. Both trade through listed shares, but their structure and tracking can differ. Neither removes bitcoin’s volatility, and SEC approval is not an endorsement of bitcoin or a guarantee that a product is safe.

What does a Bitcoin ETF actually hold?

Start with the product’s holdings, not its nickname. Investor.gov distinguishes spot bitcoin ETPs from futures bitcoin ETPs: spot products hold bitcoin, while futures products gain exposure by holding bitcoin futures contracts. The shorthand “Bitcoin ETF” does not mean every product owns bitcoin directly or has the same legal structure.

Spot bitcoin ETPs

A spot product is generally structured as an exchange-traded commodity trust, not as an investment company registered under the Investment Company Act of 1940. The trust holds bitcoin, and its listed shares are intended to represent an interest in the trust’s bitcoin exposure, less expenses and liabilities. The shares trade on a securities exchange while bitcoin trades in crypto-asset markets. Investor.gov explains this structure and its risks in its September 9, 2024 investor bulletin.

Spot ETPs register their securities and offerings under the Securities Act and Exchange Act, and are subject to federal securities anti-fraud provisions. They are not, however, registered investment companies under the 1940 Act. Do not assume that a spot trust has every protection or operating requirement that applies to a registered mutual fund or ETF.

Bitcoin futures ETPs

A futures product holds futures contracts rather than bitcoin itself. Its exposure depends on those contracts and the fund’s operating mechanics, so its tracking behavior and costs need not match those of a spot product. Check its prospectus to see what it holds and how it seeks to provide exposure.

How do shares track bitcoin?

A spot ETP seeks to reflect bitcoin’s price, but a share is not bitcoin and its market price does not have to equal the value of the bitcoin exposure represented by that share. Investor demand, issuer-specific issues, broader crypto-market events, and disruptions to normal share creation or redemption can push the share price above or below that value.

Ongoing expenses also matter. A spot trust generally pays a sponsor fee and other expenses despite not generating income. It may sell bitcoin to cover those costs, reducing the amount of bitcoin represented by each share over time. To assess a specific product, read its current prospectus for its fee, any waiver terms, benchmark, and method of calculating net asset value (NAV); a quoted fee can change and should not be generalized across products.

In July 2025, the SEC approved orders permitting authorized participants to create and redeem crypto ETP shares in kind, rather than only in cash as had been the basis for earlier spot bitcoin and ether ETPs. That regulatory permission does not establish that every product uses identical procedures. A particular trust’s current filings are the source for its actual mechanics. What risks should investors understand?

Bitcoin volatility and possible loss

Investor.gov describes bitcoin as highly speculative. A listed wrapper does not make the underlying asset less volatile: a sharp decline in bitcoin can cause a substantial loss in an ETP, and an investor could lose some or all of the amount invested.

Premiums, discounts, and tracking differences

Shares can trade at a premium or discount to the value of the bitcoin exposure they represent. Demand, market events, issuer issues, and interruptions to ordinary creation and redemption or related arbitrage processes can contribute to divergence. Futures products also hold different assets from spot products, so do not assume their performance will track bitcoin identically.

Fees that reduce bitcoin per share

For a spot trust, expenses can be paid by selling bitcoin. As a result, the bitcoin represented by each share can decline even if the share remains outstanding. Review the current prospectus for the product’s fee and expense terms rather than relying on an old fee figure or a rate for another fund.

Custody, cybersecurity, and service providers

A spot product depends on custodians and technology to safeguard bitcoin and private keys. Theft of keys, hacking, custody arrangements, and technology failures are among the potential risks identified by SEC staff. Depending on the product, valuation methods, liquidity, legal or regulatory developments, and reliance on other service providers may also matter. The SEC Division of Corporation Finance’s July 1, 2025 disclosure guidance describes these as subjects that may require disclosure depending on the issuer and product.

Risks in the underlying crypto markets

Crypto trading platforms may not be subject to the same oversight that applies to registered securities intermediaries. That difference can expose investors to fraud or manipulation in the markets where bitcoin trades, even when they buy a listed security through a brokerage account.

Different legal protections from registered funds

Because spot bitcoin trusts are not registered investment companies under the 1940 Act, their structure is not interchangeable with that of a registered investment-company ETF. Read the product’s filings to understand what protections, duties, and risks apply to that specific trust.

What does SEC approval mean—and not mean?

On January 10, 2024, the SEC approved the listing and trading of certain spot bitcoin ETP shares. SEC Chair Gary Gensler emphasized the limited nature of the decision: “While we approved the listing and trading of certain spot bitcoin ETP shares today, we did not approve or endorse bitcoin.” He also said the action did not endorse the ETP arrangements, including custody. The SEC statement is a useful distinction: permission to list a product is not an investment recommendation or assurance about its merits, safety, or performance.

How to evaluate a particular Bitcoin ETP

Before buying, use the current prospectus and periodic reports for the exact product. Investor.gov points investors to these filings through EDGAR and cautions that fees and tracking matter. Compare only details the filings establish:

  • Exposure: Does the product hold bitcoin or futures contracts?
  • Costs: What is the current sponsor fee, and are there waiver terms or other expenses?
  • Pricing: What benchmark does it use, and how does it calculate NAV?
  • Safeguarding: Who provides custody, how are keys stored, and what does any insurance actually cover?
  • Trading: What do assets, trading history, liquidity, and bid-ask spreads indicate? These can affect the practical cost of buying or selling shares.
  • Share mechanics: What creation and redemption procedures does the filing describe?
  • Risk disclosures: What product-specific tracking, valuation, liquidity, cybersecurity, legal, regulatory, tax, or service-provider risks are identified?

These are due-diligence questions, not a ranking: a product’s suitability depends on its terms and an investor’s circumstances. A listed ETP may avoid some tasks involved in personally handling private keys or using a crypto platform, but that convenience does not remove bitcoin exposure or the product’s custody and operational risks.
