Fujitsu Sold Its Eudyna Compound-Semiconductor Stake to Sumitomo

Fujitsu sold its stake in Eudyna Devices, its 50:50 compound-semiconductor venture with Sumitomo Electric, as part of restructuring. Here’s what the deal covered.

Fujitsu sold its approximately 29.68 million shares in Eudyna Devices Inc. to Sumitomo Electric Industries in a transaction announced in December 2008, with the transfer planned for April 1, 2009. It was a sale of Fujitsu’s stake in a jointly created compound-semiconductor business—not a sale of Fujitsu’s entire semiconductor group. Fujitsu said the move supported restructuring and cost reduction; Sumitomo said the acquisition would expand its products and technologies for its customer base.

What Fujitsu sold—and when

EE Times reported on December 22, 2008, that Fujitsu had agreed to sell approximately 29.68 million shares in Eudyna Devices Inc. to Sumitomo Electric Industries. The companies planned to complete the share transfer on April 1, 2009. The report does not state a purchase price or valuation. EE Times

The distinction matters: the transaction concerned Fujitsu’s Eudyna shares, not all of Fujitsu’s semiconductor operations. Eudyna had begun as a 50:50 joint venture, so the sale changed ownership of Fujitsu’s interest in that specific company.

What Eudyna was

Fujitsu and Sumitomo Electric announced their basic joint-venture agreement on December 25, 2003. The plan brought together Fujitsu Quantum Devices, a wholly owned Fujitsu subsidiary engaged in compound-semiconductor development, manufacturing and sales, and Sumitomo Electric’s compound-semiconductor electronic-devices operation. The companies described the venture as combining their capabilities in compound-semiconductor devices. Sumitomo Electric also brought strengths in materials and epitaxial growth, while Fujitsu Quantum Devices contributed its device business. Fujitsu’s joint-venture announcement

Why the companies made the deal

Fujitsu: restructuring and cost reduction

Fujitsu’s stated purpose, as reported by EE Times, was restructuring: selling its Eudyna stake would help cut costs and offset losses. The available contemporaneous account does not quantify the expected savings or losses. EE Times

Sumitomo Electric presented the acquisition as a way to increase market share by adding Eudyna’s products and technologies to what it could offer its large customer base.   • Wireless base stations and mobile terminals
  • Wireless LANs and broadband communications
  • IP networking and digital home appliances
