The clearance was issued under the EU Merger Regulation for the European Economic Area (EEA), and no behavioral or structural remedies were required.
That is a competition-law decision—not a finding that Google’s ownership creates no customer, strategic, data-governance or future antitrust concerns.
What the decision says
The legally precise actor was the European Commission, the EU’s competition authority, rather than an institution generically called “the EU.” In case M.11964 – GOOGLE / WIZ, the Commission concluded that the transaction would not significantly impede competition in the EEA. Its announcement is available in the Commission’s press release.
The reported transaction value is $32 billion, according to Reuters reporting syndicated by Investing.com. Clearance removes the Commission’s merger-control objection, but it should not be described as proof that the acquisition has legally closed or that every other jurisdiction has approved it.

What Google is buying
Google Cloud Platform provides cloud infrastructure, platform services and security products. Wiz provides a cloud-native security platform for finding and reducing risks in workloads and applications across multiple cloud environments, including clouds operated by Google’s rivals.
That combination matters because Wiz can provide multicloud visibility, posture and exposure analysis while Google controls a major cloud-infrastructure and security-sales channel. The competitive questions therefore involve more than a conventional software acquisition: they concern bundling, interoperability, data flows and the possibility of customers becoming more dependent on one provider.

Why the Commission reviewed a deal below the usual EU thresholds
The transaction did not meet the ordinary EU turnover thresholds. Google nevertheless requested an Article 4(5) referral so the case could be examined at EU level after the deal was capable of review under national merger laws in Cyprus, Ireland and Sweden. The prior-notification notice identifies the notification date as January 6, 2026, and the case as M.11964 – GOOGLE / WIZ: EUR-Lex notice.
EU merger control asks whether a transaction could significantly impede effective competition in the EEA or a substantial part of it. It is narrower than a general endorsement of a company’s strategy, products or business conduct.

What competitive risks were examined?
Bundling Google Cloud and Wiz
The Commission considered whether Google could combine Wiz with Google Cloud or other Google products in a way that disadvantaged rival security vendors or competing cloud providers. Its market investigation found credible alternatives that customers could use if Google attempted such foreclosure, and it did not establish that exclusionary bundling would be profitable.
Interoperability with AWS, Azure and other clouds
Wiz’s value partly rests on securing workloads outside Google Cloud. Regulators therefore examined whether Google ownership could make Wiz work less effectively with Amazon Web Services, Microsoft Azure or other clouds. The Commission did not conclude that compatibility with rival clouds would necessarily disappear.
Access to information about competing providers
Wiz integrations can generate information about customers’ cloud environments. The Commission concluded, as reported, that the data Google would obtain was not commercially sensitive and could generally be accessed by other security-software companies. That finding concerns the information theory examined in this merger review; it does not mean Google would obtain no data.

- Google was not the leading cloud-infrastructure provider; Amazon Web Services and Microsoft Azure remained stronger competitors in that market.
- Customers were judged to have credible alternatives if Google bundled Wiz or reduced its multicloud interoperability.
- The investigation did not establish that Google could profitably foreclose rival security vendors or cloud providers through the acquisition.
- The data-access theory did not demonstrate a competition problem.
Those are the Commission’s conclusions in the EEA merger assessment. Infrastructure strength alone does not determine every company’s position in cloud security; the relevant question is how infrastructure, sales channels, data, platform services and Wiz’s security products interact.

“Unconditional” does not guarantee that Wiz will remain neutral, prohibit Google from changing products, or immunize later conduct from scrutiny. Google and Wiz could still face competition, platform, data-protection, cybersecurity or sector-specific rules. The decision also covers the EEA competition assessment, not the worldwide regulatory status of the deal.
What customers and competitors should watch
The approval creates both potential benefits and practical concerns for enterprise buyers.
Potential benefits
- Deeper integration between Wiz and Google Cloud controls, identity, detection and security operations.
- More funding for cloud-security research, automation and threat analysis.
- A broader Google Cloud security portfolio that competes more directly with AWS and Microsoft.
Potential risks
- An independent multicloud supplier is now owned by a major cloud provider, which may affect perceived neutrality.
- Procurement teams may question whether AWS- and Azure-heavy environments will receive equal product attention.
- Bundled pricing or sales incentives could increase pressure to consolidate infrastructure and security with Google.
- Customers may face higher switching costs if policies, telemetry, integrations and workflows become tightly linked to Google services.
SecurityWeek reported that Google said Wiz products would remain accessible across major cloud platforms. That is a current company position, not a perpetual legal guarantee imposed by the Commission.
A practical buyer checklist
- Test the platform on a meaningful non-Google workload, not only a Google Cloud environment.
- Confirm whether findings, policies and historical data can be exported in usable formats.
- Review contractual terms covering interoperability, telemetry and data use.
- Map integrations with the organization’s SIEM, ticketing, identity and incident-response systems.
- Model renewal pricing and the cost of replacing the platform if roadmap or packaging changes.
What this approval does not establish
- It does not prove that Google’s acquisition is the final global regulatory approval.
- It does not confirm that the transaction has closed.
- It does not establish that Wiz will remain operationally independent.
- It does not guarantee unchanged pricing, packaging or product roadmaps.
- It does not determine the future competitive position of every independent cloud-security vendor.
The EEA decision is significant because it removes a major merger-control obstacle, while leaving those commercial and policy questions to Google’s integration choices, customer behavior and any later regulatory review.
