What Regal paid and when the deal closed
Regal Beloit announced a definitive agreement to acquire Emerson’s Power Transmission Solutions (PTS) business on December 15, 2014. Regal’s announcement put the consideration at approximately $1.4 billion in cash, with $40 million of liabilities assumed. The Milwaukee Business Journal described the total transaction value as $1.44 billion, reflecting those components. The acquisition closed on January 30, 2015.
What Emerson sold—and what the business earned
PTS supplied engineered power-transmission products and solutions to industrial customers. Regal said the business had approximately $600 million in annual revenue and more than 3,000 employees when the acquisition was announced. Emerson’s fiscal-2014 filing later reported PTS sales of $605 million and pretax earnings of $87 million.
Emerson recorded a $932 million pretax gain on the sale, or $528 million after tax, and said proceeds were used for share repurchases. Those gain figures are accounting results, not the transaction’s cash consideration: the sale price and the gain measure different things.

The business made components used to transmit power and move materials through industrial equipment and systems. Its product categories included:
- Bearings and drive components
- Couplings and gearing
- Conveyor systems
Regal named eight brands in the acquired portfolio: Browning, Jaure, Kop-Flex, McGill, Morse, Rollway, Sealmaster and System Plast. PTS products served material handling, metals, energy, beverage, HVAC, aerospace and other general industrial applications.

Why Emerson sold and why Regal bought
Emerson Chairman and CEO David N. Farr said PTS no longer fit the strategic direction of Emerson’s portfolio, while describing it as a strong business with an outstanding management team and recognized brands. Emerson’s stated rationale was portfolio focus, not that PTS was an unsuccessful operation.
Regal Chairman and CEO Mark Gliebe said the acquisition would broaden Regal’s product portfolio, diversify its end-market exposure and strengthen its global footprint. In practical terms, the purchase added power-transmission components and established brands to Regal’s industrial business.
