Short answer: On September 8, 2024, Elon Musk said Tesla had “no need to license anything from xAI” after a Wall Street Journal report described a possible arrangement involving Full Self-Driving (FSD), a Tesla voice assistant and the Optimus robot. That denied report was not established as a signed contract. Later Tesla disclosures show vehicle-level Grok integration, a planned investment of approximately $2 billion in xAI in 2026, and a reported Digital Optimus partnership—but none of those facts proves that Tesla signed the specific 2024 FSD licensing deal.
What Musk actually denied in September 2024
TechCrunch summarized a Wall Street Journal report saying Tesla was considering using xAI models in FSD software. The report also described possible xAI help with a Tesla voice assistant and software for the Optimus humanoid robot, alongside a potential revenue-sharing arrangement. Those were reported proposals, not confirmed final terms.

Musk responded on X that the account was inaccurate. His statement, reproduced by TechCrunch, said: “Tesla has learned a lot from discussions with engineers at xAI that have helped accelerate achieving unsupervised FSD, but there is no need to license anything from xAI.” He added that xAI models were too large for Tesla’s vehicle-inference computer and that Tesla did not want them there.
The technical explanation is Musk’s assertion. The available accounts do not independently test the model-size or vehicle-compute claims, so they should not be treated as verified performance findings.

“No need to license” is not the same as “no collaboration”
Reuters reported the denial while also noting Musk’s earlier comments that xAI could help advance FSD and Tesla’s data center, and that Grok might be integrated into Tesla software. In practical terms, Tesla could exchange expertise, integrate a product, invest in xAI or work with its engineers without purchasing a license to deploy an xAI model in FSD.
Four relationships that should not be conflated
| Relationship | What it means | What the public record supports |
|---|---|---|
| Model licensing | Permission to use a model under negotiated commercial terms, potentially including fees, usage limits or revenue sharing. | The reported 2024 FSD proposal was denied by Musk; final licensing terms are not established. |
| Technical collaboration | Engineers share knowledge, research or development assistance without proving a model-licensing contract. | Musk acknowledged discussions with xAI engineers and credited them with helping accelerate unsupervised FSD work. |
| Product integration | An xAI product such as Grok is made available in a Tesla product or system. | Tesla’s 2025 proxy materials described Grok as integrated into Tesla vehicles and discussed potential benefits from xAI capabilities. |
| Equity investment | Tesla buys an ownership interest in xAI rather than licensing a particular model. | Tesla’s annual filing says it agreed on January 16, 2026, to invest approximately $2 billion in xAI Series E preferred shares. |
What later Tesla filings establish
Vehicle Grok integration
Tesla’s 2025 proxy materials described Grok as already integrated into Tesla vehicles and discussed potential benefits from emerging xAI capabilities for vehicles and robotics. That filing is stronger evidence of vehicle integration than an unsourced summary. It still does not establish that Tesla paid to license an xAI model for the particular FSD use alleged in 2024.

Approximately $2 billion investment in 2026
Tesla’s annual filing states that on January 16, 2026, the company entered an agreement to invest approximately $2 billion in xAI Series E preferred shares. This is evidence of a corporate financial relationship—an equity purchase disclosed by Tesla—not proof that the reported FSD licensing proposal was signed.
Digital Optimus partnership
A transcript of Tesla’s Q2 earnings call dated September 17, 2026, describes Digital Optimus as operating in partnership with xAI’s Grok. That points to continuing technical collaboration in a robotics use case. It does not resolve whether Tesla ever licensed xAI models for FSD in 2024.

Did Tesla need to license xAI models?
Nothing in the available public record shows that Tesla was legally or technically required to license xAI models. Musk’s position was that Tesla could benefit from discussions with xAI engineers while building or operating its own systems, and that the models discussed were unsuitable for Tesla’s in-vehicle computer. Whether that assessment was strategically correct is separate from whether a license was necessary.
A license might have offered access to a ready-made model, support or commercial sharing terms. Avoiding one could preserve control over deployment, costs, data and model changes. The sources do not provide enough information to compare those alternatives or to determine whether negotiations produced a binding agreement.

What remains unconfirmed
- Whether the reported revenue-sharing or FSD model-licensing proposal was ever signed.
- The final commercial terms, if any, for FSD, a voice assistant or Optimus software.
- The technical evidence behind Musk’s statements about model size and Tesla’s vehicle-inference hardware.
- Whether later Grok integration used a paid license, another commercial structure or an arrangement not publicly described.
How to read the headline today
The headline refers to a denial made on September 8, 2024, not to a new announcement in 2026. The clearest current description is that Tesla and xAI have documented ties across engineering discussions, vehicle Grok integration, a planned equity investment and a reported Digital Optimus partnership. Those ties show a broader relationship, while leaving the specific 2024 FSD licensing allegation unresolved.
