The deal gives AT&T about 30 MHz of nationwide 3.45 GHz spectrum and 20 MHz of nationwide 600 MHz spectrum, while EchoStar keeps operating Boost Mobile under a more dependent, hybrid network model. It was not a sale of all Dish Wireless, all of EchoStar, or every Dish-era spectrum holding.
AT&T announced the closing on July 28, 2026 (AT&T closing announcement). The FCC had granted the relevant license applications in May 2026 (FCC order).
What exactly closed
AT&T, through its wireless subsidiaries, acquired specified licenses from EchoStar-related sellers, including entities associated with DISH Wireless. The assets are concentrated in two bands and cover virtually every U.S. market.

EchoStar’s transaction disclosure identifies the transferred licenses as its 3.45–3.55 GHz and 600 MHz holdings. AT&T had also exercised rights to lease certain 3.45 GHz licenses before the closing, so legal ownership and operational access did not begin on exactly the same day (EchoStar Form 10-Q).

Why the spectrum matters to AT&T
3.45 GHz adds capacity
The 3.45 GHz band is mid-band spectrum. It is well suited to adding 5G capacity in dense neighborhoods, business districts, venues and other places where traffic is high. More capacity can help AT&T serve more simultaneous users without relying only on its existing holdings.
600 MHz improves propagation flexibility
600 MHz is low-band spectrum. Its signals generally travel farther and penetrate buildings more effectively than higher-frequency signals, making it useful for broad coverage and indoor reach. It does not automatically create new rural service or guarantee better performance at every address.
The bands work differently
Together, the licenses give AT&T a mix of capacity and propagation characteristics across virtually every U.S. market. AT&T says the spectrum will support 5G and home-internet growth (AT&T acquisition announcement).
Customers should not interpret the closing as an instant nationwide speed increase. Benefits depend on compatible handsets, radio upgrades, spectrum coordination and clearing, local holdings, engineering and AT&T’s deployment and capital decisions.

Why EchoStar sold
The sale fits a wider combination of financial, regulatory and network pressures rather than a single documented cause. EchoStar had substantial debt and liquidity requirements, faced FCC scrutiny over spectrum build-out obligations, and was carrying the cost of operating a nationwide terrestrial wireless network.
EchoStar said proceeds would be used in connection with debt and intercompany obligations, including repayment of the DISH 2021 intercompany loan. As of March 31, 2026, the reported payoff amount was approximately $2.844 billion (EchoStar Form 10-Q information).
On June 30, 2026, DISH DBS and related entities initiated prepackaged Chapter 11 cases. EchoStar described a separate $2.4 billion FCC escrow trust fund connected with claims for decommissioning the DISH Wireless 5G network (restructuring announcement). Those facts show why liquidity and network economics mattered, but they do not establish that the FCC alone forced the sale.
Is this the sale of Dish Wireless?
No. AT&T bought a large portion of EchoStar’s key terrestrial wireless spectrum, plus related arrangements. The completed transaction does not establish that AT&T bought the entire Boost Mobile business, all Dish Wireless customers, all Dish network infrastructure, or the EchoStar company.

- DISH TV and Sling TV were not identified as transferred assets.
- Hughes and HughesNet were not identified as transferred assets.
- EchoStar retained or separately dealt with other spectrum holdings.
- The transaction did not transfer every AWS-4, H-Block, AWS-3, CBRS, C-Band, 12 GHz or LMDS license associated with EchoStar’s broader portfolio.
EchoStar’s original announcement described a separate hybrid mobile-network-operator arrangement under which Boost Mobile would continue using network capacity and wholesale relationships (transaction announcement exhibit).
What happens to Boost Mobile
Boost Mobile remains EchoStar’s consumer-facing wireless brand and is expected to continue operating through a hybrid MNO model. The arrangement supports wholesale access while EchoStar rationalizes its own network.
What is likely
- Some Dish-built radio-access-network sites or layers will be decommissioned over time.
- Network modernization, roaming and wholesale routing may change gradually.
- Boost will rely more heavily on partner capacity as EchoStar reduces facilities-based infrastructure.
What is not established
- There is no documented immediate shutdown of Boost service.
- There is no verified requirement for every customer to change plans, SIM cards or handsets at once.
- There is no basis to say that every Boost subscriber will move to AT&T.
A Boost customer’s experience may vary by location, handset and the timing of local network changes. Customers in areas formerly served by Dish-built equipment could see changes as that equipment is retired, but the sources do not establish a uniform nationwide customer outcome.
What EchoStar did not sell to AT&T
EchoStar’s portfolio includes additional bands and licenses held through different subsidiaries. EchoStar has also pursued separate transactions involving AWS-4 and H-Block-related spectrum, with later amendments involving AWS-3. Those transactions are distinct from AT&T’s purchase (EchoStar filing).

A separate EchoStar filing describes broader spectrum holdings and corporate transfers involving EchoStar Wireless Holding (EchoStar corporate filing). SpaceX-related spectrum arrangements should therefore not be folded into the AT&T closing.

The FCC’s approval addressed assignment of the specified 3.45 GHz and 600 MHz licenses. FCC materials also discuss EchoStar’s build-out obligations and compliance context (FCC spectrum-assignment document).
Approval permits the transfer; it does not let AT&T deploy every license instantly. Technical rules, interference coordination, equipment availability, construction requirements and local engineering still apply. Strategically, the deal strengthens AT&T’s national spectrum position while reducing EchoStar’s ability to operate as a fully facilities-based nationwide challenger.
What the closing means for customers and investors
AT&T customers
AT&T has more owned spectrum with which to add 5G capacity and coverage flexibility. Actual gains will arrive as compatible radios and sites are deployed, and they will differ by market and device. Additional spectrum also gives AT&T an option for future fixed-wireless or converged home-internet capacity, not a guarantee of service at any particular address.

Boost customers
Boost continues, but with a network model that is more dependent on wholesale partners and scheduled decommissioning of portions of the Dish-built RAN. Check customer-specific notices rather than assuming a universal migration.
DISH TV, Sling and Hughes customers
The transferred licenses are wireless assets. The available transaction sources do not establish that this closing changes the operation of DISH TV, Sling TV, Hughes or HughesNet, although EchoStar’s proceeds and restructuring affect its wider corporate finances.
Investors
The headline $23 billion figure is an approximate public description, while the stated contractual price is $22.650 billion subject to adjustments. EchoStar receives substantial liquidity but gives up strategically important wireless assets and remains exposed to restructuring, decommissioning, satellite and wholesale-network obligations.
Bottom line
AT&T completed a roughly $23 billion purchase of EchoStar’s nationwide 3.45 GHz and 600 MHz licenses—not a purchase of all Dish Wireless. AT&T gains valuable capacity and coverage options; EchoStar gains liquidity while moving Boost toward a hybrid, wholesale-dependent model. Consumers may benefit as AT&T deploys the spectrum, but the closing itself does not guarantee immediate speed, coverage, price or handset changes.
