As of October 4, 2026, most U.S.-created companies do not have to file beneficial ownership information (BOI) reports with FinCEN. A final rule effective August 14, 2026, permanently removed reporting requirements for U.S. companies and U.S. persons. Certain entities formed under foreign-country law and registered to do business in a U.S. state or Tribal jurisdiction may still have to report, depending on whether they meet the reporting-company definition and qualify for an exemption.
Who may still need to file a BOI report?
FinCEN’s current rule focuses on certain entities formed under the law of a foreign country that have registered to do business in a U.S. state or Tribal jurisdiction by filing with a secretary of state or similar office. Such an entity may be a reporting company unless it qualifies for an exemption. Foreign formation alone does not establish that a filing is required: check both the registration criteria and the exemptions in FinCEN’s current BOI reporting guidance.
U.S.-created companies are exempt under the current rule. Do not rely on older instructions that may say otherwise; FinCEN’s current rule alert and BOI page reflect the final rule effective August 14, 2026.
What deadline applies to a potentially covered foreign entity?
FinCEN sets the deadline according to when the entity registered to do business in the United States:

The April 25, 2025 deadline has passed. The 30-day period is tied to notice of effective registration, not simply the date an entity began doing business. If your entity may be covered, consult the current FinCEN page for the criteria and instructions that apply to your circumstances; do not assume a deadline or exemption based solely on this summary.
Whose information must be reported?
Under the current rule, U.S. persons do not have to provide BOI as beneficial owners or company applicants, and reporting companies do not have to report BOI for U.S. person beneficial owners or company applicants. U.S. persons with FinCEN IDs also do not have to update or correct information they previously submitted. FinCEN’s August 11, 2026 release states: “Under the final rule, foreign entities that are reporting companies will still be required to report beneficial ownership information for foreign individuals.” See FinCEN’s August 11, 2026 release for its description of the final rule.

How did the deadline and rule change?
The title’s reference to an extension reflects an earlier stage of the rule, not the current endpoint. In March 2025, FinCEN issued an interim final rule that narrowed reporting to foreign reporting companies, exempted domestic reporting companies, relieved U.S. persons from providing BOI in the described beneficial-owner context, and extended specified deadlines for foreign reporting companies. FinCEN later announced a final rule on August 11, 2026; it took effect August 14, 2026 and permanently removed reporting requirements for U.S. companies and U.S. persons. - Where was the entity formed? U.S.-created companies are exempt under the current rule; the potential reporting-company definition concerns qualifying foreign-formed entities.
- Did it register to do business in a U.S. state or Tribal jurisdiction? The registration and its effective date determine whether the foreign entity fits the stated scope and which deadline FinCEN lists.
- Does an exemption apply? A foreign entity meeting the formation and registration description is not automatically required to report; review FinCEN’s qualifying criteria.
- Are the relevant individuals U.S. persons? U.S. persons are relieved from providing BOI in the beneficial-owner and company-applicant roles described by FinCEN. The agency says reporting companies still report BOI for foreign individuals.

Because deadlines and guidance are legally consequential and can change, verify the applicable rule directly with FinCEN before acting.
