Does OpenAI Have Stock? Ticker, IPO Status and Investor Options

OpenAI has private equity but no publicly traded shares or confirmed ticker as of August 18, 2026. Its confidential S-1 filing is not a scheduled IPO.

As of August 18, 2026, OpenAI has privately held stock, but it is not publicly traded. There is no confirmed OpenAI ticker, exchange listing, IPO price or ordinary brokerage-market quote. OpenAI confidentially submitted a draft S-1 to the SEC on June 8, 2026, but says it has not decided when—or whether—to hold a public offering.

Does OpenAI have stock?

Yes, in the sense that OpenAI Group PBC has equity holders and privately held shares. No, in the sense most investors mean when asking whether they can buy a stock: OpenAI shares are not available for ordinary trading on the NYSE, Nasdaq or another public exchange.

OpenAI has not announced an official public ticker or a live market price for its shares. A symbol shown in a search result or on a trading platform is not proof that it represents publicly listed OpenAI stock.

Why “public benefit corporation” does not mean publicly traded

OpenAI Group is a public benefit corporation, or PBC. That describes a corporate form: the company is structured to pursue a stated public benefit alongside shareholder interests. It does not mean the company is a public company whose shares trade on an exchange.

OpenAI announced its updated structure on October 28, 2025. The operating for-profit business is OpenAI Group PBC, while the nonprofit OpenAI Foundation controls it. OpenAI says equity holders own traditional stock, but the company remains privately held. See OpenAI’s explanation of its structure.

How OpenAI is owned

The OpenAI Foundation is the nonprofit parent and retains control of OpenAI Group PBC. The for-profit company can issue conventional equity and raise capital. Its ownership is distributed among the Foundation, employees and former employees, and other investors.

Microsoft reported that its investment was valued at approximately $135 billion at the 2025 recapitalization, representing roughly 27% of OpenAI Group on an as-converted, diluted basis. Those figures reflect the capitalization and conversion assumptions in that filing; ownership can change with financing, conversions, employee transactions or a future offering. Microsoft’s filing describes the investment.

What OpenAI’s confidential S-1 filing means

On June 8, 2026, OpenAI announced that it had confidentially submitted a draft Form S-1 registration statement to the SEC. A confidential submission lets the SEC review a draft before the company makes a registration statement public; the document may be revised during review.

The filing is a formal step toward a possible IPO, not an IPO launch or a guarantee of a listing. OpenAI said it had not decided on timing and described the filing as preserving the option to go public sooner. The company could delay an offering or decide not to proceed. Its announcement is at OpenAI’s S-1 filing page.

Before ordinary investors could trade OpenAI shares, the company would need to make an appropriate registration statement public, complete the relevant SEC review process, disclose the offering terms and risks, establish the share count and offering structure, secure an exchange listing, and set an IPO price. Only once shares begin trading under an official ticker would there be a public exchange price. The confidential draft itself does not create tradable stock.

Can you buy OpenAI shares now?

Through a regular brokerage account

No—not directly. There is no confirmed OpenAI ticker to search for, and no announced exchange, IPO date, price range, public share count or retail allocation. The confidential draft S-1 is not a public prospectus that ordinary investors can use to buy shares.

Through a private-market transaction

Private-market access may be available to eligible investors, but it is not equivalent to buying a listed stock. Transactions can involve accredited-investor requirements, platform rules, minimums, company approval, rights of first refusal, transfer restrictions, limited disclosure and no continuous market in which to resell. Any investor considering such a transaction needs to understand the security, seller’s authority, legal restrictions and exit limits.

OpenAI warns that some offers to sell or facilitate its equity may attempt to circumvent transfer restrictions or other investment terms. It advises people approached about purported OpenAI equity access to contact its legal team. Read OpenAI’s warning about unauthorized equity transactions. Do not send money based only on an advertisement, social-media message, unofficial ticker or promise of “pre-IPO OpenAI stock.”

Ways to get indirect exposure

Some publicly traded securities have an investment in OpenAI or a relationship with it. Buying those securities does not make an investor a direct OpenAI shareholder.

Microsoft: exposure through a larger company

Microsoft is publicly traded, but MSFT is not an OpenAI stock substitute. Microsoft’s investment is accounted for as an equity-method investment in its filings, and its market value reflects its entire business—not just OpenAI. Cloud services, software, advertising, gaming, capital allocation and other operations can outweigh the effect of the investment. The stake and contractual economics may also change. RVI: exposure through a fund

Robinhood announced that Robinhood Ventures Fund I invested $75 million in OpenAI and that RVI began trading on the NYSE on March 6, 2026. That announced investment is a fund holding, not a purchase of OpenAI shares by each RVI investor. OpenAI represents only part of the fund’s portfolio, and its allocation may change. Fund expenses, liquidity, valuation uncertainty and a market price above or below underlying asset value can affect results. The announcement is on Robinhood’s RVI and OpenAI page.

How to check a future OpenAI listing

  1. Start with an official announcement. Look for OpenAI’s own notice of a public offering, rather than relying on predictions or social posts.
  2. Confirm the public registration statement. A confidential submission is not the public offering document; read the prospectus and its disclosed risks when available.
  3. Verify the exchange and ticker. Check the exchange’s listing information and your broker’s issuer details. Confirm that the security is OpenAI equity, not a fund, derivative, token or unrelated company.
  4. Read the offering terms. Check the price range, share count, use of proceeds, risks and any restrictions before deciding whether to participate.
  5. Distinguish allocation from trading. IPO allocations can be limited; after listing, market trading begins only when the exchange opens trading in the shares.

Common ways investors get misled

  • Confusing “has stock” with “is publicly traded.” Private companies can issue shares without offering them on an exchange.
  • Treating an S-1 as a completed IPO. A confidential filing is not a public prospectus, SEC approval, priced offering or first day of trading.
  • Assuming a ticker is official because it appears online. Verify the issuer, exchange, SEC filings and security type. A private-market identifier, derivative, fund or crypto product is not necessarily OpenAI equity.
  • Calling a fund holding direct ownership. RVI investors own fund shares, not OpenAI shares.
  • Taking “pre-IPO” claims at face value. Verify who is selling, what security is being offered, whether the transaction is authorized, and what transfer and resale terms apply.
