Cree said the deal would give it strategic access to China’s high-brightness LED supply chain and an important, fast-growing market for solid-state lighting.
What Cree agreed to buy—and for how much
EE Times reported that Cree signed a definitive agreement to acquire Cotco Luminant Device Ltd., a privately held Hong Kong company, on March 12, 2007. The announced consideration was $200 million in cash and stock. The report did not break down how much of that amount was cash versus shares.
Cotco was described as a supplier of high-brightness LEDs in China. The transaction therefore involved a component supplier, not a maker of finished lamps.
Why Cotco mattered to Cree
Cree’s stated rationale was strategic access: Cotco offered a position in China’s high-brightness LED supply chain and a foothold in a market Cree described as important and fast-growing for solid-state lighting. Cree chairman and CEO Chuck Swoboda said, “This acquisition is the next step in our strategy to enable the solid-state lighting revolution.”

The contemporaneous report provides no figures for Cotco’s revenue, production capacity, customers or market share, so the deal’s scale beyond its announced price cannot be quantified from that account.
What the share-transfer restriction said
A shareholders’ agreement restricted Cotco Holdings from selling or transferring the Cree shares it received at closing for one year. After that period, it could transfer up to 50 percent of those shares. The report does not specify the number of shares involved.

What the announcement does—and does not—establish
The announcement establishes the proposed transaction’s date, reported consideration, target and stated strategic rationale. By itself, the contemporaneous EE Times account does not establish whether the acquisition later closed, how Cotco operated after the deal, or how Cree’s LED business is structured today. Those are separate questions that require later corporate-history evidence.
