The combined company kept the Cohesity name under CEO and president Sanjay Poonen. Poonen said the company was preparing to be “public-ready,” but the sources reviewed through August 18, 2026, show no confirmed IPO filing, offering date, exchange listing or price range.
What transaction actually closed?
This was not a purchase of every Veritas business. Cohesity acquired the enterprise data-protection operation. The agreement was announced on February 8, 2024, and closed on December 10, 2024, according to the companies’ announcements.
The transaction brought major Veritas protection products into Cohesity, including NetBackup, NetBackup appliances and Alta data protection. The completion announcement described the enlarged company as the world’s largest data-protection software provider, a company claim rather than an independently defined market ranking. Cohesity’s completion announcement records the closing date and that positioning.
What did not join Cohesity?
Veritas’ InfoScale, Data Compliance and Backup Exec businesses were separated into Arctera, led by Lawrence Wong. Customers must therefore identify the legal entity and product owner for each contract rather than assuming that every Veritas product is now a Cohesity product. How Poonen described the first integration phase
Poonen’s January 15, 2025 interview with Computer Weekly came only about a month after closing. It was an early execution plan, not a final assessment of the combined company.
People and operating alignment
He highlighted employee engagement and organizational alignment as prerequisites for combining two large businesses. The practical objective is to keep engineering, sales, support and partner teams working while reporting lines and processes are brought together.
Customers and partners
Poonen said he wanted direct relationships with the Veritas customer base. CRN reported a plan to contact the top 1,000 Veritas customers during the first 100-plus days. The stated priorities also included major partners, product development and preserving trust while the organizations changed.

Those outreach plans do not guarantee unchanged account teams or support experiences. Customers should obtain named contacts and written escalation procedures for their own products and regions.

Product innovation
The strategic case for the deal is broader workload coverage and more engineering scale: Cohesity’s scale-out platform combined with Veritas’ mature workload breadth. That is an intended benefit, not evidence that the products already operate as one platform.
What “integration” means for products
Cohesity’s customer communications describe three separate stages: the corporate combination is complete; portfolio and engineering integration are ongoing; and any customer migration is intended to be optional.

Cohesity has used “no customer left behind” language and said customers can move on their own schedule. That is a company commitment, not an independently verified guarantee of identical pricing, features, support dates or migration cost. A migration may require new infrastructure, data movement, professional services or changed operating procedures; it is not necessarily an in-place conversion.
Checks for a real-world migration
- Map every protected workload, including physical, virtual, database, SaaS, IaaS and PaaS systems.
- Confirm recovery-time and recovery-point objectives during any transition.
- Request written end-of-sale, end-of-support and compatibility dates.
- Clarify whether licensing is subscription, capacity, appliance or bundled, and who pays for migration services.
- Test data residency, retention, compliance certifications and support geography for regulated workloads.
What Poonen’s IPO comments actually mean
Cohesity’s IPO story has several distinct stages. Secondary reporting says the company confidentially filed for an IPO in December 2021, then put the plan on hold as public-market conditions deteriorated in 2022. A confidential filing is reported history, not proof that a current offering is active.
In the January 2025 Computer Weekly interview, Poonen said bankers had been selected and that Cohesity would build a “public-ready” company. He described a listing as a milestone rather than the company’s ultimate destination, to be pursued when integration progress and market conditions were appropriate.

“Public-ready” is not an IPO
In this context, public readiness means developing the governance, reporting discipline, financial profile, controls and operating consistency expected of a listed company. It does not mean Cohesity has:
- filed a public S-1 registration statement;
- set a listing date, exchange or price range;
- launched a live underwriting process;
- published audited public-company financial statements; or
- guaranteed an IPO in 2026.
As of August 18, 2026, Cohesity’s investor-relations page does not announce an IPO timetable. Forge and Stock Analysis continue to treat Cohesity as private; any timing they discuss is an expectation or market signal, not company confirmation. The financial case management presented
At announcement, Cohesity and Veritas supplied the following pro forma figures for the fiscal year ending July 2023. They describe the transaction rationale and are not current 2026 results.

Poonen separately told Computer Weekly that the combined company had a plan toward approximately a $2 billion company with a 27% free-cash-flow margin. That was an executive plan or expectation, not audited or achieved performance. The announcement’s historical figures are available in Cohesity’s transaction release.

Integration execution
Public investors will want evidence that Veritas revenue, customers and employees are integrated rather than merely acquired. Product overlap, duplicate channel structures, changing consoles, licensing uncertainty and delayed roadmaps can all weaken that evidence.

Customer retention and migration economics
Large NetBackup estates may need redesign, data movement and specialist services. If customers defer renewals while waiting for a unified roadmap, the combined company could face pressure to prove continuity and growth at the same time.
Market conditions and disclosure readiness
A weak IPO market can postpone an otherwise prepared offering. The enlarged company would also face public reporting, governance and quarterly-performance demands. A private tender offer or employee share sale would not be an IPO, and a private-market valuation would not equal a public-market valuation.
What existing customers should do now
- Inventory ownership. List each product, contract, reseller, support number and legal entity. Separate Cohesity products, NetBackup and Alta from Arctera’s InfoScale, Data Compliance and Backup Exec.
- Get lifecycle terms in writing. Ask for exact end-of-sale, end-of-support, version, appliance and cloud-target dates for your deployment.
- Review renewal language. Confirm whether contracts remain with Cohesity or move to Arctera, especially where protection and compliance products were sold together.
- Model migration effort. Require a workload-level plan covering infrastructure, data transfer, licensing, professional services, testing and rollback.
- Validate resilience objectives. Run recovery tests against current RTOs and RPOs during any proposed transition.
- Compare alternatives only against your requirements. Evaluate workload coverage, immutability, deployment model, support, compliance and total subscription or infrastructure cost—not the corporate headline alone.
How the competitive picture changes
The combination gives Cohesity a larger installed base, partner ecosystem and workload portfolio, potentially strengthening its position against Rubrik, Veeam, Commvault, Dell, IBM and other protection providers. Those are strategic advantages claimed or implied by the transaction, not proof of lower costs, simpler operations or better reliability.
Rubrik may suit organizations seeking a cloud-forward cyber-recovery operating model. Veeam is often considered for broad ecosystem and deployment choice. Commvault can fit complex heterogeneous estates and extensive data-management requirements. Druva is relevant when a predominantly SaaS-delivered service and minimal customer-managed infrastructure are priorities. Arctera must be evaluated separately for customers using Backup Exec, InfoScale or data-compliance products.
For any vendor, compare the exact workloads, retention architecture, recovery testing, data residency, support model and five-year cost. No vendor is the universal answer.

The Bottom Line
Bottom line: The Veritas enterprise data-protection combination closed in December 2024 and is now operating as Cohesity, while other Veritas product lines became Arctera. Poonen’s comments support a strategy of proving the enlarged business and building public-company readiness before listing. As of August 18, 2026, no confirmed IPO filing or timetable is established; for customers, product ownership, lifecycle terms and migration obligations matter more than IPO speculation.
