Cellebrite’s planned purchase of Corellium is no longer pending. Cellebrite announced the agreement on June 5, 2025, and completed the acquisition in December 2025. The transaction carried an enterprise value of $170 million: $150 million in cash and $20 million converted into equity, plus up to $30 million in contingent cash tied to performance milestones over the next two years.
The deal combines Cellebrite’s digital-investigation and device-access business with Corellium’s Arm-native virtual iOS and Android environments. It is therefore broader than a purchase designed simply to unlock more phones.
What Cellebrite bought
Cellebrite describes Corellium as a provider of Arm-based virtualization software for mobile and other Arm-powered systems. Corellium’s Viper platform creates virtualized iOS and Android devices that can be accessed through a browser and managed through APIs. Its materials emphasize high-fidelity Arm virtualization rather than a conventional emulator or simulator.
The technology is aimed at mobile-application security testing, vulnerability research, malware analysis, reverse engineering, penetration testing, secure development and DevSecOps. Corellium also documents workflows involving device snapshots, cloning and repeatable environments through its MATRIX tooling: Corellium MATRIX documentation.

Security researchers can use supported virtual devices with root or jailbreak access, making it easier to inspect applications and reproduce vulnerabilities. That control is useful for research, but a virtual device is not identical to every model of production hardware.

Why Cellebrite wanted Corellium
Moving beyond physical-device access
Cellebrite is best known for digital-forensics products used to access and analyze data from mobile devices. Corellium adds virtual devices and controlled application environments, allowing Cellebrite to address testing and research tasks that do not begin with a seized physical phone.
Scaling vulnerability research
Virtual devices can be cloned, reset and operated repeatedly without maintaining a large physical-device inventory. That can help researchers investigate mobile vulnerabilities, analyze malware and reproduce findings across controlled environments.

Reaching security and development teams
Cellebrite said the combination could extend its reach into defense, intelligence, enterprise security and DevSecOps. Corellium’s technology also applies to automotive systems and other Arm-based Internet-of-Things devices. These are strategic aims stated by Cellebrite, not proof that every planned integration was available immediately after closing.
Adding technical leadership
Corellium co-founder Chris Wade became Cellebrite’s chief technology officer after the transaction, giving the buyer both software and specialized engineering expertise.

Those examples describe the announced direction. They should not be read as confirmation that a single, fully integrated product was delivered at the closing date.

The transaction had a national-security component. Cellebrite said the Committee on Foreign Investment in the United States permitted the closing under a national-security agreement negotiated with relevant government agencies. The company’s wording indicates that the agreement and related formal process were material conditions of closing.
That is different from saying CFIUS blocked the deal, and it is also different from claiming an unconditional clearance with no safeguards. The public closing release does not replace the operative agreement or legal advice about its detailed obligations. The SEC-filed announcement is available at SEC filing for the closing.
What the acquisition means financially
In its 2025 results, Cellebrite reported that Corellium contributed $16.1 million to 2025 annual recurring revenue. That is an ARR contribution reported by Cellebrite, not Corellium’s standalone revenue, profit or normalized full-year sales. Because the acquisition closed in December, the figure reflects only the period included in Cellebrite’s reporting.
The contingent payment also changes how investors should think about the headline price. The disclosed $170 million enterprise value is the fixed transaction value described at closing; up to $30 million more could be paid if specified performance milestones are met. Whether those milestones are achieved will determine the eventual cash outlay.
What customers should expect
Digital-forensics organizations
For investigators, the strategic benefit is access to virtualized devices and applications that complement physical-device examination. Corellium itself is not a universal phone-unlocking product, and the acquisition does not mean every modern smartphone can be accessed.
Mobile-security teams
Corellium is most relevant to teams doing reverse engineering, vulnerability discovery, malware analysis, root- or jailbreak-enabled testing, repeatable research and automated application-security work.

Ordinary app developers
Teams seeking broad compatibility testing, real-device coverage or routine Appium execution may still prefer a physical-device cloud. Corellium is specialized for high-control security research rather than being a drop-in replacement for every QA platform.

Corellium’s Arm-native virtualization can improve repeatability and reduce dependence on a large lab, but it cannot expose every hardware-specific behavior. A virtual environment may not reveal defects involving biometric sensors, baseband radios, camera pipelines, thermal throttling, physical firmware or other device-specific characteristics.

Security, governance and procurement questions
Rooted or jailbroken virtual devices are powerful and should be isolated from production credentials and live customer data. Buyers should assess data residency, tenant isolation, access controls, logging, export-control obligations and permitted-use terms. Corellium says trials require a request and manual approval and may involve automated sanctions screening and organizational review: Corellium trial policy.
Pricing also requires care. Corellium bills cloud usage by device-hour, and unused plan hours do not roll over. Its pricing documentation listed a Solo Explorer rate of $3 per device-hour when crawled in August 2026. An AWS Marketplace listing showed Viper Advanced Private Cloud at $120,000 per year for 1,250 device-hours per month, plus $6.30 for each additional device-hour; AWS infrastructure costs may apply. What remains uncertain
The acquisition gives Cellebrite a broader technology base, but long-term value depends on integration, customer adoption, regulatory trust and Corellium’s credibility with independent researchers. Public announcements establish the transaction and its strategic rationale; they do not establish that every proposed workflow, product integration or market expansion has already occurred.
