Bitdefender was valued at more than $600 million in a transaction announced on December 4, 2017, when Vitruvian Partners acquired an approximately 30% minority stake from existing shareholder Axxess Capital. The figure was the transaction-era valuation reported by Bitdefender, not an established current valuation.

What happened in the 2017 deal?

Bitdefender announced that Vitruvian Partners had purchased approximately 30% of the company from Axxess Capital. The investment made Vitruvian Bitdefender’s second-largest shareholder.

Bitdefender’s co-founders, Mariuca Talpes and Florin Talpes, retained majority ownership after the transaction. The announcement therefore described a minority investment rather than a takeover or change of control.

Deal facts at a glance

Item Reported detail
Announcement date December 4, 2017
Investor Vitruvian Partners
Stake acquired Approximately 30%
Seller Axxess Capital, an existing shareholder
Post-deal shareholder position Vitruvian became Bitdefender’s second-largest shareholder
Founders’ position Mariuca and Florin Talpes retained majority ownership
Valuation More than $600 million, according to Bitdefender

Why did Bitdefender cite a valuation above $600 million?

The $600 million-plus figure was the implied value Bitdefender attributed to the minority-stake transaction. It was not a separate operating statistic such as revenue, profit or cybersecurity-market share.

#1 Best Overall

Founder and CEO Florin Talpes said in the company’s announcement: “This transaction demonstrates the rapid growth and scale of our business as we are now valued at over $600 million.” His statement tied the valuation to the company’s growth and scale as presented at the time of the investment.

What business context did Bitdefender give investors?

Bitdefender said it wanted to strengthen its position in both enterprise security and products for individual users. The company also stated that more than 40% of its sales came from North America at the time of the 2017 announcement.

That North American sales share is a historical company disclosure. It should not be read as Bitdefender’s current geographic sales mix.

Is $600 million Bitdefender’s current valuation?

Not on the evidence available for this transaction. The announcement establishes a valuation of more than $600 million in December 2017, when the minority stake changed hands. It does not establish a later valuation, and the figure should not be presented as the company’s present-day value without a newer disclosed transaction or financial statement.

What the transaction means for ownership

  • Vitruvian Partners bought an approximately 30% interest rather than all of Bitdefender.
  • Axxess Capital sold that stake as an existing shareholder.
  • Vitruvian became the second-largest shareholder after closing.
  • The Talpes co-founders continued to hold a majority stake.
