On February 10, 2022, Forbes and Magnum Opus Acquisition Limited announced that Binance would assume $200 million of subscription commitments in a proposed $400 million private investment in public equity (PIPE). The financing was linked to a planned business combination intended to take Forbes public. Magnum Opus later reported that the business combination agreement and related ancillary agreements were terminated on June 1, 2022.
What the $200 million announcement actually described
The transaction was a proposed PIPE investment, not evidence that Binance bought Forbes or acquired control of the publisher. Under the announcement, Binance would take on $200 million of commitments within a $400 million PIPE, generally on the same terms as the existing PIPE investors. The announcement is preserved in the SEC exhibit filed February 10, 2022.
The PIPE was part of a planned business combination between Forbes and Magnum Opus Acquisition Limited. The parties expected the transaction to close in the first quarter of 2022 and said the combined company would trade on the New York Stock Exchange under the proposed ticker FRBS. Those were announced expectations, not completed events.
Did the Binance–Forbes deal close?
No. In a June 1, 2022 Form 8-K, Magnum Opus said Integrated Whale Media, acting as shareholders’ representative, had notified it that the Forbes business combination agreement was terminated. Why Binance said it wanted the relationship
The announcement framed Binance’s role as strategic support for Forbes’ digital-assets and Web3 plans. It said Binance would advise Forbes in those areas. Forbes CEO Mike Federle said, “Forbes is committed to demystifying the complexities and providing helpful information about blockchain technologies and all emerging digital assets.” Binance founder and CEO Changpeng Zhao said, “As Web 3 and blockchain technologies move forward and the crypto market comes of age we know that media is an essential element to build widespread consumer understanding and education.” Both quotations are statements from the February 10 announcement, not independent evidence that the strategy succeeded or that Binance controlled Forbes’ editorial decisions.
What “anyone can shill crypto” gets wrong
The headline’s phrase is a characterization, not a fact established by the financing documents. The announcement and termination filing show a proposed financial arrangement and a stated digital-assets strategy. They do not show that anyone could publish on Forbes, that contributors could promote crypto without review, or that Binance dictated coverage.

Determining whether contributors may publish promotional material would require separate, current evidence about Forbes’ contributor eligibility, disclosure requirements, labeling and editorial-review policies. Those policies are not established by this transaction record, so the $200 million announcement cannot substantiate that allegation.

The announcement also described plans to turn readers into engaged customers through memberships, recurring subscriptions to premium content and targeted product offerings. That was a proposed business strategy. The available filings do not establish that these products launched because of the Binance arrangement, nor do they establish current availability or an affiliate opportunity.
