Are Spirit and Frontier Merging? What the 2025 Proposal and Spirit’s Shutdown Mean

Frontier’s 2025 proposal was not a completed merger. Spirit later wound down operations, and official sources cited here do not verify a $50 million lifeline tied to talks.

No current Spirit–Frontier merger is established. Frontier made a proposal during Spirit’s restructuring in early 2025, but Spirit said it rejected most of the revised offer and chose to pursue a standalone recapitalization. Spirit later announced that it had ceased all operations on May 2, 2026. The official sources cited here do not substantiate a $50 million corporate “lifeline” or connect that amount to renewed merger talks.

What happened between Spirit and Frontier?

The documented restructuring-era talks began with a Frontier proposal, not a completed merger. On January 29, 2025, Frontier confirmed preliminary confidential discussions and a proposal to combine with Spirit. Frontier’s SEC filing described proposed consideration that included $400 million in principal amount of debt and 19% of Frontier common equity for Spirit stakeholders at closing. On February 11, 2025, Spirit said it would proceed with a standalone recapitalization and had rejected most of Frontier’s latest proposal. The distinction matters: a proposal and confidential discussions do not establish an accepted deal, regulatory approval, or a merger closing. Is the $50 million “lifeline” verified?

The official records cited here do not establish a $50 million financing or other lifeline that triggered renewed Spirit–Frontier negotiations. They do not identify a provider, recipient, date, legal form, conditions, or connection between such funding and merger talks. Without an attributable filing or announcement establishing those details, the amount should be treated as an unverified headline claim, not a confirmed fact.

A separate figure can cause confusion: after Spirit shut down, the U.S. Department of Transportation said Frontier offered affected Spirit travelers up to 50% off base fares through May 10, 2026. Is Spirit Airlines still flying?

No. On May 2, 2026, Spirit announced an orderly wind-down, said all flights had been cancelled, and stated that customer service was no longer available. Spirit restructuring site The announced shutdown means this is not a current choice between two operating airlines, and Frontier’s earlier proposal should not be described as a merger that rescued Spirit.

How this differs from the 2022 merger agreement

Spirit and Frontier had announced a definitive merger agreement in February 2022. That historical agreement is separate from Frontier’s restructuring-era proposal in 2025; the existence of the earlier deal does not show that the later proposal was accepted or completed. What the current record does—and does not—show
