Arcutis Biotherapeutics Grants 62,500 RSUs to Six New Hires

Arcutis Biotherapeutics granted an aggregate 62,500 RSUs to six new employees. The awards have a one-year cliff followed by annual vesting, subject to continued employment.

Arcutis Biotherapeutics announced on October 2, 2026, that it granted an aggregate 62,500 restricted stock units (RSUs) to six newly hired employees. The grants have an October 1, 2026, grant date, were approved under the company’s 2022 Inducement Plan, and are scheduled to vest over four years if recipients remain employed through each vesting date.

What did Arcutis grant?

Arcutis Biotherapeutics, Inc. (Nasdaq: ARQT) said its Compensation Committee approved an aggregate of 62,500 RSUs for six newly hired employees. The awards were made under the company’s 2022 Inducement Plan and were described as material inducements connected with the employees’ starting employment. The company’s October 2, 2026 announcement identifies the total award and recipient count, but does not give individual award amounts or name the recipients.

When were the awards granted, and how do they vest?

The announcement date and grant date are different: Arcutis issued its notice on October 2, 2026, while the RSUs have a grant date of October 1, 2026. The awards vest over four years, with 25 percent vesting on each annual anniversary of the vesting commencement date. Each installment is subject to the employee’s continued employment through the applicable vesting date.

What does Nasdaq Rule 5635(c)(4) mean?

Nasdaq Listing Rule 5635(c) generally covers shareholder approval for equity-compensation arrangements. Subsection (c)(4) is an exception for certain employment-inducement awards to a person who is not already an employee or director, or who returns after a bona fide period of non-employment. The grant must be material to entering employment and approved by the issuer’s independent compensation committee or a majority of its independent directors. Arcutis cited the rule and said its Compensation Committee approved the awards as material inducements. The announcement does not independently establish the committee’s independence, nor does it amount to an independent Nasdaq finding that every rule condition was met.

What the announcement does not disclose

  • The names of the six recipients.
  • How the 62,500 RSUs are divided among them.
  • The grant-date value of the RSUs.

Accordingly, 62,500 is the combined award total, not the number granted to each employee. The release also does not establish the eventual value of the awards, which depends on the value of Arcutis stock when shares are delivered.
