Ng was not hired to run an Amazon business or AI division. He joined as a director, giving the board additional technical and strategic expertise as Amazon expanded its generative-AI investments. Shareholders reelected him at Amazon’s May 20, 2026 annual meeting, so he remains a director.
What Amazon announced
Amazon said Ng would join its board effective April 9, 2024. The appointment followed McGrath’s decision to inform Amazon that she would not stand for reelection. Ng therefore filled a board seat becoming available through a normal succession process; Amazon did not add a new seat to enlarge the board.
McGrath is the former chief executive and chair of MTV Networks Entertainment. She had served on Amazon’s board for about a decade. Amazon thanked her for her service and contributions. The announcement does not say she was removed, forced out, or leaving because of a disagreement with the company.

Who Andrew Ng is
Ng is an AI researcher, educator, entrepreneur and investor whose roles span academia, startups and large technology companies. At the time of his appointment, Amazon identified him as:
- Managing general partner of AI Fund, a venture studio that supports AI companies.
- Founder of DeepLearning.AI.
- Founder and executive chairman of LandingAI.
- Chairman and co-founder of Coursera.
- Former chief scientist and vice president at Baidu.
- Founding lead of Google Brain’s deep-learning project.
- An adjunct professor at Stanford.
Amazon said he had authored or co-authored more than 200 papers covering machine learning, robotics and related fields. Its current director biography lists his continuing board service and professional affiliations at Amazon Investor Relations.
That background makes Ng different from a conventional public-company operator. His expected contribution is board-level judgment about technology, markets, talent, investment and risk—not day-to-day management of AWS, retail, Alexa or Amazon’s model-development teams.
Why Amazon wanted AI expertise at board level
Amazon’s stated rationale was that Ng’s experience developing machine-learning and deep-learning systems, helping companies adopt AI and building AI businesses could help directors understand the technology’s opportunities, challenges and social and commercial implications. The company did not describe him as the person responsible for a particular product or AI program.

The timing reflected an intensifying technology race. Amazon was competing with Microsoft, Google, Meta, OpenAI and numerous AI startups while trying to keep Amazon Web Services central to the infrastructure used for generative-AI workloads. The surrounding strategy included:
- A partnership with and multibillion-dollar investment in Anthropic.
- Amazon Q, a generative-AI assistant for business users.
- Rufus, a generative-AI shopping assistant.
- Continued development of Amazon’s cloud infrastructure, models and applications.
Reuters’ contemporary account, republished by Inc., placed the appointment in that broader competitive context. Those facts support describing the move as an AI-related governance signal. They do not prove that Amazon formally reorganized around AI, that Ng directed any of these products, or that his appointment caused a specific launch or investment.

What a board director can—and cannot—do
Board responsibilities
Directors oversee corporate strategy, major risks, senior-leadership succession, governance and significant corporate decisions. They question management, review information and vote collectively. A director can influence priorities without owning an operating budget or commanding an engineering organization.
Executive responsibilities
Amazon’s executives and business leaders remain responsible for product development, hiring, engineering, sales and operational execution. Ng did not become an Amazon employee or executive, and the appointment gave him no unilateral authority over AWS, Bedrock, Alexa, Rufus, Amazon Q, Anthropic-related work or the retail marketplace.
Accordingly, “Amazon adds an AI director” is shorthand, not a description of a standalone AI executive role. Ng became one member of a broader board whose decisions are collective.
What happened to Judy McGrath’s seat
McGrath’s status is best described precisely: she chose not to stand for reelection. That wording does not imply an immediate resignation. Her board term ended through the annual-election process, and Ng was selected to fill the resulting vacancy. No cited filing gives a performance problem or conflict as the reason for her decision.

The appointment was not a short-lived 2024 experiment. Amazon’s 2026 proxy listed Andrew Y. Ng among 11 director nominees. Shareholders then elected him at the May 20, 2026 annual meeting, according to Amazon’s Form 8-K filed May 22, 2026.

The same proxy says Amazon’s nominating and corporate-governance committee reviewed the company’s approach to responsible AI development and AI governance during the preceding year. That establishes board-level attention to AI governance, but it does not establish that Ng personally led or controlled those reviews.
What the appointment means for Amazon’s AI strategy
The clearest interpretation is governance rather than management. Amazon wanted directors who could evaluate AI’s technical possibilities, commercial economics, competitive threats and risks while the company invested across cloud infrastructure, models and consumer applications. Ng’s research, teaching, company-building and investing experience fit that need.
The appointment alone cannot establish that Amazon adopted Ng’s preferred AI policies, changed its organizational structure, or achieved a particular business outcome. Those conclusions would require separate evidence about decisions, products, financial results or governance actions after April 2024.
