Amazon shareholders rejected all 14 outside shareholder proposals at the company’s virtual annual meeting on May 22, 2024. The resolutions covered climate reporting, packaging, artificial-intelligence oversight, warehouse conditions, labor rights, pay equity, lobbying, political activity and other governance questions. Amazon’s board recommended voting against every proposal.
The result concerns Amazon’s 2024 meeting—not a 2025 or 2026 shareholder vote. The announcement made during the meeting was preliminary; detailed totals were to be filed afterward.
What Amazon shareholders voted on
The 14 outside proposals appeared as Items 4 through 17 in Amazon’s definitive proxy statement. They were separate from the company’s routine business: electing the 12 directors, ratifying the independent auditor and approving the advisory executive-compensation vote. The proxy and board recommendations are available in Amazon’s 2024 definitive proxy statement.
Amazon’s board opposed all 14 resolutions. The proposals were generally advisory requests for reports, disclosures, policies or changes in board oversight—not votes to halt Amazon’s operations or impose a specific legal finding.

The issues behind the headline
Climate, emissions and packaging
The environmental resolutions sought different forms of accountability rather than a single new climate target. One requested alternative emissions reporting, including emissions and climate effects beyond Amazon’s direct operations (often discussed as value-chain or Scope 3 emissions). Another requested reporting on packaging materials and environmental impacts. Contemporary coverage also described proposals involving plastics reduction. These requests should not be summarized as a vote to abandon climate action; they targeted the scope and format of Amazon’s disclosures.
Artificial-intelligence governance
The AI resolution was sponsored by AFL-CIO Equity Index Funds, represented by Segal Marco Advisors. It requested an independent board committee focused on human-rights risks from AI development and deployment. The proposed committee would have been authorized to consult employees, customers, suppliers, other stakeholders and outside experts. It was not a proposal to stop Amazon from developing or selling AI systems.
Warehouse conditions and labor rights
The warehouse resolution requested a report on working conditions. A separate proposal sought more reporting on freedom of association, a subject closely connected to unionization and worker organizing. Neither resolution itself established that Amazon had violated labor law or workplace-safety rules; those are questions for documented findings by regulators, courts or other competent authorities.

Pay equity and workplace accountability
The pay-equity proposal requested additional reporting on gender and racial pay. Other resolutions addressed stakeholder effects, viewpoint restrictions and customer use of technology, reflecting concerns about how Amazon’s products and policies affect workers, customers and communities.
Lobbying, public policy and political donations
Several proposals focused on political accountability: additional lobbying disclosure, new board oversight of public-policy positions and their financial effects, and disclosure of directors’ political and charitable donations. Customer due diligence was another governance request, aimed at reporting on how Amazon assesses customers and associated risks.

Who supported the resolutions?
Meeting comments came from Amazon employees, shareholder representatives and activists who raised workers’ rights, climate disclosure, racial and gender pay gaps, facial recognition, AI and workplace conditions. The proxy identifies the AI proponent specifically; other proposals should be attributed to their named proponents in the filing rather than treated as a single organized bloc. Nine of the 14 resolutions were repeat proposals, according to that report. Repetition indicates that proponents continued to press the issues even after earlier attempts failed; it does not mean the proposals had passed previously.

Why Amazon recommended voting no
Amazon’s proxy repeatedly said that existing board committees, management processes, risk controls and public disclosures already addressed the subjects in the resolutions. For the AI proposal, Amazon argued that responsibility should remain with committees already assigned to human-rights, human-capital and related risks rather than creating a separate AI committee.

The company also said that some supporting assertions were incorrect or reflected a misunderstanding of its business. That is Amazon’s stated position, not an independent finding about each underlying allegation. In practical terms, the board’s case was that new committees and reports could duplicate existing oversight and disclosures.

What “rejected” means—and what it does not
The company announced during the virtual meeting that all 14 proposals failed. The initial announcement was preliminary, so it should not be presented as a substitute for a final filing with exact totals.
Formal results ordinarily separate For, Against, Abstain and Broker Non-Vote counts. Broker non-votes occur when shares held through a broker are not voted on a matter for which the broker lacks voting instructions. The applicable voting standard and denominator matter: “a majority of shareholders” can be misleading unless it specifies whether the calculation uses votes cast, shares represented at the meeting or all outstanding shares.
- The defeat meant the proposals did not obtain enough support under the applicable voting rules.
- It did not constitute a formal endorsement of every Amazon climate, AI, labor or workplace policy.
- It did not legally decide that the concerns raised by proponents were invalid.
- It did not prevent similar proposals from being submitted later, subject to proxy and Securities and Exchange Commission rules.
Why the 2024 result matters
The vote preserved Amazon’s existing governance structure and disclosure approach, while demonstrating that investors were willing to put a broad set of accountability questions on the ballot. The 14 resolutions ranged from narrow disclosure requests to proposed board committees, so a single “yes” or “no” interpretation obscures important differences among them.
The result also illustrates the limits of a failed shareholder resolution. Investors can reject a requested report without resolving whether Amazon’s emissions, AI risks, warehouse conditions or labor practices require further change. Those questions can return through later shareholder proposals, board decisions, regulatory action, litigation or changes in company reporting.
The Bottom Line
Amazon’s May 22, 2024 meeting produced a decisive procedural defeat for all 14 outside shareholder proposals. It left Amazon’s existing oversight and disclosure systems in place, but it did not settle the substantive debates over climate impacts, AI governance, labor rights, pay equity or warehouse conditions.
