Amazon Removed Diversity and Equity Language From Its 2024 Annual Report

Amazon’s 2024 Form 10-K removed specific inclusion, diversity, and equity references after a memo announcing a wind-down of some DEI programs. The filing does not prove all such activity ended.

Amazon removed specific references to “inclusion and diversity” and a goal to “promote equity” from the Human Capital section of its fiscal 2024 Form 10-K, filed February 6, 2025. The change followed a December 2024 message to employees saying the company was winding down some “outdated” DEI programs and materials. It documents a change in Amazon’s filing language and a stated shift in some programs—not proof that every diversity-related activity ended.

What Amazon removed from the filing

The document was Amazon’s SEC Form 10-K for the year ended December 31, 2024, not a separate sustainability or diversity report. In its 2023 Form 10-K, Amazon said it focused on “investment and innovation, inclusion and diversity, safety, and engagement” as it hired and developed talent. That specific wording did not appear in the 2024 filing. Reuters also reported that Amazon removed language about a goal to “promote equity.” Amazon’s 2024 Form 10-K and 2023 Form 10-K allow readers to compare the filings; the reported equity deletion is covered by Reuters.

The 2024 report did not remove its entire Human Capital section. It continued to describe employees as critical to Amazon’s mission and its aim to be “Earth’s best employer,” along with pay and benefits, flexible work, skills training and educational programs such as Career Choice, and employee-development practices. It reported approximately 1.556 million full- and part-time employees as of December 31, 2024. These are descriptions in the filing, not evidence that every program operated identically or produced a particular result.

What Amazon had told employees before filing

In December 2024, Candi Castleberry, an Amazon executive, told employees the company was “winding down outdated programs and materials” related to DEI, with the process intended to be completed by the end of that year. As Reuters reported, the message said Amazon wanted to concentrate on initiatives with “proven outcomes” and integrate efforts into existing processes rather than have separate groups build them. Castleberry also described a continuing aim for employees and partners to reflect Amazon’s customers and communities. Those statements explain the company’s stated direction; Amazon did not publicly provide a program-by-program account of what would end, change, or continue.

What the filing change does—and does not—establish

  • It establishes a textual change: specific diversity and equity language was absent from this Form 10-K compared with the prior filing.
  • It accompanies a stated program shift: Amazon told employees it was winding down some DEI programs and materials and integrating efforts into existing processes.
  • It does not establish that all DEI activity ended: the filing comparison does not show whether every employee resource group, benefit, hiring practice, or demographic-tracking activity continued or stopped.
  • It does not establish a change in workforce outcomes: the wording alone says nothing about actual hiring, promotion, retention, or employee experience results.
  • It is not a finding of legal wrongdoing or a financial restatement: the removed language was descriptive Human Capital disclosure, not a reported financial figure, and the deletion itself does not show that Amazon violated a law or was ordered by a regulator to make the change.

Terminology and operations are separate questions: a company may continue some activities under different labels after removing DEI wording, while retaining a public commitment does not prove that every program remains funded or unchanged. Anti-discrimination obligations also remain distinct from voluntary corporate terminology; a change in labels neither establishes a violation nor excuses unlawful conduct.

Why the timing drew scrutiny

The December memo and February filing arrived amid a broader U.S. corporate pullback from formal DEI programs. Such programs had expanded after the 2020 protests following George Floyd’s killing, and later faced growing challenges from conservative activists and officials. The Trump administration targeted DEI programs in government and warned against what it characterized as illegal discrimination or preferences. Contemporaneous reporting also described changes at companies including Meta, Alphabet, and Disney.

That context helps explain why investors, employees, and policy observers scrutinized Amazon’s wording, but it does not prove what caused the edit. Amazon’s reported employee message emphasized outdated materials, proven outcomes, and integration into existing processes; the company did not give a detailed public explanation specifically for changing the annual-report language. The timing is evidence of a wider debate, not proof that a particular political action directly compelled Amazon’s filing change.

What remained visible outside the filing

When the change was reported in February 2025, Amazon’s public policy positions page still described a commitment to creating a diverse and inclusive company. GeekWire also reported that CEO Andy Jassy appeared with Amazon’s Black Employee Network during Black History Month. These were contemporaneous public signals, not a complete audit of internal programming or proof that all earlier initiatives remained intact. The combination of removed filing language, a stated wind-down of some programs, and continued public-facing activity is more precise than saying Amazon ended all diversity work.

Why investors may care

Human Capital disclosures help show which workforce issues a company chooses to describe to investors and how specifically it presents its talent strategy. Removing voluntary DEI language may signal a change in terminology, disclosure priorities, or the company’s desired public positioning. The filing change alone does not establish an effect on Amazon’s earnings, stock price, valuation, or workforce risk; those conclusions require separate evidence.
