Alibaba vs. Amazon: Who Owns Them and How Their Businesses Differ

Amazon's Delaware parent and Alibaba's Cayman holding company have different relationships to their operating businesses. Here is what investors own—and what the companies' filings establish about their business models and governance.

Both Alibaba and Amazon are publicly traded technology groups, but their legal structures differ. Amazon.com, Inc. is a Delaware corporation whose annual report consolidates its subsidiaries. Alibaba Group Holding Limited is a Cayman Islands holding company that says certain China-based businesses operate through contractual variable interest entity (VIE) arrangements. Public investors hold securities in the parent companies; that does not mean they directly own every operating company or asset.

Who owns Alibaba and Amazon?

Investors who hold Amazon common stock own shares in Amazon.com, Inc. Investors who hold Alibaba ordinary shares or American depositary shares (ADSs) hold securities in Alibaba Group Holding Limited. Both are public issuers, but the evidence cited here does not establish a complete current breakdown of beneficial owners for either company.

Amazon’s 2025 Form 10-K reported 10,734,920,870 common shares outstanding as of January 28, 2026. That is a point-in-time share count, not an ownership-percentage breakdown or market capitalization. The filing incorporates some director, governance, and beneficial-ownership information from the company’s 2026 proxy statement rather than reproducing those details in the 10-K. Alibaba’s FY2025 Form 20-F lists ordinary shares on the Hong Kong Stock Exchange under 9988 (HKD counter) and 89988 (RMB counter), and ADSs on the New York Stock Exchange under BABA. Each ADS represents eight ordinary shares, according to that filing. How do their legal structures differ?

Amazon: a Delaware parent and consolidated subsidiaries

Amazon.com, Inc. is incorporated in Delaware. Its 2025 Form 10-K reports the parent and subsidiaries as a consolidated company and identifies three reportable operating segments: North America, International, and AWS. A U.S. parent company’s state of incorporation does not mean its operations are limited to the United States.

Alibaba: a Cayman Islands holding company and certain VIEs

Alibaba Group Holding Limited is incorporated in the Cayman Islands. In its FY2025 Form 20-F, Alibaba describes itself as a holding company that does not directly conduct operations itself. It says it uses VIE arrangements for certain internet and other businesses in China where PRC law restricts or prohibits foreign investment.

Alibaba says those VIEs are incorporated in China and owned by PRC citizens or entities owned or controlled by PRC citizens—not by Alibaba Group Holding Limited. The parent therefore relies on contractual arrangements to obtain economic benefits and exercise specified control in the covered businesses; this is not the same as owning the VIEs’ equity directly. Alibaba also says it owns the significant majority of assets and operations through subsidiaries and that subsidiaries directly capture the significant majority of revenue, so the VIE structure should not be treated as covering every asset or business.

Why cash movement matters to Alibaba’s parent

Alibaba says it relies on dividends and other distributions from operating subsidiaries to meet parent-level needs, including expenses, debt service, intercompany loans, share repurchases, and dividends. Its filing warns that subsidiary debt terms or restrictions on moving funds can constrain distributions or remittances. This is a risk the company discloses, not a prediction that transfers will necessarily be blocked.

Is Alibaba owned by the Chinese government?

The cited ownership disclosures identify Alibaba Group Holding Limited as a Cayman Islands public holding company and describe PRC persons or entities as owners of the VIEs. They do not establish a categorical claim that Alibaba is owned by the Chinese government, nor do they provide a full, current beneficial-ownership breakdown. A sound answer distinguishes the publicly traded parent, its investors, and the ownership of particular operating entities rather than treating them as interchangeable.

How do Amazon and Alibaba make money?

The companies’ reporting categories show that neither is accurately described as only an online retailer. Their business descriptions are not identical measures, however, and should not be forced into a one-to-one segment comparison.

Alibaba Its May 2026 company description calls the group a technology company focused on “AI + Cloud and consumption,” providing technology infrastructure and marketing reach to merchants, brands, retailers, and other businesses. It describes Qwen as a family of large language and multimodal models used across enterprise solutions, e-commerce, and other internet platforms. This is Alibaba’s current positioning, not evidence that each business line is equally large or profitable. The company announced on May 20, 2026 that it had filed its FY2026 Form 20-F. Source

Alibaba’s FY2026 filing excerpt indicates that its reporting structure was realigned into Alibaba China E-Commerce Group, Alibaba International Digital Commerce Group, Cloud Intelligence Group, and All others. Because segment definitions can change, use the full relevant filing when comparing segment results or financial amounts. Amazon’s 2025 Form 10-K covers the year ended December 31, 2025; Alibaba’s FY2025 Form 20-F covers the year ended March 31, 2025. Those periods are not aligned, so figures from them should not be presented as a like-for-like comparison.

What can you conclude about governance?

The available disclosures establish different corporate frameworks, not which company has better governance or gives shareholders greater practical influence. Amazon is a Delaware-incorporated U.S. public company reporting under SEC rules. Its 2025 10-K directs readers to its 2026 proxy for specified board, governance, and ownership details. Alibaba is a Cayman Islands holding company with U.S. and Hong Kong listings; its FY2025 20-F includes corporate-structure and governance disclosures. Those facts alone do not settle board independence, voting influence, or the rights attached to a particular investor’s security.

A meaningful governance comparison would examine the current proxy and annual filings for specific mechanisms—such as board election rules, voting rights, and shareholder proposals—rather than assign a simple score based on incorporation location or VIE use.

What to check before comparing the companies

  • Identify the issuer: Amazon.com, Inc. and Alibaba Group Holding Limited are the public parents discussed here.
  • Identify the security: Amazon common stock differs from Alibaba ordinary shares and ADSs; one Alibaba ADS represented eight ordinary shares in the FY2025 filing.
  • Separate ownership from operating control: Amazon reports a parent and consolidated subsidiaries; Alibaba discloses contractual VIE arrangements for certain restricted PRC businesses.
  • Match the reporting period and definitions: Alibaba FY2025 and Amazon calendar 2025 do not cover the same year, and reported segment categories are not interchangeable.
  • Use current governance disclosures: Consult the relevant proxy and annual report before making claims about current owners, voting power, or shareholder rights.
