When did ADVA acquire Movaz?
ADVA announced on June 6, 2006, that it had signed a definitive agreement to acquire privately held Movaz Networks. The proposed transaction was subject to customary closing conditions, and ADVA expected it to close in July. ADVA announced completion on July 20, 2006.
What did ADVA pay?
In its July 20 closing announcement, ADVA said the completed consideration consisted of 6,526,529 newly issued common shares and USD 6.0 million in cash. The June announcement had also described a conditional cash earn-out equivalent to 1.0 million ADVA shares, potentially payable within twelve months after closing. That earn-out was conditional; the available announcements do not establish whether it was ultimately paid.
What did Movaz make?
Founded in 2000 and based in Atlanta, Georgia, Movaz supplied wavelength-division multiplexing (WDM) equipment. Its RAY product line included WDM transport and reconfigurable optical add-drop multiplexing (ROADM) solutions. ADVA described the systems as serving networks from small metro-core deployments to regional networks as long as 2,000 km.

ADVA’s June 2006 announcement described Movaz’s installed base as nearly USD 150 million across approximately 100 customers. The company said those customers included telecommunications carriers, cable network providers, research and educational organizations, and government agencies. These are figures ADVA reported at the time, not independently verified measures of current customers or installed equipment.
Why did ADVA pursue the acquisition?
ADVA said Movaz would complement its Fiber Service Platform (FSP) portfolio and strengthen its business traction in the Americas. In a contemporaneous report, EE Times characterized Movaz’s eROADM as an intended hybrid ROADM offering and discussed the relevance of Movaz’s fixed OADM and full-size ROADM product lines. That product-strategy description is EE Times’ interpretation, rather than a transaction term announced by ADVA.

ADVA also forecast that the acquisition would be accretive to U.S. GAAP earnings per share from mid-2007. This was the company’s forecast when it announced the deal; it should not be read as evidence that the forecast was achieved.

At announcement, ADVA said a majority of Movaz’s approximately 150 employees would join its North American organization. It planned to make Movaz’s Atlanta facilities an additional distribution and engineering site.

An ADVA customer-network announcement dated October 23, 2006, referred to the RAYexpress product line under the name FSP 3000RE and stated that ADVA had acquired Movaz in July. That reference documents a product-name change soon after the acquisition; it does not establish the full subsequent lifecycle or present availability of Movaz-derived products.
