Sam Altman was removed as OpenAI’s chief executive on November 17, 2023, after the nonprofit board said he had not been consistently candid with it and had lost its confidence. Four days of failed succession planning, employee revolt and Microsoft intervention followed. OpenAI ultimately reinstated Altman, replaced most of the board and commissioned a WilmerHale review that described a breakdown in trust—not a finding of fraud, financial misconduct or a product-safety breach.

Who had the power to fire OpenAI’s CEO?
OpenAI was not governed like a conventional venture-backed company in which outside investors elect the operating company’s board. Its nonprofit parent held the formal governing authority over the group. Microsoft was OpenAI’s largest commercial partner and a major financial backer, but it did not initially control that board. Employees had no ordinary shareholder vote, yet their technical expertise gave them enormous practical leverage. The November crisis exposed the difference between legal authority and the ability to keep a company staffed, funded and operational.
Why did the board remove Altman?
In its November 17 announcement, OpenAI said Altman had “not been consistently candid in his communications with the board,” impairing the board’s ability to exercise its responsibilities. It said the decision followed a deliberative review and that the board no longer had confidence in his leadership. The statement removed Altman as CEO and from the board; those were related but separate corporate actions. OpenAI’s announcement did not identify one triggering incident.
COO Brad Lightcap’s internal explanation, reported by Axios, said the move was not prompted by malfeasance or by concerns about finances, business operations, safety, security or privacy. That makes “a breakdown in communication and trust” the most defensible description of the public record—not a proven finding that Altman committed fraud or endangered a product.

Reported background, not settled findings
Contemporary reporting described disputes over the board’s oversight role, commercialization and AI-safety priorities. Helen Toner’s paper discussing OpenAI’s safety posture and competitor Anthropic became a source of tension. Reuters-linked reporting also said researchers had warned the board about a powerful internal system often called “Q*”; OpenAI never publicly confirmed that it was the decisive reason for the firing. These accounts help explain the atmosphere, but they do not establish a single cause.

Why the attempted ouster unraveled
The board lacked a workable succession plan
Murati was initially asked to serve temporarily, then Shear was installed after negotiations shifted. Neither transition produced a durable leadership coalition. The rapid changes signaled that the board had authority to remove Altman but not a ready governing alternative.
Employees turned a private dispute into an existential threat
OpenAI depended on a relatively small group of specialized researchers, engineers and executives. The employee letter was not a shareholder vote, and its signatories did not necessarily agree on every strategic question. It nevertheless demonstrated that the board could lose the people needed to operate the company almost immediately.

Microsoft created a credible exit route
Nadella’s offer meant Altman, Brockman and potentially departing employees could move together. Microsoft’s position was influential rather than controlling: it was a partner and backer, not the nonprofit board. The combination of employee pressure and Microsoft’s alternative made the board’s decision increasingly difficult to sustain.
Altman’s return and the new board
OpenAI formally announced Altman’s return on November 29. Murati went back to her chief technology officer role, and the board was reconstituted with Bret Taylor as chair and Larry Summers and Adam D’Angelo as directors. Microsoft received a non-voting observer position. The observer could attend board meetings and receive information, but it was not a voting directorship. Details are in OpenAI’s return announcement.

What the WilmerHale review found
On March 8, 2024, OpenAI said an outside review by WilmerHale had been completed. The company’s summary said the prior board acted within its discretion, that the decision arose from a breakdown in the relationship and loss of trust, and that the conduct reviewed did not mandate removal. It also said the firing was not based on product safety, security, finances or statements to investors, customers or business partners. OpenAI announced additional governance measures, a stronger conflict-of-interest policy and Altman’s return to the board. Read the company’s summary.
That conclusion is narrower than saying Altman was completely exonerated or that the former directors’ concerns were fabricated. The public summary did not publish a comprehensive account of every disputed interaction, and former board members Helen Toner and Tasha McCauley continued to dispute the company’s framing, as reported by the Associated Press.

Microsoft’s role after the crisis
Microsoft’s investment and cloud partnership gave it substantial economic and strategic exposure to OpenAI, but not initial control of the nonprofit board. Its temporary observer role after Altman’s return provided visibility without a vote. On July 10, 2024, Microsoft relinquished that seat, citing improved governance while regulatory scrutiny of the relationship was increasing. The change was reported by Axios and Reuters via Investing.com.
What changed at OpenAI—and what did not
- The board that fired Altman was largely displaced and replaced.
- Bret Taylor became chair, Larry Summers joined, and Altman later rejoined the board.
- Governance controls and conflict-of-interest procedures were strengthened.
- Microsoft gained temporary board visibility, then surrendered it in July 2024.
- The underlying question—whether a nonprofit parent can supervise a rapidly scaling, commercially aggressive AI business—remained unresolved.
Later restructuring discussions continued that governance argument rather than forming part of the November timeline. Reports in 2025 described negotiations over a public-benefit-corporation structure and the extent of nonprofit control. Accounts differed as plans evolved: AP described a recapitalization and move toward a public-benefit structure, while Reuters via Investing.com reported that an earlier conversion plan had been scaled back. The precise legal structure should be checked against the latest corporate announcement or filing.
Why the episode still matters
Altman’s firing demonstrated that formal control is not the same as practical control. The nonprofit board could remove a CEO, but it could not easily replace the technical workforce, preserve executive legitimacy or neutralize Microsoft’s alternative. The reversal did not prove that the board lacked legal authority; it showed the limits of exercising that authority without a credible succession plan and stakeholder support.
The Bottom Line
The November 2023 episode was a governance reversal, not a conventional executive resignation. OpenAI’s board had the formal power to remove Altman, but employee solidarity, Microsoft’s intervention and weak succession planning made the decision unsustainable. The later review narrowed the dispute to a breakdown in trust, while the larger nonprofit-versus-commercial governance question continued.
