The headline deal value differs from the $2.951 billion purchase consideration later recorded in Palo Alto Networks’ fiscal 2026 SEC filing. Chronosphere has Seattle connections through its CEO and a reported office hub, but the available accounts do not establish that it was founded or headquartered there.

Palo Alto Networks announced total consideration of $3.35 billion on November 19, 2025, payable in cash and replacement equity awards, subject to adjustments. In its fiscal 2026 SEC filing, the company later recorded $2.951 billion in total purchase consideration: $2.842 billion in cash and $109 million in the fair value of replacement awards. These figures describe different measures: the announced headline consideration and the amount recorded for accounting purposes. They should not be treated as interchangeable. What does Chronosphere do?
Chronosphere sells observability software for organizations operating complex technology systems. Observability tools collect and help teams examine operational data—such as metrics and other telemetry—to understand system health and diagnose problems. The company emerged from cloud-monitoring work by co-founders Martin Mao and Rob Skillington at Uber, where they helped build the open-source M3 metrics system. Chronosphere also offers a Telemetry Pipeline, which the acquisition completion announcement said would remain available as a standalone solution. Palo Alto Networks described the pipeline as a way to transform, optimize, and route telemetry data. The release claims it can reduce data volumes by 30% or more and require 20 times less infrastructure than legacy alternatives; these are vendor claims, not independently reported benchmark results.
Why did Palo Alto Networks buy an observability company?
Palo Alto Networks framed the deal as a way to strengthen visibility into data across modern applications and AI workloads, complementing its security business. Its acquisition announcement said combining Chronosphere with Cortex AgentiX could enable AI agents to detect issues, investigate root causes, and take remedial action. Those are the buyer’s stated strategic plans, not evidence that the combined products have already delivered those outcomes.
The buyer also cited Chronosphere’s growth: its November 2025 announcement reported more than $160 million in annual recurring revenue as of the end of September 2025 and triple-digit year-over-year growth. That is a company-reported figure for that date, not a current revenue figure.

Chronosphere has Seattle ties, but the available accounts do not establish that it was founded in Seattle or that Seattle was its headquarters. A 2021 company retrospective described co-founder and CEO Martin Mao as based in the Seattle area and recounted the company’s early pandemic-era beginnings from his home laundry room. A 2022 Seattle technology publication described Chronosphere as remote-first, headquartered in New York, with hubs in Seattle and Lithuania. Those details support calling Seattle part of the company’s history, not labeling it Seattle-founded or Seattle-headquartered.
