Private equity ownership can matter to patients and workers because it changes who controls a medical practice and may affect decisions about prices, staffing, and access. But private equity is only one part of a much broader shift in physician ownership, and the Toys“R”Us comparison is not proof that a buyout alone caused that company’s bankruptcy. The available evidence supports asking who owns and controls a practice; it does not support assuming every PE-backed practice delivers worse care.
How large is private equity’s role in doctors’ practices?
It is growing, but it remains a smaller share of physician work than hospital-system employment or affiliation. The U.S. Government Accountability Office (GAO), in a report dated September 22, 2025, cited an American Medical Association survey finding that about 6.5% of physicians worked in private-equity-owned practices in 2024, up from 4.5% in 2022.
For comparison, studies reviewed by GAO found that at least 47% of physicians were employed by or affiliated with hospital systems in 2024, compared with less than 30% in 2012. The AMA also estimated that the share of physicians in private practice fell from 60% in 2012 to 42% in 2024. These figures come from different measures and studies: they are not mutually exclusive categories and should not be added together.
National averages also conceal substantial differences by specialty and geography. A national percentage cannot tell you who owns a particular clinic, or how much choice patients have in a particular town.

What changes when a practice has corporate or PE ownership?
Ownership and control are related but not always identical. A physician may provide care at a practice whose parent company or investor controls business decisions; management services may also be handled through a separate organization. The name on the clinic sign alone may not reveal the full arrangement. For patients, the practical questions are who makes decisions, what alternatives exist locally, what care costs, and whether access or quality changes.

These labels are starting points for questions, not quality ratings. GAO found that the evidence does not establish one ownership model as universally better.

What does the evidence say about prices, quality, and access?
GAO’s review found limited studies of physician consolidation involving private equity, but some evidence of price increases for commercial insurance. That is a finding about a limited body of research—not a conclusion that every PE-backed practice raises prices, or that the effect applies to every patient or type of coverage.
For quality and patient access, GAO said rigorous studies of private equity’s effects were lacking. That leaves important questions unresolved. It is reasonable to pay attention to changes in staffing, appointment availability, service locations, or bills at a particular practice, but the national evidence cited here does not establish that PE ownership by itself caused any one such change.

In March 2024, the Federal Trade Commission, Department of Justice, and Department of Health and Human Services launched a joint inquiry seeking public input on corporate ownership and health-care transactions that could affect patients, workers, quality, and affordability. FTC Chair Lina M. Khan said, “When private equity firms buy out healthcare facilities only to slash staffing and cut quality, patients lose out.” That statement described the agencies’ concern; the inquiry announcement was not an adjudicated finding that all such transactions cause harm.
Why invoke Toys“R”Us—and where the analogy stops
The Toys“R”Us reference points to a broader concern about leveraged buyouts: when investors acquire a business using debt, the financing structure and later business decisions can affect the company, its workers, and its customers. That mechanism is a reason to examine ownership and accountability in health care, where patients may have limited ability to choose another provider.

But the available evidence here does not establish a definitive Toys“R”Us transaction chronology or how much of its bankruptcy was caused by private equity ownership rather than other factors. The comparison should therefore be treated as a prompt to ask how a deal was financed and who bore its consequences—not as proof that private equity alone bankrupted the retailer, or that a medical practice will follow the same path.

- Ownership: Ask who owns the practice and whether a parent company or outside investor is involved. A clinic’s brand may not identify its owner.
- Control: Find out who makes operational decisions and whether a separate management-services organization is involved.
- Local choice: Consider whether other clinicians or facilities are realistically available, especially for the same specialty and insurance coverage.
- Costs and care location: Check the expected price, insurance network status, and where a service will be provided; site of care can matter to a bill.
- Observable changes: For workers and patients, staffing, wait times, hours, services, and appointment access are concrete things to monitor. A change alone does not establish its cause.
- Quality evidence: Look for measured outcomes and access information rather than assuming ownership predicts quality; GAO found major evidence gaps on PE’s effects in these areas.
What this means for household decisions
Ownership is worth knowing, but it is not a substitute for comparing a clinician’s availability, services, insurance participation, costs, and quality information. If a practice changes ownership, patients can ask whether their clinician, location, services, and network status are changing before deciding whether to switch. Workers evaluating an employer can ask who holds decision-making authority and how operational changes affect staffing and patient care.
