Why NDTV Founders Prannoy and Radhika Roy Sold Most of Their Stake to Adani’s AMG Network

NDTV founders Prannoy Roy and Radhika Roy announced on 23 December 2022 that they would sell most of their shares in the broadcaster to Adani’s AMG Media Networks. The transfer was completed on 30 December: AMG said its indirect subsidiary RRPR Holding acquired 27.26% of NDTV from the Roys, taking the Adani group’s reported holding to 64.71%. The Roys retained a combined 5%.

What did the Roys say about the sale?

In their statement announcing the decision, the founders said: “Consequently, with mutual agreement we have decided to divest most of our shares in NDTV to the AMG Media network.” They referred to discussions with Gautam Adani and expressed expectations about NDTV’s editorial mission. Those comments describe the founders’ stated position; they do not establish what editorial effects followed the transaction.

How did the transaction change ownership?

The percentages describe different parts of the deal. AMG Media Networks reported that 27.26% was the stake it acquired from the Roys on 30 December 2022. After that acquisition, the Adani group’s reported NDTV holding was 64.71%; the Roys retained 5% combined.

These are the transaction announcement’s figures, not a verified current ownership breakdown. AMG Media Networks’ announcement describes the acquisition as made through RRPR Holding, an indirect subsidiary of AMG.

When was NDTV considered part of AMG Media Networks?

NDTV’s FY2022-23 annual report recorded the change in control and described NDTV as a subsidiary of AMG Media Networks Limited, an Adani Group company. The report covers the financial year ended 31 March 2023; it provides a contemporaneous record of the corporate relationship, not a current cap table.

What the available statements establish—and what they do not

The founders’ statement and the company announcements establish the announced decision, completion date, transaction route, and reported ownership figures. The founders also stated expectations about NDTV’s mission. These materials do not independently demonstrate how the sale affected NDTV’s subsequent editorial coverage.
