It completed the acquisition on November 1. Later NetScout disclosures put the deal at different amounts for different stated purposes, so the figures should not be treated as interchangeable.
What NetScout announced in September 2007
NetScout said the proposed cash, stock and debt transaction was worth approximately $205 million, using NetScout’s closing share price on September 19, 2007. The announced consideration consisted of six million NetScout shares, $50 million in cash and $100 million in debt financing. The agreement was subject to customary closing conditions and regulatory approvals. NetScout’s September 20 announcement described the headline value and proposed structure.
The acquisition agreement also set out different consideration mechanics for different holders. NetScout’s September 25 Form 8-K says accredited holders would receive cash and NetScout stock, while non-accredited holders would receive cash tied to an equivalent value under the agreement’s share-reference mechanism. That filing explains legal mechanics; it does not replace the announcement’s headline transaction value.
Why NetScout wanted Network General
NetScout presented the companies’ technologies as complementary. It said its customers would gain Network General’s expert packet analysis and data mining, while Network General customers would gain NetScout’s real-time monitoring and rapid, top-down troubleshooting. The company framed the combination as a way to improve network and application performance management and reduce mean time to restore. These were anticipated benefits described by NetScout, not independently measured results.

In the announcement, NetScout president and CEO Anil Singhal described the strategic case as bringing together complementary technologies and capabilities to address challenges related to virtualization, convergence, service-oriented architecture (SOA) and distributed network operations.
Completion and the three reported deal values
NetScout completed the acquisition on November 1, 2007. Its completion announcement described the value as approximately $206 million for purchase-accounting purposes. NetScout’s 2008 annual report later reported approximately $212 million in aggregate consideration. The available disclosures do not reconcile these amounts into one figure; each should be quoted with its own source and stated basis.

What the combined product offering was meant to do
At closing, NetScout said the combination would bring together nGenius and Sniffer technologies. It described capabilities including early warnings, real-time and historical application-flow analysis, and deep packet forensics. The acquisition joined performance monitoring and troubleshooting capabilities; the company’s description of product benefits does not establish independently verified customer outcomes.
