Marissa Mayer’s First Full Year at Yahoo: Growth, Share Gains and an Unproven Turnaround

Mayer’s first full calendar year at Yahoo brought rapid mobile-audience growth and a sharp share-price rise, but Yahoo’s operating turnaround remained unproven.

Marissa Mayer’s first full calendar year as Yahoo’s CEO brought a striking mobile-audience milestone and a sharp rise in the company’s share price—but Yahoo’s own filings show revenue ex-TAC fell 1% in 2013, while mobile revenue was not material. The year was a high-profile strategic reset, not conclusive proof that Yahoo’s core business had turned around.

What counts as Mayer’s “first year” at Yahoo?

Yahoo said Mayer became CEO and president effective July 17, 2012. This assessment treats 2013 as her first full calendar year in charge, rather than the exact twelve months after her appointment. Some workplace and product changes discussed in Yahoo’s 2013 annual report had begun in 2012, so they should not all be credited as new 2013 initiatives.

The evidence is principally Yahoo’s SEC-filed 2012 and 2013 Forms 10-K and its 2013 shareholder letter, published in 2014. They establish what the company reported and how management described its priorities; they do not independently establish that Mayer’s policies caused the reported results.

Did Yahoo’s operating business turn around?

Not on the central revenue and profitability measures Yahoo reported for 2013. Yahoo’s 2014 Form 10-K reported revenue ex-TAC of $4.381 billion, down $42 million, or 1%, from $4.468 billion in 2012. Revenue ex-TAC means GAAP revenue less traffic acquisition costs; it is a company-defined non-GAAP measure, not the same as GAAP revenue. Yahoo attributed the decline to lower display revenue, partly offset by higher search and other revenue. (Yahoo’s 2013 Form 10-K)

Adjusted EBITDA also declined by $134 million, or 8%, which Yahoo said was mainly due to lower revenue ex-TAC and higher global operating costs. These results qualify the growth story: Yahoo reported audience and product momentum, but the financial evidence did not yet show broad operating improvement.

What changed in mobile and Yahoo’s audience?

Audience growth was a significant reported bright spot. By year-end 2013, Yahoo said it had more than 800 million monthly users, including more than 400 million monthly mobile users. The counts excluded IMAP and Tumblr users. Yahoo reported that mobile users had increased by more than 150 million since it launched its Mobile and Emerging Products team in October 2012; its shareholder letter said July 2013 was the first month the company surpassed 400 million monthly mobile users. These are Yahoo’s reported figures, not independent audience measurements.

Reach did not yet translate into meaningful mobile sales. Yahoo stated in its 2013 Form 10-K that mobile revenue was not material during 2013 and at the time of the filing. That distinction matters: a growing audience can improve a company’s opportunity to earn revenue, but user totals alone do not demonstrate successful monetization.

Yahoo also refreshed mobile experiences and introduced apps across News, Sports and Finance. Its shareholder letter reported that the fourth quarter was the eighth consecutive quarter of year-over-year growth in search revenue ex-TAC. That was a positive search milestone, but it did not offset the company’s overall 2013 revenue ex-TAC decline.

How did acquisitions and products fit the strategy?

Mayer-era Yahoo made visible moves to expand its audience and product capabilities. The company completed its acquisition of Tumblr on June 19, 2013, for a purchase price of approximately $990 million, mainly in cash. Yahoo presented Tumblr as a way to add an engaged community of younger users. It also reported $279 million in purchase consideration for other acquisitions in 2013. Those figures describe investment and stated strategic intent, not returns already proven.

Yahoo acquired Summly technology and incorporated its summarization features into Yahoo products; Yahoo News Digest launched in the first quarter of 2014. The company’s 2013 Form 10-K described its broader aim as hiring people who could build engaging products. The acquisitions and launches show that Yahoo was acting on a product-and-audience strategy, but the available reported figures do not isolate their effect on traffic, revenue or long-term value.

What did Mayer change about Yahoo’s people and workplace?

Yahoo’s 2013 Form 10-K reported more than 340,000 job applications during the year, nearly double the 2012 number, and said nearly half of hires were technical talent. It also described continuing efforts around transparency, accountability and employee efficiency. These figures suggest a stronger recruiting pitch and an emphasis on technical hiring; they do not, by themselves, measure employee retention, productivity or workplace satisfaction.

Several initiatives often associated with Mayer’s management—including performance reviews, aggressive goals, product-readiness processes, employee feedback tools, free food and weekly all-hands meetings—were already introduced in 2012, according to Yahoo’s 2012 Form 10-K. They are relevant to the broader reset, but should not be presented as changes first created during 2013.

Why did Yahoo shareholders have such a strong year?

Yahoo’s 2013 shareholder letter reported that its share price rose from $19.90 on December 31, 2012, to $40.44 on December 31, 2013. The company also repurchased approximately $3.3 billion of its stock during 2013. Those figures made 2013 a strong year for shareholders by these measures, but a share-price rise is not the same as improved operating performance, and the figures alone do not show that Mayer caused the market’s repricing. Yahoo’s revenue ex-TAC declined over the same period.

The letter, signed by David Filo and Marissa A. Mayer, called 2013 “a year of growth at Yahoo.” That was management’s characterization. The annual filing’s mixed financial results and the gap between mobile audience and mobile revenue provide important context for interpreting it.

Was Mayer Yahoo’s “best CEO yet”?

That verdict depends on what “best” means and which Yahoo CEOs are included in the comparison. On audience growth, product activity and share-price performance during 2013, Mayer’s first full calendar year produced conspicuous positives. On operating performance, Yahoo had not established a broad turnaround: revenue ex-TAC and adjusted EBITDA both declined, and mobile revenue was not material.

The fairest conclusion is that Mayer led a high-visibility strategic reset that improved Yahoo’s reported reach and attracted strong market enthusiasm, while a durable recovery in the core business remained unproven. Calling her the company’s best CEO requires a defined comparison and a longer-term assessment than these first-full-year figures can support.
