Investors alleged that Zillow misled them about the risks and condition of Zillow Offers before the company halted home purchases and wound the business down in 2021. Zillow denies wrongdoing. Courts have allowed parts of the case to proceed and approved class-action treatment, but none of those rulings is a finding that Zillow committed fraud or is liable.
What the lawsuit alleges
The consolidated securities complaint alleges that Zillow and certain executives made materially misleading statements or left out important information about Zillow Offers, the company’s home-buying business. The proposed class period runs from August 7, 2020, through November 2, 2021; the amended consolidated complaint was filed on May 12, 2022, according to Zillow’s Form 10-Q for the quarter ended June 30, 2026.
Plaintiffs say investors were not adequately informed about the unpredictability of Zillow’s home-price forecasts, operational problems including labor and supply shortages that contributed to an inventory backlog, and the risk that Zillow would wind down the business. Those are allegations in the complaint, not established facts or a court’s conclusion about what executives knew or intended. Stanford’s dated case summary describes the allegations.
What Zillow said before and during the shutdown
Before the closure, Zillow made positive public statements about the business. In an August 5, 2021 earnings release, CEO Rich Barton said Zillow Offers “continues to accelerate.” At a September 13 conference, COO Jeremy Wacksman said its strength and appeal “just continues to grow.” GeekWire reported these statements while covering the case in November 2021; they show what was said publicly, but do not by themselves establish whether the statements were misleading.

On October 18, 2021, Zillow said it would stop signing new contracts to buy homes through the end of that year, citing renovation backlog and operational-capacity constraints, according to class counsel Hagens Berman’s case page. On November 2, Zillow announced it was winding down Zillow Offers. Barton then said the unpredictability of forecasting home prices exceeded expectations and that continuing to scale the business would create too much earnings and balance-sheet volatility. Zillow’s public explanation for the shutdown was forecasting risk and the resulting volatility; the lawsuit disputes whether investors had been adequately informed of the relevant risks beforehand.
Financial impact reported at the time
Contemporaneous figures describe different scopes and should not be treated as interchangeable. GeekWire reported more than $500 million in shutdown-related write-downs and planned layoffs affecting about 25% of Zillow Group’s workforce, or approximately 2,000 people. Hagens Berman’s case page summarizes Zillow’s November 2 disclosure as a $304 million write-down on third-quarter 2021 housing inventory and an expected $240 million to $265 million loss on homes expected to be purchased in the fourth quarter. These are attributed figures about Zillow’s closure, not estimates for the broader iBuying industry.

What courts have decided—and what they have not
On December 7, 2022, the district court granted Zillow’s motion to dismiss in part and denied it in part. A partial denial means certain claims were allowed to continue at that stage; it is not a finding that the allegations are true.
The district court granted class certification on August 23, 2024. On September 26, 2025, the Ninth Circuit affirmed that certification. The appellate memorandum is nonprecedential except as provided by Ninth Circuit Rule 36-3. Class certification concerns whether the claims may proceed together under class-action rules; it does not decide liability or whether Zillow’s statements were fraudulent. The Ninth Circuit memorandum addresses certification, not the merits of the allegations.

Hagens Berman reported on April 22, 2026, that the district court had lifted a stay and discovery had begun. That is counsel’s case-page update. Zillow’s June 2026 SEC filing says the Ninth Circuit denied Zillow’s petition for rehearing en banc on January 6, 2026. The filing also reports that Zillow petitioned the U.S. Supreme Court for certiorari on June 5, 2026, and that the Court ordered plaintiffs to respond on June 25. The filing does not report a later Supreme Court decision.

As of Zillow’s Form 10-Q for the quarter ended June 30, 2026, the lawsuit remains unresolved in the materials cited here: claims have survived dismissal in part, class certification has been affirmed, and the Supreme Court had ordered a response to Zillow’s petition. Zillow says it denies wrongdoing and intends to defend the consolidated lawsuit. No final trial finding or judgment establishing fraud or liability is reported in that filing.

For investors assessing the case, keep three questions separate: what Zillow said publicly about Zillow Offers, what plaintiffs allege was omitted or misleading, and what courts have actually ruled. The first is part of the public record; the second remains contested; the procedural rulings to date address whether and how the case proceeds, not whether the allegations are true.
