Javice Found Guilty in JPMorgan’s $175 Million Frank Acquisition; Sentenced to 85 Months

A jury convicted Frank executives Charlie Javice and Olivier Amar in a case involving JPMorgan’s $175 million acquisition. Javice was later sentenced to 85 months, and a new-trial motion was denied.

A federal jury found Frank founder Charlie Javice and the company’s former chief growth officer, Olivier Amar, guilty on March 28, 2025, in a fraud case tied to JPMorgan Chase’s $175 million purchase of the student-financial-aid startup. Javice was sentenced to 85 months in prison on September 29, 2025. A judge denied the defendants’ motions for a new trial in March 2026, and an appeal was active in the latest available docket record, dated September 22, 2026.

What the jury found

After a six-week trial, a unanimous jury in the U.S. District Court for the Southern District of New York convicted Javice and Amar of conspiracy, wire fraud, bank fraud and securities fraud. The verdict concerned the sale of Frank to JPMorgan Chase, which agreed to pay $175 million for the company. The U.S. Attorney’s Office announced the verdict on March 28, 2025: the official verdict announcement.

The distinction between the jury’s verdict and the government’s account of how the alleged scheme worked matters: the convictions are the trial outcome; details about the user count and data-handling described below are attributed to prosecutors and court records.

Why JPMorgan bought Frank

Frank was a for-profit company founded around 2017. Its online platform was designed to simplify the Free Application for Federal Student Aid, or FAFSA—the free federal form used to apply for financial aid for college or graduate school. JPMorgan’s interest in the acquisition included access to the student-user data it expected Frank to bring.

According to the government’s account, Javice represented to banks that Frank had 4.25 million users. The stated definition was people who had signed up and for whom Frank held a first name, last name, email address and phone number. Prosecutors said the company had approximately 300,000 users under that definition. These are figures presented by the government, not a separate independently audited count. The U.S. Attorney’s Office set out the figures in its verdict announcement.

How prosecutors said the user data was fabricated

Prosecutors said JPMorgan sought to verify Frank’s user count and underlying data during the acquisition process. According to the government’s sentencing account of the public filings and trial record, Javice and Amar attempted to create a dataset to support the representation of more than 4.25 million users.

  • Frank’s engineering director declined a request to create synthetic user data, prosecutors said.
  • Javice then hired an outside data scientist to create synthetic data, according to the government.
  • Prosecutors said a third-party vendor was used to convey that a dataset contained more than 4.25 million rows.
  • The government also said Javice and Amar bought student data on the open market to cover up the user-count representations, and that data obtained outside Frank was later provided to JPMorgan as if it were Frank user data.

These mechanics are the government’s account of the evidence and filings; they should not be confused with a separate audit or a general finding about how startup acquisitions are conducted. The earlier criminal complaint describes the initial allegations, while the later verdict and post-trial ruling are the relevant procedural outcomes.

Javice’s sentence and financial penalties

On September 29, 2025, Judge Alvin K. Hellerstein sentenced Javice to 85 months in prison, followed by three years of supervised release. The court also ordered forfeiture of $22,360,977.48 and joint-and-several restitution of $287,501,078 with Amar, according to the U.S. Attorney’s Office sentencing announcement. Joint-and-several restitution means the defendants are responsible for the ordered amount together; it does not mean each must pay that full amount separately.

What happened after the verdict

On March 24, 2026, Judge Hellerstein denied the defendants’ motions for a new trial. Javice appealed, and the latest available Second Circuit docket listing shows appellate filings through September 22, 2026. That listing does not establish whether the appeal has since reached a decision, whether briefing is complete or whether oral argument has been scheduled. What the case does—and does not—show

The case centers on a specific alleged and adjudicated deception: the user count represented in connection with one acquisition, and the data prosecutors said was used to support or conceal that representation. The $175 million purchase price, the user figures and the sentence are case-specific figures. They do not establish how common fraud is in startup acquisitions or what diligence practices are typical.
