Dave Clark publicly described his departure as a resignation after discussing that shift with Petersen. FreightWaves later reported, citing people familiar with the decision, that Flexport’s board had decided to fire Clark. The public explanation and the reported board account differ, but both point to a change in leadership priorities during a weaker freight market.
What happened to Dave Clark?
Clark said on September 6, 2023, that he would resign after he and Petersen discussed Petersen’s desire to focus again on growth in Flexport’s core freight business. Flexport confirmed Petersen’s return as CEO. The following day, FreightWaves updated its report to say sources familiar with the decision told it the board had decided to fire Clark, prompting his resignation announcement. That account is attributed reporting, not a public board statement using those words.
Clark’s public statement framed the change as Petersen being better suited to lead the company in that direction. He also wrote, “Founders have the right to change their mind.” The statement did not say he had been fired.
Why had Petersen stepped aside in the first place?
Flexport announced Clark’s appointment on June 8, 2022. He was due to start as CEO and a board member on September 1. Petersen and Clark would serve as co-CEOs for six months, after which Petersen planned to become executive chairman. The transition was presented as a planned succession, not an emergency departure.

Petersen said Flexport needed stronger operational execution to scale its freight-forwarding and supply-chain operations, and that Clark’s experience building Amazon’s fulfillment, logistics, and transportation network could help. Flexport reported $3.3 billion in 2021 revenue and forecast close to $5 billion for 2022 in that June 2022 announcement; the latter was a forecast, not a verified result in the announcement.
Contemporaneous FreightWaves reporting says Clark became sole CEO and Petersen executive chairman in March 2023, completing the planned handover.

Why did Petersen want to return to core freight?
In a September 12, 2023, FreightWaves interview, Petersen said the company’s customer focus was waning. He argued that the CEO needed to spend time meeting customers directly, describing frequent travel and in-person visits as important to understanding their needs. He also characterized freight forwarding as a service business that depends on understanding each customer’s network and problems.
That was Petersen’s assessment, not an independent finding about Clark’s conduct. In the same interview, Petersen credited Clark with building a strong technology organization and advancing operations. The best-supported explanation is therefore a change in emphasis—toward core freight growth and customer contact—rather than a claim that Clark made no contribution or that the company abandoned its wider ambitions.

How did the business climate shape the change?
Flexport entered 2023 facing weaker customer volume expectations. In a January 11 note, co-CEOs Clark and Petersen said customer forecasts had declined through the year amid the macroeconomic downturn and announced a workforce reduction of approximately 20%. That provides context for pressure on the company’s priorities, but it does not establish that the cuts caused Clark’s later departure.
On October 12, 2023, after Petersen’s return, Flexport announced another approximately 20% global workforce reduction. The company reported more than $1 billion in net cash and said it aimed to return to profitability as soon as the end of 2024. Those were company-reported figures and a forward-looking target, respectively; they do not establish the eventual outcome.

Was Flexport abandoning end-to-end logistics?
Not on the evidence available in the executives’ public explanations. Clark had said he and Petersen were aligned on building an end-to-end customer solution, including transportation, warehousing, e-commerce fulfillment, and last-mile delivery. Petersen’s return signaled more emphasis on core freight growth and direct customer relationships, but he said the company was not returning to a bare-bones freight-forwarding model and described continued end-to-end ambitions. The leadership change is better understood as a shift in emphasis than as proof that Flexport dropped technology or every expansion plan.

Clark’s September 6 statement called his departure a resignation and connected it to Petersen’s return to core freight growth. FreightWaves’ September 7 update, citing sources familiar with the decision, said the board had decided to fire him and that this prompted the resignation announcement. Petersen’s later interview supplied his rationale: concern about customer focus and the need for a CEO who spent substantial time with customers.

These accounts are not identical, and the board-firing description should remain attributed to FreightWaves’ sources. Taken together, they show the public framing of a resignation alongside reporting that the board had made the decision, against a backdrop of weaker freight conditions and a renewed leadership focus on core forwarding and customer service.
