Who agreed to acquire Jama Software?

What does the $1.2 billion figure mean?
Jama’s announcement described the transaction value as $1.2 billion. That is the value stated in the announcement; it should not be treated as a verified cash payment to shareholders or as an independently calculated enterprise value. Who was selling, and what was the CEO’s role?
The company said Francisco Partners would acquire Jama from shareholders including Insight Partners and Madrona Ventures. CEO Marc Osofsky said he would personally reinvest in the business and continue leading it. The announcement does not specify the size or terms of his reinvestment.
Osofsky described the plans as forward-looking, saying: “We are thrilled to work with Francisco Partners and leverage their expertise as we further accelerate our rapid expansion across enterprises, industries and continents”. That statement expresses the company’s outlook, not a guaranteed result.

Was the acquisition completed?
The March 18, 2024 announcement said the deal was subject to customary closing conditions. An agreement to acquire a company is not, by itself, confirmation that the transaction has closed. The Jama and Francisco Partners archive entries cited here do not establish a closing date or completion status. The announcement’s headline characterized Jama’s recurring revenue as having tripled organically in five years. That is a company-reported claim: the release excerpt does not provide the revenue figures, the measurement period details, or the methodology needed to independently assess it. It should not be read as an audited financial result.
