What is the latest expected closing date?
Lufthansa Group’s investor-relations update says it expects the transaction to close in the first quarter of 2027. That is a forecast, not confirmation that the deal has closed. The available company statement does not support the headline’s “next week” timing. Lufthansa’s transaction announcement and its later investor-relations update describe the expected timetable.
What is Lufthansa buying?
Lufthansa announced on 12 May 2026 that it would exercise its option to buy an additional 49% of ITA Airways from Italy’s Ministry of Economy and Finance (MEF) for €325 million. Lufthansa said this would increase its holding from 41% to 90%, with the MEF initially retaining 10%. Its later update says it exercised the option in June 2026.
Which approvals are still relevant?
Lufthansa identifies the European Commission and the U.S. Department of Justice as the primary authorities whose approvals are required for the additional 49% purchase. The closing expectation remains subject primarily to those approvals.

The European Commission’s July 2024 decision was a separate step: it conditionally approved Lufthansa and the MEF acquiring joint control of ITA, subject to remedies. That earlier decision should not be read as clearance of the later majority-stake purchase. The Commission’s July 2024 announcement concerns the joint-control transaction.

ITA Airways said it would continue operating under its own brand within the Lufthansa Group. Lufthansa, in turn, says ITA is to be integrated organizationally and consolidated financially after the additional purchase is completed. Keeping the ITA name therefore does not mean the airline will remain outside the group’s integration.

Lufthansa CEO Carsten Spohr described passengers as already experiencing ITA as an integrated part of the group. That is his characterization of the customer-facing relationship; the same company update separately gives Q1 2027 as the expected closing period for the share purchase.
