Before signing, have local real estate and tax professionals review the transaction. Farm sales can involve several asset types with different tax treatment, so the sale price should not be treated as one undifferentiated number.
The steps below are a general U.S. guide. State and county requirements, local closing practices, title conditions, and the value of a specific parcel depend on its location and records.
1. Define what you are selling
A farm transaction may include more than acreage. Specify what is part of the deal and what, if anything, you will retain or transfer separately. This affects the buyer’s expectations, the sale documents, and the tax allocation.
- Land, parcel boundaries, access, and any available survey
- A residence, barns, other buildings, fences, irrigation systems, and improvements
- Machinery, livestock, stored crops, or other business property
- Water, mineral, timber, or other property interests, where applicable
- Existing farm leases, conservation restrictions, and government-program agreements
- Any rights you intend to reserve or transfer, such as access or resource-use rights
Confirm the legal description and ownership against deeds and other property records. If the owner is a trust, business entity, or group of co-owners, establish who has authority to approve and sign the sale.

2. Assemble records and identify obligations
Collect documents before marketing the property or negotiating terms. A local real estate professional or attorney can help identify records needed for the parcel and jurisdiction; this list is preparation, not a complete legal checklist.
- Deeds, title materials, legal descriptions, parcel maps, and surveys
- Tax basis records, improvement costs, and depreciation schedules for business assets
- Leases and information about rent, renewal dates, and tenant rights
- Recorded easements, access arrangements, water or mineral interests, and use restrictions
- Conservation and government-program agreements, including any obligations that could continue after a transfer
- Records describing buildings, equipment, livestock, crops, or other items to be included
Have local professionals review title and contract obligations. Do not assume that a buyer will receive every right associated with the land, or that an existing lease or restriction ends when ownership changes.
3. Establish value and choose a sale route
Request a valuation based on the specific parcel and its local market. The value can depend on factors such as location, access, land characteristics, improvements, leases, restrictions, and the rights included. The sources cited here do not establish a national typical price, sale duration, commission, or universally best marketing method.

Compare a local broker listing, auction, and direct sale using property-specific market evidence and your priorities, such as timing, buyer reach, certainty, and the terms you are willing to accept. Ask how the proposed approach handles the property’s distinct assets and any continuing leases or restrictions.

4. Compare transaction paths before agreeing to terms
These paths have different financial and operational consequences. They are not interchangeable, and eligibility depends on the facts and transaction structure.

A conservation easement is not simply another way to sell unrestricted land; the restriction may be an important part of what a buyer or future owner receives. Get legal and tax advice before granting or selling one.

5. Plan for tax treatment by asset
IRS Publication 225, Farmer’s Tax Guide (2025), states that when a farm is sold, gain or loss on each asset is figured separately. A farm deal may include a home, business land and buildings, machinery, livestock, and other property. The allocation of the sale price among assets therefore matters and should be prepared with a tax professional rather than assumed to be a single land gain.
Business property, section 1231, and depreciation
Business property can involve section 1231 treatment, while depreciation recapture can make part of a gain ordinary income. The applicable result depends on the asset and the seller’s tax history; farmland gains should not be assumed to receive one capital-gains rate. The IRS also describes special rules involving soil and water conservation deductions and certain cost-sharing benefits.
For depreciable farm property, Publication 225 says recapture is reported for the year of sale before installment treatment is applied to any remaining gain. This distinction is important if payments will be spread over time.

Residence included in the sale
A farm residence may be subject to rules different from business property. The home-sale exclusion may apply if its requirements are met; IRS Publication 225 directs readers to Publication 523 for those rules. Have the residence and business components identified and reviewed separately.
Installment treatment
Installment reporting may allow some eligible gain to be recognized as payments are received, but it does not eliminate asset-by-asset classification or defer depreciation recapture from the sale year. A seller-financed deal also means you are relying on the buyer to pay over time, so have an attorney and tax professional review the payment terms and remedies for default before signing.
Section 1031 exchanges
Under the IRS’s section 1031 guidance, the exchange generally must involve real property held for business or investment and replacement real property also held for business or investment. Property held primarily for sale and personal-use real estate are excluded. Buying another property after a sale does not automatically make the transaction a qualifying exchange; obtain tax advice before committing to a structure.

Proposed farmland installment election
A Federal Register proposed rule published September 29, 2026 concerns an election to pay tax on gain from certain qualifying farmland sales or exchanges to qualified farmers in four equal annual installments. It is a proposal, not a basis to assume an election is currently available. Check its current status, effective date, definitions, and procedure with a tax professional before relying on it.

USDA’s Natural Resources Conservation Service (NRCS) describes the Agricultural Conservation Easement Program (ACEP) as protecting agricultural viability and related conservation values by limiting nonagricultural uses that negatively affect them. Its Agricultural Land Easements (ALE) are intended to help protect working cropland and grassland; eligible partners can include tribes, state and local governments, and nongovernmental organizations with relevant programs.
ACEP also includes Wetland Reserve Easements. NRCS states that it pays specified recording-related costs for the Wetland Reserve Easement options described on its program page, including recording fees, abstract charges, survey and appraisal fees, and title insurance. That statement should not be assumed to apply to every easement or transaction; ask NRCS or the relevant eligible partner about the specific option, eligibility, and current terms.
NRCS reports on its current ACEP page that it has worked over 28 years to protect more than 5 million acres of wetlands and agricultural lands; the page’s publication date is not stated. That program-wide figure does not establish that a particular parcel qualifies or what an easement would be worth. IRS Publication 544 distinguishes easements treated as a sale from qualifying charitable contributions depending on the transaction, so obtain tax and legal advice before granting or selling an easement.
7. Move from preparation to a signed agreement
- Verify authority and parcel details. Confirm the owner, any co-owner or entity approval requirements, legal description, parcel boundaries, and available survey.
- Set the included assets and rights. Write down what is included, excluded, reserved, or transferred separately, including buildings, equipment, livestock, crops, leases, and water or mineral interests where relevant.
- Review title and continuing obligations. Ask local professionals to examine title materials, access, easements, leases, restrictions, and program agreements for the property’s jurisdiction.
- Obtain property-specific pricing evidence. Compare marketing routes and proposed terms based on local evidence rather than assuming a national benchmark or universally best method.
- Model tax consequences before signing. Ask a tax professional to review basis, asset allocation, depreciation recapture, section 1231 treatment, installment terms, and any possible section 1031 exchange.
- Use locally qualified transaction advisers. Have a real estate professional and attorney familiar with the property’s jurisdiction review the marketing plan, purchase agreement, closing requirements, and any land-use or conservation arrangement.
Because the parcel’s location and records determine many of the rules and practical steps, confirm state and county requirements and local closing practice with professionals who work in that jurisdiction.
