A business exit strategy is a plan for how you will leave ownership, what you want to receive or preserve, and how the company will keep operating—or close—during the transition. Start by defining your personal goals, compare the available routes, make the business transferable, then get the transaction and tax details reviewed before you commit. The right route depends on your circumstances; there is no universal planning timeline or sale price formula.
1. Define what you want from your exit
Before deciding whether to sell, pass on your business, or close it, write down the outcome you are trying to achieve. The Small Business Administration advises owners to create a thorough plan for transferring ownership, selling, or closing the business. SCORE’s succession planning guide also treats choosing how to exit as part of the planning process.
- Timing: When would you like to leave, and how much flexibility do you have?
- Financial outcome: Do you need a lump sum, continuing payments, ongoing income, or a combination? Consider the amount you need after transaction costs and taxes, not just a headline sale price.
- Your future role: Do you want a clean break, a defined handover period, or a continuing role?
- Continuity: How important is it to preserve jobs, customer relationships, the company’s name, or family ownership?
- Constraints: Consider co-owners, debt, leases, contracts, licenses, and any personal or family circumstances that could affect a transfer.
These answers give you a basis for comparing routes. If the company cannot function without your daily involvement, for example, a transition that requires a successor to take over immediately may not match your goals or the business’s current readiness.
2. Compare ways to leave the business
The SBA discusses outright sales, gradual sales, lease arrangements, transfers, and closure. The table below describes common trade-offs; actual timing, payments, responsibilities, and legal or tax results depend on the business and negotiated terms.

Choose by matching your goals to buyer or successor availability and the company’s capacity to operate through the transition. If no route fits on current terms, you may be able to improve readiness, develop a successor, or revisit timing before making a decision.
3. Estimate value and prepare for buyer or successor review
A valuation helps inform expectations and negotiations, but it is not a guaranteed sale price. The SBA identifies three common approaches:

These methods look at value from different angles; the relevant approach and result depend on the business and transaction. The SBA recommends using business valuation to set a monetary value before marketing to prospective buyers. A qualified business valuation expert can help when the stakes, complexity, or disagreement over value warrant an independent assessment.
Prepare for scrutiny by organizing accurate financial statements, tax filings, debt information, contracts, and records of material assets. Identify intangible value such as customer relationships, brand, documented processes, or supplier arrangements, and be ready to explain how those elements support continued operations. Do not treat an asking price, a valuation estimate, or a comparison with another company as a promise of what a buyer will pay.

4. Make the business less dependent on you
A transferable business is easier for a buyer or successor to understand and operate. Preparation also helps reveal weaknesses early enough to address them. SBA-listed SCORE exit-readiness topics include profitability, margins, cash flow, talent succession, and operational stability; they are useful prompts, not a guarantee of a higher price or successful transaction.
- Improve financial visibility: keep records consistent, current, and explainable.
- Document recurring work, key decisions, and the procedures needed to deliver products or services.
- Clarify management responsibilities and develop people who can take over essential duties.
- Document significant customer and supplier relationships, including who manages them and what agreements govern them.
- Identify where operations rely on your personal knowledge, approval, or relationships, then plan how to transfer that knowledge.
- Review cash flow, margins, and operational stability so you can address issues before a transition.
These steps support a more orderly handover, but they cannot eliminate business risk or establish what a buyer will pay.

5. Negotiate the terms and get the agreement reviewed
A transaction is more than a price. The SBA’s guidance on selling or transferring a business highlights agreement terms that can affect what changes hands, what happens before closing, and what obligations remain. Have an attorney review the agreement before signing, and involve a tax professional early enough to understand the consequences of the proposed structure.
- Identify the parties and the business being transferred.
- Specify inventory and assets included or excluded, and how liabilities will be treated.
- Set operating arrangements before closing, including any transition support or access to information.
- Define adjustments to the price or other amounts, broker fees, and other material terms.
- Address timing, payment terms, and the parties’ responsibilities if a required condition is not met.
For federal tax purposes, IRS Publication 334 (2025), the Tax Guide for Small Business, explains that both buyer and seller report the allocation of the sale price among business assets. The allocation and tax treatment depend on transaction details. Confirm the applicable tax year, forms, and reporting requirements with a tax professional before completing a deal.

6. Plan for family succession and closure contingencies
If you plan to pass on the business
Do not assume a family transfer is just a change in management. Ownership, control, and payment can be transferred on different terms, and family transfers may have gift or estate tax implications. Discuss the proposed structure with legal and tax advisers, and document who will own and run the company during each stage.
If you may need to close
Closure has formal steps even when there is no buyer. The IRS’s federal guidance on closing a business covers tax-related closure responsibilities. Depending on the business, the plan may also need to address dissolution filings, cancellation of registrations, employee obligations, final tax returns, debts, and record retention. Federal guidance does not settle state or entity-specific requirements, so check with the relevant state agencies and qualified advisers.
Keeping a closure plan in view can help you avoid improvising if a sale or succession does not work out. The exact filings and obligations depend on your entity, location, employees, and outstanding commitments.
