To change your LLC’s legal name, file the amendment required by the state where the LLC was formed. The form, approval rules, fee, and processing time vary by state, so confirm the current instructions with that state’s business filing office. After the change takes effect, update the IRS and the records and accounts that use the old name. A name-only change generally does not require a new EIN.
First, decide whether you need to change the legal name
An LLC’s legal name is the name in its state entity records. Changing it requires a state filing. If you only want to do business under a different name, you may need a DBA filing instead. A DBA—also called a trade, fictitious, or assumed name—does not change the LLC’s legal name.
A product or company rebrand is not automatically a legal name change, either. State entity-name registration, DBA filings, and federal trademark protection are separate. How to change your LLC’s legal name

Check the formation state’s name rules and records
Search the business-entity records and read the naming rules published by the state where the LLC was formed. State rules may restrict names that are too similar to existing registered names, and requirements for identifiers such as “LLC” vary. Start with the state filing office’s official instructions; the SBA’s business registration guidance also points businesses to their state for applicable requirements.

A state name search is not a full trademark clearance. If the proposed name could conflict with another brand, check the USPTO’s official trademark resources or consult an attorney. Approval of an entity name by a state does not, by itself, establish that you have trademark rights.

Confirm who must approve the change
Review the LLC’s operating agreement and the formation state’s LLC law or official filing instructions. Determine whether members or managers must approve the change, what vote threshold applies, and who may sign the filing. Record the approval in writing and keep it with the company’s records.

There is no single vote rule that applies to every LLC. The operating agreement may set the company’s decision-making procedures; the SBA describes it as a document covering financial and functional decisions and members’ duties, powers, and responsibilities.

File the required amendment with the formation state
Use the form and submission method specified by the state. The filing may be called an amendment to articles or a certificate, but terminology is not uniform. Before submitting, confirm the current form, fee, signature requirements, any expedited service, effective-date options, and the state’s processing estimates on its official website. Keep the state’s accepted or stamped filing, or other confirmation showing the amendment was accepted and when it became effective. Do not assume the name has changed merely because you submitted the paperwork.

Check other states where the LLC is registered
If the LLC is foreign-qualified to do business in another state, check that state’s procedure for updating the registered name as well. A formation-state amendment does not necessarily update every other state’s records automatically. Registration obligations and fees can vary by state; the SBA discusses multistate registration in its business registration guidance.

Notify the IRS using the procedure for your tax situation
Follow the IRS business name-change instructions for the LLC’s federal tax classification and filing situation. The IRS says the reporting method can differ by business type and may involve noting the change on a current-year return or sending a signed letter in certain circumstances.
For a name-only change, the IRS states: “You don’t need a new EIN to change your business name, address or responsible party.” See the IRS Employer Identification Number guidance.

Do not treat a name change as a change in ownership or legal structure. A conversion, termination, merger, or ownership change can affect whether a new EIN is required. Check the IRS’s When to get a new EIN guidance if anything besides the name is changing. An LLC’s federal tax classification depends on factors such as the number of members and tax elections; the IRS explains the context for single-member LLCs in its single-member LLC guidance.

Update business records after the change takes effect
Once the state confirms the amendment’s effective date, make a list of records and relationships that use the old legal name. Ask each agency, financial institution, insurer, or business counterparty what proof it requires. Depending on your business, updates may include:
- Bank, credit, merchant, and payment-processing accounts
- Tax, payroll, and employer records
- Insurance policies and lender records
- Licenses and permits, including state and local registrations
- Contracts, purchase orders, invoices, W-9s, and vendor or customer profiles
- Website, email, domain, signage, and marketing materials
This is a practical checklist, not a universal legal filing list. Licensing and registration requirements depend on the business’s location, industry, and circumstances. Check with the relevant licensing bodies; the SBA discusses state and local variation in its launch your business guidance.
If the LLC also uses a DBA or owns a trademark, check whether those separate records need an update. A legal name amendment does not automatically change a DBA registration or trademark record.

What varies from state to state
The formation state controls the LLC’s legal name amendment, but it does not mean every step is identical nationwide. Verify each detail with the relevant agency rather than relying on a generic form or fee estimate.
