YPlan’s billion-dollar figure was an ambition, not a valuation. The London startup launched in 2012 with a simple commercial thesis: help people decide what to do on any given evening, then let them book tickets in the same app. Its founders tried to scale that idea through curated events, organizer tools and expansion into new cities. In 2016, Time Out Group acquired YPlan’s parent, Leanworks Limited, emphasizing the technology and e-commerce capabilities it was buying—not a billion-dollar outcome.
What YPlan offered—and why it could make money
YPlan launched in London in 2012 as a mobile-first way to discover and book local events. Instead of starting with a particular show in mind, users could browse listings by date and category, see curated suggestions, and choose between advance and last-minute options. They could book through the app or website. The product was aimed at people who had not decided what to do and wanted to move from discovery to purchase without piecing together listings and ticketing across different services. VentureBeat’s 2015 profile described that discovery-to-booking flow.
YPlan operated as a transaction marketplace: event organizers supplied ticket inventory, and the company earned commissions on sales, according to co-founder Rytis Vitkauskas in the 2015 interview. The company also vetted organizers and offered tools to manage listings and sales. Personalized recommendations drew on a shared pool of events, connecting what users might like with what organizers wanted to sell. Those details describe the model reported in 2015; they should not be assumed to cover every stage of YPlan’s history.
How YPlan aimed to scale beyond a curated app
Open the platform to more organizers
In 2014, YPlan began shifting from direct sales toward a self-service platform where organizers could add and manage event listings. The goal was to bring in more long-tail events, including pop-ups and comedy shows, while reducing the manual work needed to add each listing. TechCrunch reported on the shift as an effort to widen supply beyond events that the company itself sourced. TechCrunch’s 2014 report covered the change.

This was a consequential marketplace choice. A tightly curated catalog can make discovery feel useful, but manual sourcing limits how quickly the catalog can grow. Self-service could broaden the range of events and reduce listing overhead, though the company still needed enough quality control and demand to make the larger catalog valuable to users and organizers.
Expand across cities and booking occasions
In the 2015 interview, Vitkauskas described London, New York and San Francisco as YPlan’s main markets and discussed expansion through partnerships and distribution. He also said same-day bookings accounted for around half of tickets sold. That was a company-reported figure in the interview, not an audited metric or a measure that should be generalized to other periods.

Last-minute demand supported the app’s spontaneous-discovery pitch, while advance booking gave it a broader role in planning nights out. But each additional city required event supply, organizer relationships and a route to local users. Partnerships and distribution could help reach those users, while the self-service model could make it easier to populate a city with a wider variety of events.
What “a billion-dollar business” meant
In a VentureBeat interview published on 29 November 2015, Vitkauskas said: “We’re not sure that’s the path to building a billion-dollar business, which is what we’re here to do.” He was contrasting YPlan’s broad event-discovery proposition with a competitor’s narrower focus. The line captures the founders’ ambition and their belief that fragmented event listings and ticketing left room for a larger marketplace. It does not establish that YPlan reached a billion-dollar valuation.

VentureBeat reported that YPlan had raised almost $40 million by November 2015. A year earlier, TechCrunch reported a funding total just under $38 million. These are media-reported totals from different points in time, not competing estimates of one fixed final amount. They indicate the scale of capital reported around the company, but funding raised is not company valuation or proof of a particular business outcome.
What the 2016 acquisition shows—and does not show
On 21 October 2016, Time Out Group announced that it had acquired all issued share capital of Leanworks Limited, YPlan’s parent. The announcement put the initial share consideration at £1.6 million and described up to £0.8 million in deferred shares, conditional on specified terms. Time Out said the acquisition would add an advanced e-commerce platform and a product development and technology team to support its online bookings and conversion strategy. CEO Julio Bruno said: “We acquired YPlan because its advanced technology will significantly accelerate this strategy.” Time Out’s acquisition announcement ties his statement to that e-commerce strategy.

Time Out’s 2016 financial disclosure later recorded £1.625 million of issued shares and £0.782 million of deferred consideration, or £2.407 million in total consideration in its acquisition accounting. The figures differ in precision and treatment from the rounded terms in the initial announcement. Time Out recognized YPlan’s e-commerce platform as an intangible asset. Neither the announcement’s share consideration nor the accounting total is automatically a definitive standalone valuation of YPlan.
The same acquisition announcement reported that YPlan had a £6.2 million pre-tax loss for the year ended 31 December 2015. That is a specific company, period and financial measure. It provides context about the business before the acquisition, but does not by itself explain Time Out’s decision or determine what YPlan was worth.

The business case in retrospect
YPlan’s strategy joined three pieces: help users discover events they had not already chosen, make booking part of that discovery, and widen supply through organizer relationships and self-service tools. The city-expansion plan sought to reproduce that marketplace in new locations. The approach addressed a real product problem, but it also depended on building local supply and demand together—a challenge that becomes more demanding with every market added.
The documented ending is an acquisition by Time Out in 2016, with the buyer pointing to e-commerce technology and product-development capability. The evidence supports a story about an ambitious event marketplace and a technology acquisition; it does not support presenting the billion-dollar goal as an achieved valuation or treating the transaction consideration as a conclusive price for the standalone company. The cited reporting covers YPlan’s product and plans in 2014–2015 and its acquisition in 2016, and does not establish whether the YPlan brand or service is available today.
