What Alta Fox proposed
Alta Fox, a Hasbro shareholder, urged the company to separate Wizards of the Coast, the publisher behind Magic: The Gathering and Dungeons & Dragons. The activist characterized Wizards as a “hidden gem”: a business it argued had a distinct growth profile that investors might value more clearly if it stood on its own.

GeekWire reported Alta Fox’s estimates that Wizards’ revenue grew 42% in 2021 to nearly $1.29 billion, and that the business’s contribution to Hasbro EBITDA rose from 20% in 2016 to nearly 50% in 2021. Those are figures attributed to Alta Fox in a campaign report, not independently validated standalone-company results. GeekWire’s February 2022 report describes the proposal and the activist’s case.
Why Alta Fox argued separation could create value
The campaign’s central premise was that Wizards’ growth and financial characteristics differed from Hasbro’s wider portfolio. As an independent company, Wizards could have a clearer strategic focus and its own market valuation, Alta Fox argued. The separation could also let investors assess Wizards without valuing it as one part of a diversified toy and entertainment company.

That thesis depended on assumptions: that the market would assign Wizards a more favorable valuation on its own, and that any benefit would outweigh the costs and lost advantages of leaving Hasbro. The available sources do not establish a neutral, independently validated valuation for Wizards as a standalone company. Alta Fox’s valuation projections should therefore be understood as advocacy, not as an observed market value.
Why Hasbro’s board opposed the spin-off
Hasbro’s board argued that separating Wizards would destroy value rather than unlock it. In an April 25, 2022 shareholder letter, the company said it had invested more than $1 billion in Wizards over the preceding five years and argued that the business benefited from Hasbro’s capabilities and strategy. The board warned that a spin-off could sacrifice synergies while requiring duplicate overhead and incurring transaction costs. These were the company’s arguments in a contested proxy campaign, not settled findings about what a separation would have produced. Neither side’s forecast was proven by the campaign itself. The vote decided which board nominees would serve, not whether an independent Wizards would have outperformed Hasbro or what a spin-off would have been worth.

What happened in the 2022 proxy fight
Hasbro’s preliminary announcement after its June 8, 2022 annual meeting said shareholders had re-elected all 13 company director nominees. The company’s June 12 Form 8-K reported the final certified results: all 13 Hasbro nominees were elected, and Alta Fox nominee Marcelo Fischer was not elected. Hasbro’s Form 8-K with final voting results is the definitive source for the outcome.
That result did not approve a Wizards spin-off. It meant Alta Fox did not win the board seat it sought in the proxy contest; the campaign’s proposed separation did not proceed through this vote.

Is Hasbro spinning off Wizards now?
No renewed proposal is established by the cited materials. Hasbro’s Q2 2026 earnings release describes Wizards as a business driver, but it does not announce a separation plan or a new Alta Fox campaign. The documented campaign concluded with the 2022 annual-meeting vote. Hasbro’s Q2 2026 results provide current operating context, not evidence of a spin-off proposal.
